ABSOLUTE SALE DEED

THIS DEED OF ABSOLUTE SALE IS MADE AND EXECUTED ON THIS


TWENTY-FIFTH DAY OF SEPTEMBER 2023 (25/09/2023), AT BANGALORE,
BY &

Herein after called the “VENDOR” (which term shall, whenever the context so permits
or admits mean and include his heirs, legal representatives, administrators, successors,
executors, assigns, etc.,) of the ONE PART.

Herein after called the “PURCHASERS” (which term shall, whenever the context so
permits or admits mean and include their heirs, legal representatives, administrators,
successors, executors, assigns, etc.,) of the OTHER PART.

I. WHEREAS, the Vendor is the absolute owner in peaceful possession and enjoyment
of the residential Apartment Bearing No.341, in the Third Floor, having super built
up area of 1184 Sq. ft, with UDS of 375 Sq.ft inclusive of proportionate share of
common areas of along with one car parking space in the Basement floor of the
Apartment building known as SOWPARNIKA SANVI PHASE –II” together with
the right to use passages, lobbys, lifts, stair case and other areas of common use, with
all civil amenities and, which is more fully described herein under and herein after
referred to as Schedule B Property. The Apartment building built/constructed over
on all that piece and portion of converted Land bearing by. No-13/ 2A, measuring 02
Acres 13.08 Guntas [Converted as per the Official Memorandum bearing No.ALN
(EKHW)S 64/2012-13 dated 15-09-2012 issued by the Special Deputy
Commissioner, Bangalore District, Bangalore], BBMP Katha No.1093/74, Ward
No.84, situated at Hagadur Village, Krishnarajapura Hobli, Bangalore East Taluk,
Bangalore, which is more fully described herein under and herein after referred to as
Schedule ‘A’ Property and the Schedule ‘B’ Property (Super built up area and
undivided share in the Schedule ‘A’ Property) with all right, privilege and obligations
in the Schedule A property, came to be acquired by the Vendor herein, from its owner
M/s. SOWPARNIKA PROJECTS & INFRASTRUCTURE PRIVATE LIMITED.,
Rep by its Director Mr.S Sreenivasan, under the sale deed dated 05/09/2017,

registered as Document No.MDP-1-05627/2017-18, Book 1, stored in CD
No.MDPD214, registered in the office of Sub-registrar, Mahadevpura,
Bangalore.

II. WHEREAS, earlier M/s. SOWPARNIKA PROJECTS & INFRASTRUCTURE


PRIVATE LIMITED., was owner of the residential converted Land bearing Sy No-
13/2A, measuring 02 Acres 13.08 Guntas [Converted as per the Official
Memorandum bearing No. ALN (EKHW) SR:64/2012-13 dated 15-09-2012 issued by
the Special Deputy Commissioner, Bangalore District, Bangalore], situated at
Hagadur Village , Krishnarajapura Hobli, Bangalore East Taluk and having purchased
the same by virtue of registered Sale Deed dated 05-09-2013, vide registered
document No.BDH-1-02646/2013-14, Book-I, CDNo.BDHD101 dated 05-09-2013 in
the office of the Sub-Registrar, Bidarahalli, Bangalore. In the pursuance to the same,
the Khata of the said land has been transferred in the name of M/s. SOWPARNIKA
PROJECTS & INFRASTRUCTURE PRIVATE LIMITED., in the revenue records of
BBMP and also assigned Muncipal Khata No.1093/74 to the said property. The
BBMP authorities have also collected property taxes up-to-date from the M/s.
SOWPARNIKA PROJECTS & INFRASTRUCTURE PRIVATE LIMITED.,.

III. WHEREAS the M/s. SOWPARNIKA PROJECTS & INFRASTRUCTURE


PRIVATE LIMITED.,. as a Builder got the plan sanctioned from BBMP for
construction of the residential apartment building over Schedule ‘A’ property vide
L.P No.327/2013-14 dated 25-02-2014 issued by Assistant Director of Town Planning
BBMP Mahadevapura Zone Bangalore and thereafter the said plan has been revised
vide L.P No-Ad.Com/MDP/0917/2013-14 dated 30-01-2015, issued by the Joint

Director of Town Planning (North), BBMP for the proposed construction of
apartment building over the schedule A property, consisting of Basement, Ground
plus Four Upper Floors.

IV. WHEREAS in pursuance to the said scheme the M/s. SOWPARNIKA PROJECTS &
INFRASTRUCTURE PRIVATE LIMITED,. has also obtained all the necessary
NOC’s from the statutory authorities for the proposed construction of the apartment
building over the schedule A property (project).

V. WHEREAS pursuant to the above scheme, the Vendor being interested in acquiring a
unit has gone through the title deeds of the VENDOR, the construction particulars,
approved plan, NOC and other details and after having been fully satisfied with the
title of the VENDOR and approved license and plan, has offered to join the said
scheme.

VI. WHEREAS, the said M/s. SOWPARNIKA PROJECTS & INFRASTRUCTURE


PRIVATE LIMITED being the absolute owners of the Schedule A & B property had
sold the residential Apartment Bearing No.341, in the Third Floor, having super
built up area of 1184 Sq. ft, with UDS of 375 Sq.ft inclusive of proportionate share of
common areas of along with one car parking space in the Basement floor of the
Apartment building known as SOWPARNIKA SANVI” BBMP Katha
No.13/2A/341, Katha Serial No.7408, Flat No.341, Apt Hagadur Road, Whitefield,
Bangalore – 560060, together with the right to use passages, lobbys, lifts, stair case
and other areas of common use, with all civil amenities which is morefully described
in Schedule “B” built on Schedule “A” Property to the Vendor herein purchased the
same by way of sale deed dated 05/09/2017, registered as Document No.MDP-1-

05627/2017-18, Book 1, stored in CD No.MDPD214, registered in the office of
Sub-registrar, Mahadevpura, Bangalore.

VII. WHEREAS, after purchasing the Schedule “B” Property in the aforesaid manner, the
Vendor herein became the absolute owner and is in peaceful possession and
enjoyment of the same. Thereafter the Vendor has paid upto date taxes to the
concerned authorities with respect to the Schedule “B” Property.

VIII. WHEREAS, the Vendor has acquired the Schedule ‘B’ Property in the above said
manner and they are in peaceful possession and enjoyment of the same without any
hindrance.

IX. WHEREAS the Vendor is in need of money for their legal necessities, and are
intending to sell the Schedule ‘B’ Property. AND WHEREAS, the Purchasers are in
need of the Schedule ‘B’ Property and the Purchasers intends to purchase the same
out of their personal earnings.

X. WHEREAS, the Vendor has agreed to sell and the Purchasers are desirous to
purchase, the flat as described in Schedule B Property and also subject to terms and
conditions hereinbefore and hereinafter appearing.

XI. WHEREAS, the Vendor has offered the Schedule ‘B’ Property for sale to the
Purchasers for a total consideration of Rs.65,00,000/- ( Rupees Sixty Five lakh
only), and the Purchasers has agreed to purchase the Schedule C Property for the said
sum of Rs.65,00,000/- ( Rupees Sixty Five lakh only).

XII. WHEREAS, the Vendor has agreed to sell and the Purchasers have agreed to
purchase the Schedule ‘B’ Property and they have reduced the terms of the sale into
writing as mentioned hereinafter:

XIII. NOW THIS DEED OF ABSOLUTE SALE DEED WITNESSETH AS


FOLLOWS:
1. The Vendor has hereby sold and conveyed the Schedule “B” Property including
proportionate undivided share, right and interest on the Schedule “A” Property in
favour of the Purchasers absolutely and forever. The Vendor do hereby and
hereunder grant, convey, sale, transfer, assign and assure all his estate, right, title
and interest in the Schedule “A” & “B” Property with all, appurtenances, free of
all encumbrances, charges, liens etc., together with rights of way, easement of
necessities, advantages, whatever enjoyed and attached to the Schedule “A” & “B”
Property in favour of the Purchasers absolutely.

2. Whereas, the total sale consideration is a sum of Rs.65,00,000/- ( Rupees Sixty


Five lakh only),, free from all encumbrances, charges, liens, attachments etc.,

3. Whereas, the total sale consideration of Rs.65,00,000/- ( Rupees Sixty Five lakh
only),, is paid by the Purchasers as follows;

i. a sum of Rs.50,000/- (Rupees Fifty Thousand only) is paid through G pay on


19/08/2023, UPI transaction ID No.323114608577, to Vendor herein,
ii. a sum of Rs.49,000/- (Rupees Forty Nine Thousand only) is paid through G pay
on 19/08/2023, UPI transaction ID No. 323114694735, to Vendor herein,
iii. a sum of Rs.1,000/- (Rupees One Thousand only) is paid through G pay on
20/08/2023, UPI transaction ID No. 323245445803, to Vendor herein,

iv. a sum of Rs.9,00,000/- (Rupees Nine Lakhs only) HDFC Bank, online transfer
vide its Ref No.RRR2462357650335, dated 03/09/2023, from HDFC Bank
Account No.50100000599243 to Vendor Bank Account No.10823868626 of
State Bank of India.
v. A sum of Rs.50,00,000/- (Rupees Fifty Lakhs only), by way Demand Draft
No.903995, dated 21/09/2023, drawn in favour of VENDOR as “HOMI
CHOUDHURY A/C No.10823868626 State Bank of India”.
vi. a sum of Rs.4,35,000/- (Rupees Four Lakhs Thirty Five Thousand only)
HDFC Bank, online transfer vide its Ref No.RRR2662358412082, dated
23/09/2023, from HDFC Bank Account No.50100000599243 to Vendor Bank
Account No.10823868626 of State Bank of India.
vii. As per Income Tax Act, an amount of Rs.65,000/- (Rupees Sixty Five Thousand
Only) has been deducted out of the total sale consideration of Rs.65,00,000/-
(Rupees Sixty Five lakh only),, and has been remitted by the PURCHASER
No.1 an amount of Rs.32,500/- to the Income Tax Department on behalf of the
VENDOR as TDS, vide payment Challan Serial No.18801, BSR Code
No.0510002, Acknowledgement No.AK09592284 through HDFC Bank on
23/09/2023 and PURCHASER No.2 has remitted an amount of Rs.32,500/- to
the Income Tax Department on behalf of the VENDOR as TDS, vide payment
Challan Serial No.18532, BSR Code No.0510002, Acknowledgement
No.AK09591702, through HDFC Bank on 23/09/2023.

WHEREAS, the VENDOR hereby acknowledge the receipt for having received the said
total sale consideration of Rs.65,00,000/- ( Rupees Sixty Five lakh only) paid by the
PURCHASERS herein in the above said manner as full and final settlement.

4. Whereas, the Vendor hereby confirm and assure the Purchasers that he is the
absolute owner of the Schedule ‘B’ Property, having all rights and ownership over the
same to the extent hereby conveyed, and further assures the Purchasers that the
Schedule ‘B’ Property is free from all encumbrances, adverse claims, mortgages,
attachments, lien, tenancy/minor/adverse claims, whatsoever, defect in title, charges, lis-
pendens & litigations and he further assure that Schedule ‘B’ Property has a good, clear
and marketable title and that he is the absolute right to convey the schedule ‘B’
property by way of sale.
5. Whereas, the Vendor has delivered the Vacant possession of the Schedule ‘B’
Property to the Purchasers on this day.

6. The Vendor has delivered the entire set of Original documents relating to the
Schedule ‘B’ Property to the Purchasers on this day.

7. The Vendor covenants that he shall, at the cost of the person requiring the same,
execute and give assurance or do every thing that is requisite for perfectly assuring the
Schedule ‘B’ Property to the Purchasers as may be reasonably required.

8. In case the Purchasers is deprived of the whole or any part of the property hereby
sold by reason of any defect found in the title of the Vendor, or any encumbrance,
lien, charge, court attachment, decree or claim, ex-parte judgements, etc., in respect of
the Schedule ‘B’ Property, the Vendor shall indemnify the Purchasers and shall pay
back the Purchasers double the amount of the sale consideration without prejudice to
the other rights of the Purchasers together with other incidental expenses incurred by the
Purchasers.
9. The Vendor assures the Purchasers that the taxes and other dues are paid by him
up-to-date and no amount is due thereof in respect of the Schedule ‘B’ Property to the
Revenue Authorities.

10. The Vendor hereby covenants with the Purchasers that he has done no act
whereby the Schedule ‘A’ & ‘B’ Property hereby sold is encumbered or whereby he is
barred from transferring it to the Purchasers and further assures the Purchasers that no
case or litigation is pending in respect of the Schedule ‘A’ & ‘B’ Property.

11. The Vendor shall support any application preferred by the Purchasers for
transferring Khata in their name in respect of the Schedule ‘B’ Property hereby sold
and shall do all such acts and deeds that may be necessary to be done for obtaining the
same in favor of the Purchasers.
12. The stamp duty and registration charges are borne by the Purchasers alone.

Floor, having super built up area of 1184 Sq. ft, with UDS of 375 Sq.ft inclusive of
proportionate share of common areas of along with one car parking space in the
Basement floor of the Apartment building known as SOWPARNIKA SANVI PHASE
–II” together with the right to use passages, lobbys, lifts, stair case and other areas of
common use, with all civil amenities and comes with the limits of BBMP Katha
No.13/2A/341, Katha Serial No.7408, Flat No.341, Ward No.84 - Hagadooru, situated
at Hagadur Road, Whitefield, Hagadur Village, Krishnarajapura Hobli, Bangalore East
Taluk, Bangalore.

In the mutual presence of the following witness, the Vendor has executed and have
signed this Absolute Sale Deed and the parties hereto have set their respective hands to
this Deed of Absolute Sale on the day, month and year first above mentioned in the city
of Bangalore.
