LISTING ANNOUNCEMENT

Walters Power International (WPI) is the Venture owner and manager of two
(2) Wartsila 18V220SG engines (the EQUIPMENT) described herein. NOTE:
ONE ENGINE HAS BEEN SOLD AS OF JANUARY 25, 2005. The
EQUIPMENT is offered for sale on AS IS, WHERE IS-basis to principal
parties only. Information in this ANNOUNCEMENT has been provided to
WPI as best available information. WPI makes no representation or
warranty, express or implied, as to the accuracy or completeness of
information in this ANNOUNCEMENT or other written or oral
communication with any party. Nothing contained herein should be relied
upon as a promise or representation whether related to past or future
activities. This ANNOUNCEMENT is a summary, and as such does not
purport to contain all information parties may require to evaluate the
EQUIPMENT. Recipients are encouraged to conduct independent

EQUIPMENT HISTORY

The Equipment within this offering was initially part of a much broader purchase of like-
units by an internationally-recognized equipment manufacturer, service, and parts firm.
While the majority of the purchased equipment was placed into service at a handful of
California power plants, the firm’s EPC division was eventually dissolved prior to
finding projects for the Equipment within this offering. The Equipment is all new/unused
and was manufactured in 2001. The Equipment has been in storage since taking delivery
from the manufacturers.

EQUIPMENT DISPOSITION AND LOCATION

The Equipment is located at the Wartsila/CISERV facility in Long Beach, California.

All Equipment is for sale, AS IS, WHERE IS on a first come, first serve basis to buyers
who submit a reasonable and acceptable offer to Walters Power International.

Inspection of the Equipment may be performed during the due diligence period, as
provided for in a mutually-agreeable and executed equipment sales agreement. Such
contract and subsequent inspection will be coordinated by:
