RESOLUTION NO. 2023-276 BE IT RESOLVED by the Board of Commissioners of the City of Dothan, Alabama, as follows: Section 1. That the City of Dothan enters into an agreement with the Dothan Area Chamber of Commerce, Dothan, Alabama, for certain services, as indicated, which said agreement follows: STATE OF ALABAMA. COUNTY OF HOUSTON CONTRACT FOR SERVICI KNOW ALL MEN BY THESE PRESENTS, that for and in consideration of the mutual promises, covenants, conditions, and obligations contained herein, the CITY OF DOTHAN, ALABAMA, a Municipal Corporation organized under the laws of the State of Alabama and located in Houston County, Alabama (hereinafter called "the City"), and the DOTHAN AREA. CHAMBER OF COMMERCE, a non-profit corporation (hereinafter called "the Chamber"). on this the 19th day of September, 2023, have entered into this Contract for Services (this “Services Contract”), 1, Term. This Services Contract shall be in effect for a period of twenty-four (24) months commencing on the first day of October 1, 2023, and expiring on the 30" day of September, 2025 (the “Contract Period”). On or before the expiration of the Contract Period, this Services Contract may be renewed by mutual consent of the City and the Chamber. 2. City Independent of Chamber. Notwithstanding any of the provisions of this Services Contract which might otherwise be construed to the contrary, the parties acknowledge and agree that the City has no financial interest in the business of the Chamber, and shall not be liable for any debts or obligations incurred by the Chamber. nor shall the City be deemed or construed to be a partner, joint venturer or otherwise be deemed to have a vested legal or equitable interest in the assets of the Chamber, or any profits earned or derived by Chamber. In addition, the Chamber shall not at any time use the name or credit of the City in purchasing or attempting to purchase any equipment, supplies, goods, or services for use by the Chamber. 3. Chamber as an Independent Contractor, The Chamber is an independen autonomous entity and is an independent contractor who shall not be deemed to be an agent of the City. If requested by the City, the Chamber agrees to take reasonable steps at its own expense to provide evidence that the Chamber is an independent contractor. The City does not direct the operations of the Chamber and will not assume any responsibility for the means or the manner in which services are provided by the Chamber hereunder. ‘The Chamber acknowledges and agrees the Chamber is and shall continue to be wholly responsible for the time, manner, and method of providing the Services (hereinafter defined) contracted for herein. 4. Assignment, The Chamber shall not transfer or assign this Services Contract nor any license, rights, or privileges granted herein without the prior written consent of the City 5. Compliance with Laws. The Chamber hereby agrees to comply strictly with all ordinances of the City of Dothan, Alabama, and the laws of the State of Alabama while performing the Services provided in accordance with the terms of this Services Contract. 6. Termination. The City in its sole discretion, may, at its option, terminate and ‘cancel this Services Contract upon the occurrence of a violation of any of the covenants, terms. conditions, obligations, and agreements herein contained, whether by act of omission or commission of the Chamber. 7. Payment for Services. The City of Dothan agrees to pay to the Chamber for a term of twenty-four (24 months, commencing October 1, 2023, the sum of One-Million Five Hundred Thousand Dollars ($1,500,000), annually to be paid in twenty-four (24) equal monthly stallments during the two-year term of this Services Contract, and the Chamber agrees in consideration therefore to provide the City the following services ("Services"). 8. Delineation of Services Provided. The Chamber agrees to provide the City for the benefit and general welfare of the citizens of the City the following Services: A. ADMINISTRATION OF AND COORDINATION WITH AUTHORITIES. The Chamber will provide and maintain an office within the Chamber organization an Economic and Development Division, which division within the Chamber will provide services that include coordination and administration for the Industrial Development Board of the City of Dothan, Dothan Downtown Redevelopment Authority, Commercial Development Authority of the City of Dothan, Medical Clinic Board of the City of Dothan, and the Dothan-Houston County Foreign Trade Zone. Inc, (Zone Number 233). In addition, the Chamber will also collaborate with the Dothan-Houston County Airport Authority, and the Industrial Development Authority of Houston, Henry, Geneva, and Dale Counties to assist and develop new and expanding industry. B. CHAMBER STAFFING. The Chamber will provide a full-time professionally qualified director, and such staff and employees as are required to carry on the function of this division toward the economic improvement and expansion of the area’s economy to the benefit of all citizens. ©. ECONOMIC EXPANSION. In order to promote new industry or the expansion of existing industry to expand the City’s and surrounding area's economy, the Chamber will seek, discover, and endeavor to attract and promote new and expanding industry within the City and its police jurisdiction and also within such areas outside of the City to the extent permitted by Code of Alabama, 1975, §L1-47-11, Code of Alabama, 1975, as amended, to create new jobs and employment for the benefit and economic improvement and expansion for the citizens of Dothan. D. DATA CREATION AND DISTRIBUTION. The Chamber will gather. keep updated, research, and distribute information and data to be used as advertisements, and presentations to general and specific agricultural, industrial, and manufacturing prospects. E, MAINTAIN TOOLS TO ASSIST NEW PROSPECTS. In order to provide a central location to provide the necessary documents and tools to make a new industrial or commercial prospect's analysis of the City and its amenities easier. the Chamber will develop and secure tools of the trade such as maps, charts, photos, topos, briefing facilities, brochure: reports, ete., as are necessary and required to adequately promote new and expanding industry F, RESOURCE FOR EXISTING INDUSTRY. To assist local industry, the Chamber will work with existing industry for expansions, problem solving, counseling, and other services pertinent to the expansion of said existing industry for the benefit of the City G. INTER-GOVERNMENTAL LIASON. For the mutual economie and industrial development of the City, to maintain contact, cooperate and work closely with other agencies and organizations with similar purposes such as the Alabama Department of Commerce, Alabama Department of Economic and Community Affairs, the Economie Development Partnership of Alabama, Southeast Alabama Regional Planning and Development Commission, Alabama Department of Environmental Management. Alabama Industrial Development Training, Alabama Department of Transportation, Alabama Aeronautics Bureau, Alabama Technology Network, Dothan Career Center, Troy University, Wallace Community College, Houston County Board of Education, Dothan City Schools, Southeast Alabama Works, and Industrial Department both private and public related to the utilities, ports, rail, water, telecommunications, and air; and groups including the U. S. Chamber of Commerce, American Chamber of Commerce Executives. tion of Alabama, Economie Development Association of jon, agencies, and individuals. To ensure a continuing and effective economic development program, the Chamber will provide management, supervision, support, and assistance to the Economic and Development Division director and the entire division as set forth above to keep it functioning actively and effectively for the benefit of the Cit I. STAY ABREAST OF LOCAL, STATE AND NATIONAL TRENDS. ‘The Chamber shall keep knowledgeable of local, state, regional and national trends in industrial development and continue and improve, through land control, site development, local and area technical sources such as universities, colleges, authorities and vocational technical institutions, and any and all other sources and aids to create more and better jobs for the benefit of the City and its citizens. J. ADMINISTRATION OF DDRA. |. For and in consideration of the $200,000.00 per annum increase in the payment for Services, which is included in the total Payment amount set forth in the Section 6 above, the Chamber will serve as the financial/administrative arm for the Dothan Downtown Redevelopment Authority (DDRA) where the primary Services the Chamber will provide to the DDRA will be the following a. Provide and maintain office and financial management in accordance with generally accepted accounting principles (GAAP); b, Facilitate downtown economic development activities in the Dothan downtown core area: and c. Facilitate and negotiate contracts, leases, and project agreements between or among various entities in the redevelopment of the Dothan downtown area as per Code of Alabama, Chapter 544. 2. Services provided by the Chamber for the DDRA will not include functions related to downtown events, planning, scheduling, and promoting events in the downtown area beyond current activities of the Chamber. including any developments already in place before the effective date of this Services Contract. 3. prior and pending projects of the DDRA that required financial assistance from the City, it is acknowledged and understood by the City that in order to transition administration of the (DDRA) and provide the continuing administrative Services set forth in subparagraphs a, b, and ¢ of this Section 8 above, there will be future obligations the cost of which are not is not included in the $200,000 appropriation for Services contemplated in this Services Contract. The City acknowledges and agrees that the City’s financial assistance will be needed to meet the tequirements of previous DDRA project commitments to support the continued development and redevelopment of Dothan's downtown core area 9. ADDITIONAL SERVICES INCLUDED. Included in the Services set forth above, the Chamber further agrees to perform the following: A. FIELD OUTSIDE INQUIRIES. Asa repository for pertinent information about the City, the Chamber will receive, study, and respond to or answer all inquiries which are directly or otherwise sent to the City by potential visitors, business and professional people, school children from all over the U.S. and the world, research and survey agencies and myriad of outside sources and individuals seeking information about the community, its people, government, history. economical base, institutions, professions, military establishments, state and federal agene school and educational institutions, housing, job opportunities, legal professions, hospitals and paramedical services, churches, climatic conditions (geographical, business and social), laws and statutes, courts, local community and governmental services, taxes and licenses. B. PUBLIC RELATIONS. The Chamber will serve as the principle public relations and information agency for Dothan and for all people who are referred by the City and who come into the Chamber offices but who would otherwise have to call upon City for the Services and information enumerated in the Services Contract, and to serve or give directions to visitors of the City ©. WELCOME SERVICE AT POINT OF ARRIVAL. Chamber personnel will be provided to welcome individuals and groups deemed by the City to be important to the City at their point of arrival, such as the Airport, Fort Novosel, other transportation terminals and designated places in this Wiregrass area; and assist and help in coordinating the ground breakings. openings, civie presentations, and other activities involving the City and its officials. D. CONCIERGE SERVICE TO PROSPECTS AND EXISTING BUSINESSES. As an integral part of our plan to meet the needs of prospects and local residents, the Chamber will offer counsel and assist potential new and expanding business, agencies, and institutions and people moving to the area E, ACTIVELY PROMOTE THE CITY. Through the management and staf of the Chamber, as well as volunteers from local leadership groups. the Chamber will make a concerted effort to foster and promote the City, and to create and maintain it's good name and goodwill. F. ESTABLISH AND MAINTAIN A VICE PRESIDENT DEDICATED TO ECONOMIC DEVELOPMENT. There will be created and maintained a new position at the Dothan Area Chamber of Commerce that will be a Vice President of Economic Development. This position will work the day-to-day activities with economic and commercial real estate developers in the local, regional, state, and national commercial real estate community that have listings in the Dothan area and other individuals/owners/investors/parties working to spur more development of redevelopment in the Dothan area. Create, develop, and maintain professional retail, and partnership presentations to market potential opportunities in the Dothan area and attend relevant trade shows and conferences (International Council of Shopping Centers — ICSC) for example to present opportunities on behalf of the Dothan area. The focus of these development and redevelopment efforts will be, but not exclusive on existing infrastructure inside Ross Clark Cirele corridors, Montgomery Highway, Denton Road Corridor/Ross Clark Circle area, Reeves Street (US 431), US Highway 84 East (outer circle), Fortner Street, Selma Street, and South Oates Street and partner with the City of Dothan Commercial Development Authority, City of Dothan, Houston County, Visit Dothan, and the Medical Clinic Board of the City of Dothan to proactively facilitate and support new and existing business development opportunities for the City of Dothan. Section 3. That the Mayor and City Clerk of the City of Dothan, Alabama, and in their respective capacities, are hereby authorized and directed to pay the Dothan Area Chamber of Commerce in equal monthly installments for services rendered under provisions of this agreement and such to be charged against the appropriate account. Section 4. All ordinances, resolutions or parts thereof in conflict herewith are hereby repealed.
