VMware Subscription Upgrade Program – Program Guide
At a Glance
The VMware Subscription Upgrade Program (“SUP”) is designed to offer VMware customers a way to leverage the value of their
eligible perpetual licenses as they migrate on-premises workloads to eligible on-premises subscription or Software as a Service
(SaaS) offerings. The program is only available to customers with existing perpetual licenses, that want to purchase entitlements
to “matching” subscription offers.
• The VMware Subscription Upgrade Program (SUP) delivers discounted pricing when customers move from existing
perpetual licenses to subscription or SaaS entitlements.
• For each eligible offering purchased through the SUP, customers must own a corresponding perpetual license(s) from
which to upgrade. Additionally, customers must have a current support and subscription contract (“SnS”) for those
perpetual licenses to be eligible for SUP.
• By participating in SUP, customers agree to relinquish their corresponding perpetual licenses upon completion of their
purchase of the entitlement to the new subscription or SaaS offering.
• SUP provides a one-way upgrade from perpetual to VMware’s SaaS or subscription offerings.

Key benefits include shifting from perpetual licenses to SaaS and subscription offerings, price incentive for SaaS and subscription
offerings, and an upgrade and deployment schedule.
Customers get value through discounted pricing on specific SaaS or on-premises subscription offerings reflecting their past
investment in specific perpetual licenses which they trade in through SUP.
For certain deals, customers may receive invoice credit (no cash refund) for prepaid, unused SnS balance associated with the
perpetual licenses that they surrender at the time of upgrade. Please note that this invoice credit is not available for all SUP
transactions.
Program Mechanics
SUP is an upgrade program for customers migrating from on-premises, perpetual licenses to eligible on-premises subscription
or SaaS offerings within the same product family.
SUP has a three-step process: first, determine upgrade eligibility, followed by purchase with upgrade pricing, and then
deactivation of the surrendered perpetual licenses and related SnS services contract.

Considerations
• License keys and related SnS contracts will be inactivated after the new SUP subscriptions are activated and will appear
as invalidated in the Customer Connect Portal. The license keys then can no longer be used by the customer.
• Customers may continue to use their perpetual license keys for up to ninety (90) days after they have purchased the
SUP offering entitlements (“Migration Period”). After the Migration Period, customers must not use any license keys
related to the surrendered perpetual licenses, and VMware will invalidate those keys. Customers are not required to
uninstall any software deployed in the customer’s on-premises environment if the new on-premises subscription
software offering received through SUP can leverage that installation. If the customer’s original software installation
cannot be used with the new subscription software, then the customer must promptly cease use of and delete the
previously installed software.
• Customers are required to identify specific license keys that are being surrendered, either in the body of a VMware
Enterprise Order or in a stand-alone Software Destruction Agreement (collectively, “SDA”)
• For deals that allow an invoice credit to be granted to customers, the unused prepaid SnS balance associated with the
perpetual licenses will be calculated from the date that the customer surrenders the perpetual licenses.
• Some contract configurations and licenses acquired via specific channels may not be eligible for SUP. Consult a VMware
sales representative for details.

Eligibility
Perpetual license products, as reflected in the customer’s installed base inventory (IB), may be eligible for SUP specific eligible
perpetual licenses and the matching eligible destination subscription offering are listed below and simplified to show full
additions (no applications, add-ons, federal or academic eligible offerings). [Note: This table is correct as of the date of this
Program Guide; VMware reserves the right to modify this eligibility matrix at any time, and those modifications will be effective
as of the date published.]
