1. The members of the group shall be formed within the same tutorial group for the video
presentation. Minimum of 4 and maximum of 5 members per group.
2. The group is required to carry out the group presentation in the form of a pre-recorded video
presentation.
4. All members of the groups MUST CONTRIBUTE to the video presentation. An issue of free-
riding would cause the particular member to be penalised with a ‘0’ mark. The group leader shall
be responsible for ensuring that all members contribute equally and punctually. All members
shall declare Individual Contribution in the Cover Sheet (refer to Part B).
5. The group shall make a declaration pertaining to Copyright in the Cover Sheet (refer to Part B).
Any work found to be similar to any other group(s) will be penalized and given ‘0’ mark.
7.1 The group leader to submit the softcopy of the video presentation with a maximum of 20
minutes duration to the respective tutorial lecturer’s email with the following file name-

8. Submission Date – The deadline for submission for the video presentation is 13/9/2023,
Wednesday by 2pm. Late submissions will not be entertained. It is the duty of all group members
to ensure that your video is submitted on time.

Question:
Toys2Fun Sdn. Bhd. (“Toys2Fun”) is a company in Malaysia which carries the kids’ toys business.
Toys2Fun buys toys from different suppliers including local and foreign companies and sells them to
the smaller retail shops.
Tom, the Chief Executive Officer of Toys2Fun, happened to know a popular and best-selling toy in
Singapore called ‘Spinning Toy’. ‘Spinning Toy’ is popular as it is fun to play for kids as well as adult
who likes to play games that involve power, strategy, balance and focus all at once.
After the market survey, Tom was confident that the selling of ‘Spinning Toy’ will be the potential
market in Malaysia and Toys2Fun can be the ‘marker leader’ as no one is selling ‘Spinning Toy’ in
Malaysia market so far. The Board of Directors of Toys2Fun were very supportive with Tom’s proposal
and appointed Tom as the representative for this business.
SuperFunny Pte Ltd (“SuperFunny”), a company in Singapore, is the main supplier of ‘Spinning Toy’
in Singapore. After several discussions, Toys2Fun entered into a Distributorship Agreement with
SuperFunny for the purchase of ‘Spinning Toy’. The terms and conditions which contained, inter alia,
a clause requiring the parties to refer any dispute to arbitration based on the residing distributor
jurisdiction (“arbitration clause”).
The sales of ‘Spinning Toy’ in Malaysia were not as good as expected. Due to the high investment in
this business, Toys2Fun were having financial difficulties and many outstanding invoices were not paid
despite several demands from SuperFunny.

SuperFunny subsequently terminated the Distribution Agreement and commenced a legal suit in the
High Court of Malaysia. Due to busy schedule, Toys2Fun failed to file an appearance to the court and
resulted the default judgment obtained against Toys2Fun.
(a) The Board of Directors of Toys2Fun were aggrieved by the default judgment made against
them. They opined that the default judgement is invalid as there was a dispute as to the amount
claimed by SuperFunny due to material defects to the items.
(b) Parties should refer the dispute to arbitration pursuant to the arbitration clause and not to file
suit in Court.
(c) They would like the Malaysia Law to be applied and the seat of arbitration shall be in Malaysia
since Toys2Fun is situated in Malaysia.
(d) They would like to appoint Mr. Timothy as the arbitrator for the arbitration session. Mr.
Timothy is a retired senior lawyer who was a leading Arbitrator in Malaysia. The Board of
Directors put their full trust in Mr. Timothy as he is also a panel lawyer to Toys2Fun and has a
long business relationship with Toys2Fun.
