This Memorandum of Understanding (MOU) made on and effective from


............ of 2023

BETWEEN

UNIVERSITAS NEGERI PADANG, a public institution of higher education


established under Presidential Decree No.93/1999 and Keppres No.
93/1999 whose address is at Jalan Prof Dr. Hamka, Air Tawar Padang, West
Sumatera 25131, lndonesia, (hereinafter referred to as the "UNP"), of the
first part;

AND

second part;

(UNP and xxx hereinafter referred to collectively as the "Parties" and


singularly as the "Party")

WHEREAS
a. Universitas Negeri Padang is an established university with focus on
three pillars of lndonesian higher education (Tridharma Perguruan
Tinggi) consisting of education and teaching, research and
community service, Which provides university-level education
(diploma, bachelor, master, and doctor), research, consultancy, and
training in the areas of education, languages and arts, mathematics
and natural science, social science, engineering, sport sciences,
economics, and Tourism and hospitality management.

c. The Parties are desirous of entering into this MoU to declare their
respective intentions and to establish a basis of co-operation and
collaboration in Academic, research, and community service that is
associated between the Parties upon the terns as contained herein.
This Memorandum of understanding witnesses as follows:

ARTICLE 1:
OBJECTIVE

1. The Parties, subject to the terms of this memorandum of


understanding and the laws, rules, regulations, and national policies
from time to time in force in each party’s country, will endeavor to
strengthen, promote and develop research co-operation between the
parties on the basis of equality and mutual benefit.

2. Co-operative projects arising from this agreement may include any of


the academic disciplines represented at UNP and xx.

ARTICLE 2:
AREAS OF CO-OPERATION

1. Each Party will subject to laws, regulations, and national policies from
time to time in force, governing the subject matter in their respective
countries, and endeavor to take necessary steps to encourage and
promote cooperation in the following areas:
A. Academic Agreement
1)Exchange of professors,
2) exchange of students
3) joint research activities
4)participation in conferences
5) exchange of pedagogical and scientific documents
6) joint formation programs o joint publication

2. For the purpose of implementing the co-operation in respect of any


areas stated in paragraph 1 the Parties will enter into a legally
binding agreement subject to terms and conditions as mutually
agreed upon by the Parties including clauses on “confidentiality”,
“suspension”, protection of intellectual property rights and
“settlement of dispute”.

ARTICLE 3:
FINANCIAL ARRANGEMENTS

Details of the implementation of any specific particular initiative resulting


from this agreement shall be negotiated between the two institutions as
each specific case may arise. Both parties understand that financial
arrangements will have to be negotiated and will depend on the availability
of funds.

ARTICLE 4:
EFFECT OF MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding serves only as a record of the Parties


intentions and does not constitute or create, and is not intended to
constitute or create, obligations under domestic or international law and
will not give rise to any legal process and will not be deemed to constitute
or create any legally binding or enforceable obligations, express or implied.

ARTICLE 5:
NO AGENCY
Nothing contained herein is to be construed to constitute a joint venture
partnership or formal business organization of any kind between the
Parties or so to constitute either Party as the agent of the other.

ARTICLE 6:
ENTRY INTO EFFECT AND DURATION

1. This Memorandum of Understanding will come into effect on the


date of signing and will remain in effect for a period of Five (5?) years.
2. This Memorandum of Understanding will be monitoring and
evaluation in effect at least one (1) time a year.
3. This Memorandum of Understanding may be extended for a further
period as may be agreed in writing by the parties.
4. If the Memorandum of Understanding is not renewed by mutual
consent. Memorandum of Understanding shall conclude at the end
of the specified period, or after activities in progress have concluded.
ARTICLE 7:
REVISION, VARIATION AND AMENDMENT

1. Either party may request in writing a revision, variation or


amendment of this Memorandum of Understanding.
2. Any such revision, variation or amendment agreed to by the Parties
shall be in writing and shall form part of this Memorandum of
Understanding.
3. Such Revision, variation or amendment shall come into force on such
date as may be determined by the Parties.
4. Any revision, variation and amendment shall not prejudice the
implementation of any project, activity or co-operation arising from
or based on this Memorandum of Understanding before or up the
date of such revision, variation or amendment.

ARTICLE 8:
TERMINATION

This Memorandum of Understanding may be terminated by either party


with a minimum of THIRTY (30) days written notice. Activities in progress at
the time of termination of this Memorandum of Understanding shall be
permitted to conclude as planned unless otherwise agreed.

ARTICLE 9:
NOTICE

Every notice, request or any other communication required or permitted to


be given pursuant to this MOU shall be in writing, in English and delivered
personally or sent by registered or certified post via air mail or by courier or
facsimile number or email to the address or sent to the electronic mail
address of Universitas Negeri Padang or xxxxxxxxxx registered (which shall
be acknowledged by the other party) to the Parties at the address number
as stated below:

ARTICLE 10:
SETTLEMENT OF DISPUTES

Any difference or dispute between the Parties concerning the


interpretation or implementation of any of the provisions of this
Memorandum of Understanding shall be settled amicably through mutual
consultation and/or negotiations between the parties, without reference to
any third party or national or international tribunal.
