LEASE AGREEMENT
This Lease Agreement is made at Gurugram, on this 15th day of December 2019
Between
Shri Arvind Dhawan Son of Shri J. C. Dhawan resident of House no. 248, Sector-1,
IMT Manesar, Gurugram, Haryana (Hereinafter called the “LESSOR”) which expression
shall, wherever the context so permits and required, mean to include their legal heirs,
AND successors, legal representatives, executors, nominees and assignees,of the one
part;
And
M/s Amfil Autotech Components Pvt. Ltd., having its registered office at A-2/39
Safdarjung Enclave, New Delhi-110029 through its Authorized Signatory/Director
Shri Sameer Bhatnagar son of Shri A. S. Bhatnagar resident of A-2/39, Safdarjung
Enclave, New Delhi – 110029, (Hereinafter called the “LESSEE”) which expression
shall, wherever the context so permits and required, mean to include their legal heirs,
AND successors, legal representatives, executors, nominees and assignees, of the
other part, witnessed as follows.

WHEREAS the Lessors are the absolute owner and in possession of premises : Plot no.
126, Sector-3, IMT Manesar, ad-measuring 1035 Sq.Mtr., situated in IMT Manesar,
Gurugram, Haryana, along with Fixtures & Furnishing mentioned in Annexure attached
herewith (hereinafter referred to as the “Demised Premises”) and are desirous of
letting out the Ground Floor admeasuring 6000 sq. ft. approx. on monthly rent. The
Basement & Roof area shall remain in the Possession of the Lessor & shall be used by
Lessor for its own use.
NOW THEREFORE, the Lessor and the Lessee have agreed to formalize their
arrangement on terms and conditions as mentioned below:
RENT
That the Lessee shall pay the Lessor for the premises Rs. 1,50,000/- (Rupees One lakh
Fifty Thousand Only) per month excluding Maintenance and Electricity charges
(as applicable) on account of Rent payable in advance on or before 7th day of each
English Calendar Month. TDS as applicable will be deducted on the rent amount and
deposited as per norms.
SECURITY DEPOSIT
That the Lessee has paid to the Lessor a sum of Rs. 4,50,000/- (Rupees Four Lakh
Fifty Thousand Only) vide RTGS from HDFC Bank Limited, having UTR No.
HDFCR52019121259134604 on 12.12.2019, as an Interest Free Refundable Security
Deposit, which will be not adjustable but refunded only on handing over the Physical
Vacant Possession of the said demised premises after deducting the wear & tear and
outstanding bills, if any.
A Fresh Agreement will be made and signed by the Lessee and the Lessor after
completion of 5 Years (Five years) Lease period.
ELECTRICITY/MAINTENANCE CHARGES
That the electricity (power and light) and maintenance charges shall be paid timely by
the Lessee as per bills received from the relevant authorities and if any interest is
charged or any penalty is imposed by the concerned authority due to any delay in
payment of the charges / other reasons by Lessee, the Lessee will be responsible for the
same.

1. That the Lessee shall not sublet the premises or any part of it.
2. That the Lessee at his own cost shall carry out, day to day repairs and minor
damages, arising in the normal course of use.
3. The Lessee shall be at liberty to carry out renovations including internal
alternations and including putting up partitions, etc., in tenanted premises, but
on condition that :
i) No alternations or additions shall be made to RCC structure of the building
(i.e. columns, walls ,beams, and / or slab);
ii) No alterations or additions shall be made which would endanger the said
building;
iii) No alterations shall be made in the external elevation of the building;
4. That the Lessee shall permit the Lessor or any of his authorized agent or
representative to enter into the demised premises for inspection or to carry
out repairs, at any reasonable time, whenever deemed necessary by the
Lessor.
5. The Lessee shall use the demised premises only for legal purposes and shall
not carry on any illegal activity of any nature what so ever. Any consequence
of such activity shall be solely on the Lessee.
6. That at the time of expiry of the Lease, the Lessee has to handover peaceful
vacant possession and handover all the keys of the demised premises to the
Lessor.
7. The Lessee shall be entitled to bring in and install in the tenanted premises
from time to time and also to remove there from, as and when required by the
Tenant, his appliances (including air-conditioner) and fixtures and / or fittings
as also the furniture, as per the requirements of the Lessee.
8. That all the sanitary, electrical and other fitting and fixtures shall be restored
by the Lessee to the Lessor at the time of handing over the demised
premises to the Lessor in as good a condition as they are at present subject
to natural wear and tear and damage by Act of God.
9. That at the time of vacating the demised premises, the Lessee shall clear all
or any of the outstanding bills or electricity charges and pay for all or any
breakage occurred during the Lease period.
10. That in case of any dispute that may arise in between both the parties, in that
case dispute/case will be handed over to the Concerned Court of Law of
Gurugram, Haryana and the case will be handed over to the Jurisdiction of
Haryana.
11. That Lessee can terminate the Lease by giving three months advance notice
after completion of Twenty Four months (lock-in period is of 24 Months).
12. That if the Lessor at any time during the period of this Lease or extended
period thereof, as hereinafter mentioned, sell and/or transfer his rights in the
said premises as a whole or in any part or parts thereof to any person or

more than one person then in such event the Lessee shall attorn to such
transferee or transferees on the same terms and conditions as are contained
herein. However, the transfer if any shall be subject to Lease.
13. That the rental due (vide Clause -1) shall be paid on or before the 7th of the
month to which rent premises pertains. In case of delay in the payments by
the Lessee to the Lessor, the Lessee shall be liable, without prejudice to any
others rights of the Lessor, under these presents and under law, to pay
interest @12% per month to the Lessor on the unpaid rent to be calculated
from the 1st day of the said month of which the delay occur till date of actual
payments.
14. That in case the Lessee contravene / violate any of the above said term and
conditions, this Lease deed shall stand automatically terminated and Lessor
has all the right to terminate the agreement with immediate effect before the
expiry of the Lease term ( in case of any violation of the terms and
conditions).
15. Any amount due from Lessee can be adjusted from security deposit and
balance amount is refundable to Lessee and the same dues should be paid
immediately from the date of termination of contract. In any further delay in
refund Lessor is liable to pay interest @12% per annum to the Lessee on the
unpaid security to be calculated from the termination day.
IN WITNESS WHEREOF the LESSEE and the LESSOR have signed this LEASE
AGREEMENT in the presence of the following witness:
