TERMS AND CONDITIONS

1. Price

Price as agreed on the Sales Agreement will only apply when the Fifty Per centum (50%) non-refundable deposit is fully paid to the Seller.

2. Applications of Conditions

The products sold and/or services rendered are subject to these Terms and Conditions to the exclusion of any other terms and conditions stipulated or
referred to by the Buyer. The Buyer acknowledges that he/she is aware of the contents of and agrees to be bound by these Terms and Conditions. Any
variation of these conditions in any document of the Buyer is inapplicable unless accepted in writing by the Seller.

3. Delivery

Any dates quoted by the Seller for the delivery of the products are approximate only and shall not form part of the Contract. The Seller shall not be liable
for any delay in delivery of the products and/or services, howsoever caused. Lead times for delivery is always given in good faith as an indication and the
Seller shall not be liable for any consequential and indirect losses, expenses or damages in whatever manner caused by late or non-delivery of goods.
Delay due to any circumstances shall not to be grounds for cancellation, claims or delay in payment to the Seller.

The Buyer shall arrange for an authorized person who is or over 18 years old to sign for delivery and notify the Seller in writing in the event that the
Buyer is unable to receive the goods on the delivery date. In the event that the Buyer suspects that the goods are lost or damaged in transit, please
contact the Seller immediately. Upon delivery, all risks of the goods shall pass to the Buyer so it is the Buyer's responsibility to keep the goods safe and
undamaged and to possess appropriate insurance to cover them if needed.

4. Specifications

a) Where specifications are to be supplied, the Buyer shall supply such specifications in reasonable time to enable the Seller to complete delivery within
the period. Delays due to incomplete specifications or preparatory works from the Buyer shall not be a grounds for cancellation, claims and/or delay in
payment to the Seller.

b) Any changes and / or alterations to the specifications, design, color and / or materials must be submitted to the Seller within Seven (7) days of this
Sale Contract. Any such changes or alterations to the specifications requested by the Buyer during the production period shall result in the extension of
the expected delivery date and the Seller shall not be liable for any consequential and indirect losses, expenses or damages caused in this manner.

c) Additional charges for any changes to design, material or alteration due to wrong specifications given will be borne solely by the Buyer.

5. Conditions and Warranties

a) Unless specified otherwise, the Seller warrants to the Buyer the Bofi manufactured cabinetry only (excluding third party products), will be free from
manufacturing defects in materials and workmanship affecting normal use for a period of five (5) years from the delivery date ("Standard Warranty").

b) This Standard Warranty does not cover damage, fault, failure or malfunction due to external causes, including accident, abuse, misuse, servicing not
authorized by the Seller, failure to perform required preventive maintenance, normal wear and tear, water damage, acts of God, fire, flood, war, act of
violence or any similar occurrence; any attempt by any person other than the Seller's personnel or any person authorized by the Seller, to adjust, repair or
support the Products and problems caused by use of parts and components not supplied by the Seller.

c) The Buyer agrees that, in relation to third party products, such as but not limited to, handles, worktops, appliances, accessories, purchased through the
Seller, where such of the Products are covered by a relevant manufacturer's warranty, then the Standard Warranty shall not extend to such Products and
such manufacturer's warranty shall be the sole warranty in respect of such Products. The Customer shall utilize that warranty for the support of such
Products.

d) Electrical components such as lightings, sockets, switches and transformers are given a warranty period of one (1) month from the date of hand over
against manufacturing defects. The guarantee does not cover damage, fault, failure or malfunction due to external causes, including accident, abuse,
misuse, problems with electrical power, servicing not authorized by the Seller, failure to perform required preventive maintenance, normal wear and tear,
act of God, fire, flood, war, act of violence or any similar occurrence; any attempt by any person other than the Seller's personnel or any person
authorized by the Seller, to adjust, repair or support the Products and problems caused by use of parts and components not supplied by the Seller.

e) The Standard warranty covers the cost of goods only. Transportation and labor charges may be charged based on the location and complexity of the
replacement.

6. Defective Goods

Goods represented by the Buyer to be defective shall not form the subject of any claim for work done by the Buyer or for any loss, damages or expense
whatsoever arising directly or indirectly form such defects, but such goods, if returned to the Seller and accepted as defective, shall not be grounds for
cancellation of the remainder of the order or contract.

7. Indemnities

The Buyer shall indemnify the Seller against all damages, penalties, costs and expenses to which the Seller may become liable as a result of work done in
accordance with Buyer's specifications which involves the infringement of any letters patent or registered design.

8. Determination of Contract

If the Buyer shall make default in or commit a breach of the contract or of any other of his obligations to the Seller, or if any distress or execution shall be
levied upon the Buyer's property or assets or if the Buyer shall make or offer to make any arrangement or composition with creditors commit any act of
bankruptcy or if any petition or received order in bankruptcy shall be presented or made against him, or if the Buyer is limited company and any
resolution or petition to wind up such company's business (other than for the purpose of amalgamation or reconstruction) shall be passed or
presented , or if a receiver of such company's undertaking, property or assets or any part thereof shall be appointed, the Seller shall have right forth with
to determine any contract then subsisting and upon written notices of such determination being posted to the Buyer's last known address any
subsisting contracts shall be deemed to have been determined without prejudice to any claim or right the Seller may otherwise make or exercise.

9. Lien

Notwithstanding that credit has been given for payment of the price of goods the Seller shall be entitled to retain possession thereof until payment. In
addition to any right of lien of which there maybe laws which entitles the Seller, the Seller shall have a general lien upon all goods, money or other
property of whatever kind belonging to the Buyer as may be in the Seller's possession for the unpaid price of any other goods sold and delivered to the
Buyer by the Seller under the same or any other contract.

10. Terms of Payment

a) Kitchen Cabinets
i) A non-refundable deposit equivalent to Fifty Percent (50%) of the purchase price shall be paid to the Seller upon execution of this agreement.
ii) The balance of Fifty Percent (50%) of the purchase price must be fully paid to the Seller prior to goods being delivered to site.
iii) The Seller has sole right to cancel the Sales Agreement if Fifty Percent (50%) deposit is not fully received from the Buyer within Thirty (30) days upon
signing the Sales Agreement & whatsoever amount of deposit paid to the Seller will not refunded.

b) Appliances, Accessories, Worktops and Other Furniture


i) A non-refundable deposit equivalent to Fifty Percent (50%) of the purchase price shall be paid to the Seller upon execution of this Agreement.
ii) The balance of Fifty Percent (50%) of the purchase price must be fully paid to the Seller prior to goods being delivered to site.
iii) Third party products such as but not limited to, appliances, accessories, worktops and cabinetry fittings are subject to availability from suppliers. Seller
will not be held liable in the case of cancellation, discontinuation of product or late supply from the suppliers due to any unforeseen circumstances.

11. Scope of installation works

The scope of installation works of the Seller is limited to the products purchased from the Seller only. The Seller reserves the right to not perform any
installation works on any products not purchased from the Seller. In addition, the following works are not part of the scope of works of the Seller and any
works of such nature shall be performed by and its costs borne by the Buyer.

i) The dismantling and/or disposal of any existing items which includes built-ins (kitchen cabinets, wardrobes, etc.), electrical appliances, worktops,
accessories and the like.
ii) Relocation of Mechanical and Electrical Points (M&E)
iii) Any masonry works
iv) Paint Jobs
v) Plastering jobs
vi) Any gas related works which includes gas connection of appliances, gas piping works, and/or gas supply & maintenance.
