person’s title and position within the company - THE UMALAS SIGNATURE –
BALI, located in Jl. Bumbak No. 156, Kerobokan, Kuta Utara, Badung 80361,
Bali. Furthermore, will act upon and mentioned as FIRST PARTY within this
contract.

2. Chrisfian Nehemia
Consultant Head - RENJANA CULINARY, based on this person’s title and
position within the company - RENJANA CULINARY, located in JI. Puri Gading
No. 9 Jimbaran – Bali. Furthermore, will act upon and mentioned as SECOND
PARTY within this contract.

Dengan ini menyatakan KEDUA BELAH PIHAK, telah setuju dan sepakat untuk saling
mengikat diri dalam suatu PERJANJIAN/KONTRAK KERJA PERENCANAAN HOTEL THE
UMALAS SIGNATURE – BALI

This states that BOTH PARTIES have agreed and agreed to mutually bind themselves in an
AGREEMENT LETTER/WORKING CONTRACT of KITCHEN DESIGN PLANNING, FOR HOTEL THE
UMALAS SIGNATURE – BALI.

PASAL 1
DASAR PELAKSANAAN PEKERJAAN

A. Pekerjaan Perencanaan Disain Dapur HOTEL THE UMALAS SIGNATURE - BALI


harus dilaksanakan oleh PIHAK PERTAMA atas dasar Surat Penawaran tanggal...
APRIL 2023 dan sesuai dengan kesepakatan antara PIHAK PERTAMA dan PIHAK
KEDUA yang merupakan bagian yang tidak terpisahkan dari Surat
Perjanjian/Kontrak Kerja ini.

ARTICLE 1
BASIS OF WORK COMPLETION

A. Kitchen Design Planning for HOTEL THE UMALAS SIGNATURE - BALI has to be
completed by the FIRST PARTY based on the Offer Letter date… APRIL 2023 and
in accordance with the agreement of BOTH PARTIES as an integral part of this
Agreement Letter/Working Contract.

PASAL 2
TUGAS DAN KEWAJIBAN PIHAK PERTAMA

A. PIHAK PERTAMA memberi tugas pekerjaan kepada PIHAK KEDUA dan PIHAK
KEDUA menyatakan menerima tugas dan pekerjaan tersebut di atas
sebagaimana tercantum dalam Ayat B. Pasal 2 ini.

B. Tugas dan pekerjaan yang dimaksud dalam Ayat A. adalah pekerjaan


perencanaan tata letak peralatan dapur untuk HOTEL THE UMALAS
SIGNATURE yang berkedudukan di Jl. Bumbak No. 156, Kerobokan, Kuta
Utara, Badung 80361, Bali.

C. Kewajiban PIHAK PERTAMA wajib membantu untuk memberi data struktur


dan konstruksi secara detail yang diminta oleh PIHAK KEDUA.

D. PIHAK KEDUA memberikan informasi maupun data-data (gambar


alur/denah, kebutuhan peralatan dapur dan mesin pendukung) yang
diperlukan untuk menunjang kelancaran pelaksanaan pekerjaan sesuai
dengan kesepakatan yang telah di bicarakan.

E. PIHAK PERTAMA wajib membayar kepada PIHAK KEDUA atas penyelesaian


pekerjaan perencanaan yaitu sesuai harga yang tercantum di dalam
kontrak.

ARTICLE 2
DUTIES AND OBLIGATION OF FIRST PARTY

A. FIRST PARTY have to provide task of work to SECOND PARTY and the
SECOND PARTY have to state they have received the task and work as
stated in Paragraph B. Article 2.

B. Task and work spoken about in Paragraph A. is the kitchen design planning
for HOTEL UMALAS SIGNITURE which is located in Jl. Bumbak No. 156,
Kerobokan, Kuta Utara, Badung 80361, Bali.

C. The obligations of FIRST PARTY is to help provide detailed structural and


construction data that is requested by the SECOND PARTY.

D. SECOND PARTY will provide information and data (design layout/plan,


kitchen equipment, and supporting equipment) which is necessary to ease
the implementation of the work accordance with the agreement that has
been discussed with both parties.

E. FIRST PARTY is obligated to pay the SECOND PARTY for the completion of
the work plan according to the price stated in the contract.

PASAL 3
TUGAS DAN KEWAJIBAN PIHAK KEDUA

A. PIHAK KEDUA wajib melaksanakan dan menyelesaikan seluruh pekerjaan


perencanaan sesuai ketentuan dokumen kontrak sampai diserahkan kepada
PIHAK PERTAMA.

B. Pekerjaan perencanaan yang dimaksud dalam Ayat A. Pasal 3 adalah:

a. Perkerjaan gambar disain (tata letak, tampak ruangan, gambar


perspektif).
b. Pemilihan, penempatan mesin dan alat pendukung sesuai dengan
gambar disain yang di serahkan oleh PIHAK KEDUA.
C. Lingkup tugas yang harus dilaksanakan oleh PIHAK KEDUA adalah pada
ketentuan yang berlaku berdasarkan tahap yang harus dilaksanakan sebagai
berikut:

a. Persiapan Perencanaan termasuk survey seperti pengukuran
lokasi, serta mengumpulkan data dan informasi lapangan.
b. Penyusunan Rencana Kerja Detail:
1. Gambar-gambar detail utilitas sesuai dengan gambar rencana
yang telah disetujui.
2. Rencana kerja dan syarat-syarat yang telah di sesuaikan oleh
ke DUA BELAH PIHAK.

D. Membantu PIHAK PERTAMA pada waktu penjelasan pekerjaan (Aanwijzing),


termasuk menyusun Berita Acara tentang penjelasan pekerjaan, evaluasi
penawaran.

E. Mengadakan pengawasan berkala selama pelaksanaan konstruksi fisik


dengan catatan peralatan yang di instal berdasarkan saran dan dari
perusahaan yang telah ditunjuk oleh PIHAK KEDUA melingkupi:

a. Melakukan penyesuaian gambar dan spesifikasi teknis


pelaksanaan bila ada perubahan.
b. Memberikan penjelasan terhadap persoalanpersoalan yang
timbul selama pelaksanaan dan sebelum pelaksanaan instilasi.
c. Memberikan saran-saran dan membuat laporan akhir (berita
acara).

F. PIHAK KEDUA (Konsultan Perencana) bertanggung jawab secara profesional


atas jasa perencanaan yang dilakukan sesuai dengan ketentuan dan kode
tata laku profesi yang berlaku.

ARTICLE 3
TASK AND OBLIGATIONS OF SECOND PARTY

A. SECOND PARTY is obligated to conduct and complete all the work plan in
accordance with the provisions of the contract document until it is
submitted to the FIRST PARTY.

B. The work plan referred to in Paragraph A. Article 3 is:

a. Work of design images (layout, room space view, perspective


images).
b. Selection, placement of equipment and supporting equipment
based on the design images provided from the SECOND PARTY.

C. Scope of task to be conducted by SECOND PARTY is based on the provisions
that apply based on the stages that must be carried out as follows:

a. Preparation for the work plan includes surveys such as, measuring
the location, as well as collecting data and information from the
site.

b. Preparation of detailed work plan:


1. Detailed images of the utility/facility based on the design that
has been approved.
2. Work plans, terms and condition which arranged by BOTH
PARTIES.

D. Assisting FIRST PARTY during briefing of the task (Aanwijzing), which


includes making a report and bid evaluation.

E. Periodic supervision during the implementation of physical construction


with a record of the equipment installed based on suggestions and from the
company appointed by the SECOND PARTY which it covers:

d. Make adjustments to the drawings and technical specifications of


instillation if there are changes.
e. Provide an explanation of the problems that arise during the
instillation and before the installation.
f. To give advices/suggestions and make an end-report.

F. SECOND PARTY (Consultation Planning) is responsible in professional


manner for the services in accordance with the applicable provisions and
code of professional conduct

PASAL 4
BIAYA PEKERJAAN DAN TATA CARA PEMBAYARAN

A. Biaya pertama pekerjaan PIHAK KEDUA (Konsultan Perencana) untuk


melaksanakan pekerjaan Jasa Konsultansi Perencanaan HOTEL THE UMALAS
SIGNATURE sebesar: Rp.100.000.000,00 (SERATUS JUTA RUPIAH) ditambah
PPN 11% sebesar Rp 11.000.000,00 (SEBELAS JUTA RUPIAH) sehingga total
biaya
Rp. 111.000.000,00 (SERATUS SEBELAS JUTA RUPIAH). Pembayaran Pertama
sejumlah 30% dari jumlah biaya perencanaan yaitu 30% x Rp
111.000.000,00 = Rp.33.300.000,00 (TIGA PULUH TIGA JUTA TIGA RATUS
RIBU RUPIAH) dibayar setelah penandatanganan kontrak sebagai uang

B. Pembayaran kedua sejumlah 60 % dari jumlah biaya perencanaan yaitu:
60 % x Rp.111.000.000,00 = Rp. 66.600.000,00 (ENAM PULUH ENAM JUTA
ENAM RATUS RIBU RUPIAH) dibayar setelah konsultan perencana
menyelesaian dan menyerahkan hasil karya perencanaan berupa:

a. Gambar Detail Disain:


1. Tata letak
2. Tampak ruang
3. Gambar perspektif

C. Pembayaran Ketiga sejumlah 10% dari jumlah biaya perencanaan yaitu: 10%
x Rp. 111.000.000,00 = Rp. 11.100.000,00 (SEBELAS JUTA SERATUS RIBU
RUPIAH) dibayar setelah konsultan perencana menyelesaikan dan
menyerahkan hasil karya perencanaan berupa:

a. Gambar Detail Desain Terakhir setelah revisi (maksimum 2


revisi):
1. Tata Letak
2. Tampak Ruang
3. Gambar Perspektif
4. Data dan Daftar Peralatan Dapur dan Peralatan Penunjang

D. Apabila terjadi revisi setelah masa maksimum pada Pasal 4 paragraf C.a.
maka akan di kenakan biaya tambahan sesuai dengan kesepakatan Kedua
Belah Pihak.

Pembayaran dilakukan melalui Rekening Chrisfian Nehemia melalui Bank BCA


dengan Nomor Rekening : 61301375588

ARTICLE 4
SERVICE FEE AND PAYMENT PROCEDURES

A. First Payment to SECOND PARTY for conducting consultation services to


HOTEL THE UMALAS SIGNATURE in the amount of: Rp.100.000.000,00 (ONE
HUNDRED MILLION RUPIAH) plus VAT 11% in amount to Rp. 11.000.000,00
(ELEVEN MILLION RUPIAH) which totals to Rp. 111.000.000,00 (ONE
HUNDRED ELEVEN MILLION RUPIAH). The first payment 30% from the total
service fee which is 30% x Rp. 111.000.000,00 = Rp. 33.300.000,00 (THIRTY-
THREE MILLION THREE HUNDRED THOUSAND RUPIAH) will be paid by FIRST
PARTY after the signing of this contract as down payment.

B. Second payment to SECOND PARTY as much as 60% from the total service
fee which is: 60% x Rp.111.000.000,00 = Rp. 66.600.000,00 (SIXTY-
SIXMILLION SIX HUNDRED THOUSAND RUPIAH) must be paid once the
consultation services is finished and the result of the work plan has been
submitted in the form of:

a. Detailed Design Images:


1. Layout
2. Room space view
3. Perspective images

C. Third payment to SECOND PARTY as much as 10% from the total service fee
which is: 10% x Rp. 111.000.000,00 = Rp. 11.100.000,00 (ELEVEN MILLION
ONE HUNDRED THOUSAND RUPIAH) must be paid once the consultation
services is finished and the result of the work plan has been submitted in the
form of:

a. Finalized Detailed Design Images after revision (maximum 2


revision):
1. Layout
2. Room space view
3. Perspective images

2. Information list of kitchen equipment and supporting equipment.

D. If there is a revision over the maximum revision amount stated in Article 4


Paragraph C.a. then an additional fee will be charge according to BOTH PARTIES.

Payment will be processed using this Bank BCA with account name Chrisfian
Nehemia and Account Number: 61301375588

PASAL 5
JANGKA WAKTU PELAKSANAAN PEKERJAAN PERENCANAAN

A. Jangka waktu pelaksanaan pekerjaan tersebut pada Pasal l harus sudah


diselesaikan seluruhnya oleh PIHAK KEDUA dalam jangka waktu selambat-
lambatnya 90 (sembilan puluh) hari kerja.

TIME PERIOD FOR IMPLEMENTATION OF WORK PLAN

A. Time period for implementation of work plan mentioned in ARTICLE 1 has to be
completed within 90 (ninety) business days.

PASAL6
LAIN-LAIN

A. Segala sesuatu yang belum diatur dalam kontrak pekerjaan ini atau perubahan-
perubahan yang dipandang perlu oleh kedua belah pihak akan diatur lebih
lanjut dalam surat perjanjian tambahan (addendum) dan merupakan perjanjian
yang tidak terpisahkan dari kontrak kerjasama ini.

B. Kontrak pekerjaan ini dibuat dalam rangkap dua dengan dua versi bahasa
(Inggris dan Indonesia) bermaterai cukup dan mempunyai kekuatan hukum
yang sama masing-masing untuk PIHAK PERTAMA dan PIHAK KEDUA.

ARTICLE 6
OTHER THINGS

A. Everything that has not been arranged in this work contract or changes deemed
necessary by BOTH PARTIES will be further arranged in an additional agreement
(addendum) and is an agreement that is inseparable from this cooperation
contract.
B. This contract is made in duplicate with two language version (English and
Indonesian) with enough subject matter and have the same legal force
respectively for the FIRST PARTY and the SECOND PARTY.

PASAL 7
PENYELESAIAN PERSELISIHAN

A. Jika terjadi perselisihan antara kedua belah pihak, maka pada dasarnya akan
sebisanya di selesaikan secara musyawarah.
B. Apabila terjadi perbedaan persepsi tentang isi kontrak, maka akan di selesaikan
mengunakan kontrak dengan versi Bahasa Indonesia sesuai dengan kedudukan
dimana kesepakatan kontrak dibuat (Indonesia).

ARTICLE 7
DISPUTE RESOLUTION

A. If there is a dispute between the two parties, then basically it will be resolved
as much as possible by deliberation.

B. If there are differences in perceptions about the contents of the contract, it will
be resolved using the contract with the Indonesian version according to the
position where the contract agreement was made (Indonesia).

PASAL 8
PENUTUP

A. Kontrak Pekerjaan Konsultansi Perencanaan ini ditandatangani oleh KEDUA


BELAH PIHAK di……. pada hari dan tanggal tersebut diatas.

B. Kontrak Pekerjaan Konsultansi Perencanaan ini dinyatakan berlaku sejak


ditandatangani oleh PIHAK PERTAMA dan PIHAK KEDUA.

ARTICLE 8
ENDING STATEMENT

A. This Consultation Work Planning Contract is signed by BOTH PARTIES in……. day
and dated written above.

B. This Consultation Work Plan Contract is declared valid since it was signed by
the FIRST PARTY and the SECOND PARTY.
