CONSENT AND RELEASE For good and valuable consideration the receipt of which is hereby acknowledged, I hereby irrevocably grant to Twenty One And Over Productions, Inc. ("Producer") its licensees, successors and assigns and those acting under its permission or upon its authority and those for whom it is acting, my consent and the absolute, unrestricted and irrevocable right and permission to copyright, record, reproduce, broadcast, distribute, edit, publish, exhibit, sell, disseminate and use in any way forever and throughout the world the audio and visual portions of any videotape, motion picture or photographic portraits or pictures of me or of scenes or sequences in which I may be included in whole or in part (including, without limitation, my singing and/or spoken voice), whether or not in conjunction with my own or fictitious name, and any reproduction thereof in color or otherwise, made through any medium or media in connection with, and as part of, the motion picture presently entitled "21 & Over" (the "Picture") and for advertising, publicity, distribution or exhibition or any other purpose whatsoever related thereto, including, without limitation, the soundtrack thereof, as part of the EPK, as bonus material on the DVD, in promotional programs and/or on IAMRogue.com and mash ups. I hereby assign to Producer all right, title and interest in any videotape, negative and prints made in connection with the above for exploitation by Producer in any and all media of any nature whatsoever now known or hereafter devised, along with full rights of assignability. Such right and permission shall be exercisable (in whole, in part or not at all) at the discretion only of Producer, its licensees, successors and assigns and those acting under its permission or upon its authority or for whom it is acting. All elements (physical and otherwise) of the Picture, including, without limitation, story, settings, themes, cast, crew and characters, contact information, interviews, and all other aspects of the Picture are confidential, and by signature below, you hereby acknowledge and agree to keep the foregoing strictly confidential and not to copy, disclose or reveal any of the foregoing to any other person and/or entity. You shall not issue, authorize or otherwise participate in the publication or issuance through any medium [including, without limitation, television, print, radio, social media (e.g., Facebook, Twitter or other similar interactive social network), blog, internet, etc.] of any story or publicity relating to any element of the Picture, including, without limitation, any services you may provide in connection therewith. At no time are you authorized to take photographs or use a still or video camera while on set (which prohibition shall include using a mobile device as a camera). I hereby waive any right that I may have to inspect or approve any finished product (including any advertising, publicity, promotion and/or trade materials that may be used in connection therewith) or the use to which such finished product may be applied. I hereby release, discharge and agree to save harmless Producer, its licensees, successors and assigns and all persons acting under its permission or authority and those for whom it is acting, from any liability, including, without limitation, liability for libel, defamation, invasion of privacy of whatsoever kind, by virtue of any blurring, distortion, alteration, optical illusion or use in composite form or any other use whatsoever, whether intentional or otherwise, or any portrait or picture of me, or reference to me or my name, or my singing or spoken voice, or of any scene or sequence in which my likeness, voice or such reference appears. No breach of this release or violation of my rights shall entitle me to terminate or rescind the rights granted to Producer herein and in the event of any question of Producers performance of its obligation hereunder, I hereby waive the right, in the event of any such breach, to equitable relief or to enjoin, restrain or interfere with the exercise or any of the rights granted herein, the Picture or any party thereof, it being my understanding that my sole remedy shall be the right to recover monetary damages with respect to any such breach, but in any event, no consequential, punitive or special damages. I hereby warrant that I am over the age of 18, have every right to contract in my own name in the above regard, the consent of no other party is required to grant the rights granted herein, Producers exercise of the rights shall not violate or infringe any rights of any third party and I am not a member of, and any performance and/or recordings of me hereunder is not subject to, any collective bargaining agreement. I hereby agree to indemnify Producer from and against all claims, damages or expenses resulting from any breach of my representations and warranties. I acknowledge that I have read this Consent and Release prior to signing it and that I understand its contents.
