EMPLOYMENT AGREEMENT

AGREEMENT dated the 21st of March 2017 between All Prosper K.K. (“Berlitz Sendai Language Center”) and,
Marilyn Nuas Kudo, the Administrative Assistant (A.A.).

IT IS HEREBY AGREED AS FOLLOWS:

1. EMPLOYMENT
All Prosper hereby agrees to employs the A.A. upon the terms and conditions herein set forth at the premises
specified in the scheduled annexed hereto or at any other premises located within Japan, at the option of All
Prosper.

2. AGREEMENT
The A.A. agrees to all the terms and conditions herein set forth at the premises specified in the CONTRACT. The
A.A. agrees not to undertake any other activities in competition with All Prosper, or any activities which would
interfere with the efficient discharge of duties specified in the CONTRACT including, without limiting the foregoing,
the absconding with or the photocopying of proprietary documents for use other than for work at authorized
locations. The offering of any information about Berlitz International, or any of its franchises, to any person other
than those with a vested interest in Berlitz and its affiliates. All materials and information should be treated
confidentially, as Berlitz property, and should not be use for personal gain, nor to be provided for the personal gain
of others. Any inquiries from the news media or outside organizations about a client or assignment or employee
must be referred directly to the appropriate manager or marketing representative. Upon termination of
CONTRACT for whatever cause the A.A. shall deliver to Berlitz Sendai all collateral materials, books, training
materials, notes, and records issued by Berlitz Sendai or any of its affiliates to the appropriate manager.

3. TERM OF EMPLOYMENT
Subject to the provisions for earlier termination hereafter contained, the A.A.’s employment hereunder shall
commence on the date of his or her reporting for work at All Prosper premises pursuant to the terms of this
agreement and shall continue for 6 years from March 29, 2017 or from the first day of work from Berlitz Sendai.

4. HOURS OF WORK
a. All Prosper shall prepare a work schedule to be agreed upon by the A.A. indicating the hours during
which the A.A. expected to work and such hours shall constitute the agreed to Working Hours.
b. Subject to the provisions of paragraph hereof the A.A. shall be available to All Prosper during the
agreed Working Hours in each week to assist for such number of hours in the office and shall also be
present at the All Prosper premises at such times during the agreed to Working Hours as All Prosper
shall require for discussion of the administrative processes and for any other business purpose which
All Prosper reasonably may require.
c. The A.A. shall not be required to work outside of the agreed to Working Hours except as maybe
agreed upon from time to time between All Prosper and the A.A..

5. REMUNERATION
a. All Prosper shall pay the A.A. at the rates specified in All Prosper Standard Schedule of Basic Pay Rates
plus supplements for the time being in force and exhibited on the A.A.s notice board and
remuneration shall be paid by All Prosper to the A.A. in respect of each calendar month on the 10th
business day of the month. The monthly salary is ¥327,000.
6. HOLIDAYS
a. All Prosper recognized the following as legal holidays:
1/1,1/13,2/11,3/21,4/29,5/3,5/5,5/6,7/21,9/15,9/23,10/13,11/3,11/24,12/23,12/25
(dates will vary on calendar year) and/or such other days as may be substituted for the above by law
(or at the discretion of All Prosper) by local custom.

7. ILLNESS
a. If during the term of this Agreement the A.A. shall become incapable through illness or accident of
attending to his/her duties hereunder, he/she shall within 72 hours of his/her first absenting
himself/herself, send to All Prosper a certificate of his/her disability signed by a registered medical
practitioner and during his/her continued absence the A.A. shall send a further certificate every
week.

8. SUMMARY DISMISSAL
a. If the A.A. shall be guilty of misconduct of any breach or non-observance of any of the conditions of
this Agreement or shall neglect or fail or refuse to carry out the duties assigned to him/her,, All
Prosper shall be entitled to summarily terminate his/her employment hereunder without notice and
without severance payment.

9. INTERPRETATION
a. This Agreement contains the entire understanding between the parties hereto and supersedes all
other oral and written agreements or understandings between them. No modification or attention
hereto or waiver or cancellation of any provisions hereof shall be valid unless the same is in writing
and signed by or on behalf of the parties hereto.
b. The words used in this Agreement shall be held invalid or unenforceable, that shall not affect the
validity or enforceability of the remaining provisions hereof.

This Agreement is made and entered into in Japan and the validity and construction of this agreement or of any of
its provisions shall be determined under the laws of Japan.
