INTELLECTUAL PROPERTY USEAGE POLICY AND TERMS

1. In order to assist You to market and sell the products (“Purpose”), We may from time to time provide You with materials concerning the
Products we supply to You which are or contain our intellectual property. These materials may include product photos, images or diagrams;
product specifications, trade marks, brand names, and related logos (“NAPA Auto Parts AU Materials”).

2. We own or are otherwise entitled to supply You with the NAPA Auto Parts Materials.

3. The NAPA Auto Parts Materials are provided to You on the terms set out in this usage policy and terms, and we will only supply the NAPA
Auto Parts Materials to you if you agree to comply with this usage policy and terms.

4. You are granted an revocable, royalty-free, non-exclusive licence to use the NAPA Auto Parts Materials for the Purpose, and for no other
purpose. You must use the NAPA Auto Parts Materials in the format they are provided to you, and in accordance with any other policy or
directions supplied to You by Us. You may only reproduce the NAPA Auto Parts Materials to the extent necessary for the purpose or as
otherwise approved by Us.

5. If requested by Us, You must immediately cease using any NAPA Auto Parts Materials we specify, and comply with any reasonable directions
We give You concerning the return or destruction of the NAPA Auto Parts Materials.

6. These terms do not convey any proprietary or other rights over the NAPA Auto Parts Materials. You must not do any act or thing which may
damage the reputation or goodwill inherent in the NAPA Auto Parts Materials. You must not seek to use or register a trade mark which is the
same as or deceptively similar to any trade marks forming part of the NAPA Auto Parts Materials.

7. You may only use the NAPA Auto Parts Materials in connection with the products We sell to You. You must not apply the NAPA Auto Parts
Materials to nor use the NAPA Auto Parts Materials in connection with any other goods or services.

8. If you wish to use the NAPA Auto Parts Materials in connection with any advertising, catalogues, website, or other marketing collateral, you
must seek our consent and provide us with samples of the proposed use for our approval prior to issuing the material to the market. You should
contact the NAPA Auto Parts Marketing Manager at [email protected] to obtain approval.

9. You are responsible for all costs associated with your use of the NAPA Auto Parts Materials unless we expressly agree otherwise.

10. These terms form part of and are additional to the terms and condition upon which we provide the Products to You.

The parties agree to the supply and receipt of the Products on the terms and conditions set out in this Intellectual Property Licence.
