    AFFIDAVIT OF TRANSFER OF OWNERSHIP OF BUSINESS

    I, PABLITO AMOR CAYAT, Jr., of legal age, married, Filipino citizen and
    with office address at Decibar Bldg., Bonifacio St., Baguio City, Philippines,
    after having been duly sworn to in accordance with law hereby depose and
    states that:

    1. I am the proprietor of the FITNESS GYM with business address at No.


    7 1st Kayang St., Baguio City, Philippines,;

    2. I intend to transfer the management and operation of the aforesaid


    business to JAMES MHERALD C. UTSIG and the business name will
    be changed to GENERATION ION GYM;

    3. The reason that I will transfer the management of the business is due
    to the fact that I can’t personally manage it as I am busy with other
    activities. The aforementioned business will still operate at the same
    business address and will still be engaged in the same business line;

    4. I am executing this affidavit to attest to the veracity and truthfulness


    of the foregoing and for all legal intents and purposes it may serve.
