customer’s scope.

TERMS & CONDITIONS:

PRICE BASIS: The prices quoted are in USD per unit on FOB India net to you, exclusive of Import Duty
and any other charges as may be applicable in the country of import.

INSPECTION: The goods will be offered for inspection to the buyer or his authorized representative at
our works before dispatch if so required. The inspection will be carried out by the buyer at his own
cost within 10 days from the date of inspection call regarding the readiness of the goods. The goods
will be inspected as per the details given in the purchase order. It is not possible to conduct any trial
run. Any delay in the inspection beyond the stipulated period shall mean that the inspection is not
required and further action for payment release and dispatch will be made.

PAYMENT TERMS: 100% through an irrevocable, payable at sight, without recourse, confirmed Letter
of Credit, confirmed for payment by a prime bank acceptable to the Supplier’s bankers to be
established in favour of supplier CAPIOUS ROADTECH PVT. LTD. Ahmedabad, India. The said L/C
should provide a minimum of 21 days for negotiation from the date of B/L.

All charges levied by the Bank for opening the L/C shall be to the account of opener / purchaser and
the charges levied by the bank for advising, negotiation, confirmation and reimbursement under the
L/C shall be to the account of supplier / beneficiary and this may be clearly provided in the L/C.

SHIPMENT: The Shipment will commence within 4-6 weeks from the date of receipt of technically &
commercially clear order along with advance and the operative & acceptable L/C at our end. The
delivery is subject to FORCE MAJEURE clause. Date of dispatch will be the date of delivery.

COMMISSIONING: The bitumen sprayer is ready to use equipment. However, if customer want our
technician to come to site for Commissioning; buyer will have to bear return air ticket, appropriate
lodging and boarding, local conveyance and out of pocket expenses for our erection personnel (2
persons). Sufficient advance notice will be given regarding the readiness at site as per requirement
for carrying out the job. Any documents required for obtaining the visas will be provided by the
buyer. The buyer shall arrange all necessary tools, tackles, welding set, and handling equipment,
electricity, water, raw materials, fuel, etc. as may be required to carry out the erection &
commissioning. The buyer shall arrange to fulfill all necessary local Govt. & statutory requirements.
The appropriate security & wellbeing of the deputed staff would be the responsibility of the buyer.

WARRANTY: The machines offered by us are warranted for a period of twelve months from the date
of dispatch against any manufacturing defects and material under normal use, service and specified
duty conditions.

Products or parts thereof not manufactured by the seller are guaranteed only in accordance with the
respective manufacturer’s guarantee and then only to the extent that the seller is liable to enforce it.

Warranty claim shall be limited to rectifying, repairing or replacing defective items / parts ex-works
provided the buyer has given immediate written notice within the time specified above. The items /
parts for repairs should be returned to us free of cost. The replaced / repaired parts will be supplied
on ex-works basis.

However, the warranty shall not cover the following: -

1. For any wear and tear items like washers, rubber parts, electrical items like bulb, switches,
fuses, etc.
2. Unauthorized repair / removal of any item.
3. Any natural usage wears.
4. Mishandling or accidental damage of the equipment or spares.
5. Any consequential damages, direct or indirect, caused to the buyer.

VALIDITY: This offer is valid for 30 days from the date hereof and thereafter is subject to our
confirmation in writing.
