TEMPORARY PERMIT
The CIVIL AVIATION AUTHORITY OF THE PHILIPPINES (hereinafter called
“LESSOR”) does hereby grant to TRAVELMAX (hereinafter called “PERMITTEE”) this
Temporary Permit (TP) to enter herein described premises for the purpose of the herein described
privilege subject to the following terms and conditions:
1. PERMITTEE’S ADMISSION/INFORMATION

2.1 The PERMITTEE shall pay the total fee as indicated under Item 1.10 prior to
commencement of the TP.
2.3 How Payment Made. Payment shall be made in Philippine currency. If paid
in currency other than Peso, the prevailing Bangko Sentral ng Pilipinas rate
shall be used for that particular day of payment.
3.1 The PERMITTEE hereby expressly agrees and warrants that the Leased
Premises shall be used by it exclusively for the purposes as defined under
Item 1.11 of this TP and for no other purpose.
3.2 The PERMITTEE shall comply with all applicable laws, ordinances and
regulations of the national or local government as well as the LESSOR, and
shall not use the Leased Premises for any unlawful, improper, immoral or
offensive purpose, or for any other act in contravention of law, ordinance,
administrative order, rules or regulations, policies and guidelines of the
LESSOR.
3.3 The PERMITTEE shall not assign, sublease, transfer, mortgage, or encumber
its right of lease over the Leased Premises in any manner. The LESSOR,
upon notice, may automatically terminate or cancel this TP upon discovery of
the violation of this provision.
3.4 The PERMITTEE, its employees, visitors, agents and those doing business
with it shall be bound to abide by and follow the security procedures being
implemented within the airport premises. In cases of emergency situations,
non-compliance or violation of safety and security protocols, the LESSOR
may, through its own Civil Security Intelligence Service (CSIS), the PNP-
ASG, and/or other private security personnel, may deny entry or ban the
PERMITTEE its employees and agents from entering the airport premises for
a certain period of time or permanently, as the case may be.
4.1 The PERMITTEE shall, at its own expense, keep the Leased Premises
together with the spaces, alleys, sidewalks and hallways bordering the same
in good, clean, sanitary, safe and tenantable condition at all times, shall
exercise utmost care in the maintenance and upkeep of the Leased Premises
and shall always ensure the safety of the Leased Premises from destruction.
4.2 The PERMITTEE shall not bring into or store in the leased premises within
the Passenger Terminal Building any inflammable or explosive materials or
any article of whatever kind and nature which may expose the Leased
Premises to fire and other hazards or increase the rate of insurance of the
leased premises.
4.3 The PERMITTEE shall load and unload cargoes, goods, articles or things
only during such hours and through such entrances and routes as shall be
determined by the LESSOR.
5.1 The duration of this TP shall be for a period as indicated under Item 1.6 of
this TP (the “Permit Term”), or unless pre-terminated by the either party,
based on grounds stated in this TP and the CAAP Concession Manual subject
to a minimum of three (3) days written notice to the other party.
5.3 In case of any breach of any or all conditions, covenants or terms of this TP
by the PERMITTEE, which breach is not cured or remedied by the
PERMITTEE within thirty (30) days from the date of the occurrence of the
breach, the LESSOR may declare this TP automatically terminated and
without further force and effect. The LESSOR shall have the further right to
eject the PERMITTEE from the Leased Premises and to recover all amount
due as rentals and other charges payable by PERMITTEE hereunder, as well
as damages including reasonable attorney’s fees and costs of litigation, actual
or consequential, resulting from such breach or default, such amount shall not
be lower than one hundred thousand pesos (Php100,000.00) representing
liquidated damages for the breach.
5.5 Upon the LESSOR’s request following its termination of this TP for any
reason whatsoever, the PERMITTEE shall immediately vacate the Leased
Premises, turn over all the keys and return possession thereto to the LESSOR,
unless this TP is renewed.
5.6 If the PERMITTEE fails to return the Leased Premises to the LESSOR at the
end of the term of this lease, the PERMITTEE shall pay the LESSOR, as
damages, a sum equal to the period the PERMITTEE failed to vacate the
Leased Premises plus cost of litigation and actual damages.
6.1 Airport Development. In the event that the LESSOR requires the Leased
Premises for use in the airport’s development, the PERMITTEE shall transfer
to such area suitable to their needs within the Airport complex and the
PERMITTEE shall be given one (1) day to one (1)week or reasonable period
not exceeding one (1) month after receipt of written notice to effect such
transfer.
