MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into by and between:

The Company Name, a state university duly organized and operating under the
laws of the Republic of the Philippines with official address at <address>,
represented by its Positon of Representative, Company Representative, and
hereinafter referred to as “Company”;

-and-

The represented by its OIC-College Administrator, with principal address in


Hunters and hereinafter referred to as “College”.

WITNESSETH:

WHEREAS, the College offers programs in the <Name of College Program>


that require students to undergo <Name of Training Program> in public or private offices
as a partial requirement of their course in order to expose them in actual work situations
as a means to enhance their formal training in the College;

WHEREAS, the Company, on the request of the College, has expressed its
willingness and supports this program to be a collaborating agency to train students of
the College and provide actual exposure to a professional work and learning
experiences;

NOW, THEREFORE, for and in consideration of the foregoing premises, both


parties hereby agree to undertake this Agreement under the following terms and
condition:

A. The following objectives are set forth in the execution of this Memorandum:

1. The College students who will undergo OJT/FS will be assigned/required to


perform duties and functions along their areas of specialization and within the
requirements of their academic program;

2. The duration of the program shall be equivalent to a minimum of ______ hours


unless otherwise agreed upon by the parties or by CHED.

3. Students undertaking the prescribed training will be able to interact with other
students and professionals and will be exposed to activities related with their areas
of specialization;

4. The Company shall commit to take in the student-trainees to undergo training


Program consistent with the requirements of the College.
5. The Trainee shall be held with the Company premises and is required to remain
within the premises based on the prescribed number of hours agreed by both
parties.

6. The College shall provide the student-trainees the basic orientation on work,
values, behavior, and discipline to ensure smooth cooperation with the Company.

7. The student trainee shall keep and maintain confidentiality at all time during and
after the training period of all the data, business or trade secrets where such
information is not within the public domain and is indicated and is understood as
confidential.

8. The student-trainee and the parents/guardian concern shall be held responsible


for any loss, damage, injury, expense, proceeding, demand, cost claim, suit or
liability incurred by the student-trainee arising from his/her own omission or gross
negligence in the performance of his//her duties and functions while under the
training period except such loss, damage, injury, expense, proceeding , demand ,
cost , claim, suit or liability which may arise by reason of the negligent act or
omission of the College and/or the Company, its officers, employees,
representatives or agents.

B. The College shall undertake the recommendation, selection and endorsement


process of students for OJT, such as;

1. Identifying students who are qualified to undergo OJT;

2. Conduct of orientation to students regarding general duties and responsibilities that


will be applicable during the period of their OJT;

3. Designate an OJT Professor or point person who will work closely with the
Company to monitor the actual conduct of the OJT;

4. Endorse participating students (hereinafter referred to as student-trainees) to the


company; and

5. The College shall provide the Company whatever documents that are required as
the student-trainees undertake their OJT.

C. The Company shall undertake the screening and acceptance of student-trainees.


Specifically,

1. Accept student-trainees by the College to undergo the required total hours of OJT;

2. Assign personnel to take charge and supervise the student-trainees;

3. Accomplish the necessary forms required by the College in connection with the
student-trainees’ OJT
4. Communicate to the College and its student trainees the policies, rules and/or
guidelines related to the conduct of the OJT and to conform to academic and
professional standards and practices while undergoing OJT;

5. Ensure that the student-trainees shall work in an environment conducive to


learning and shall not, at any time, be exposed to any work, project, or activity that
may pose an imminent threat or danger to their safety or well-being;

6. Issue certificates of completion and a corresponding performance rating base on


the evaluation tool given by the College to student-trainees who will successfully
finish their OJT; and

7. Enforce the rules that will govern the conduct of the student-trainees while inside
and within the premises of the Company.

D. Both the College and the Company further agree the following:

1. Both parties will work together and exert necessary efforts to maintain an
environment of quality learning experiences for the student-trainees. Any of the
party may request of meeting to resolve any problems or develop improvements in
the operation of the OJT and other related programs;

2. There will be no employer-employee relationship between the Company and the


student trainees, thus the Company is not obliged to employ student-trainees upon
the completion of the training. However, the Company, upon consultation to the
College may request recommendation for qualified students and may submit
themselves for possible employment opportunities;

3. Both parties shall not divulge at anytime any information that it may have access
to, and any such information will only be used for academic purposes.

4. The Company shall hold the College free from any liability for any damage to
property or injury caused by the negligent or accidental act or omission of the
student trainee;

5. The College shall be responsible in ensuring that the student-trainee will replace
or repair of the property damaged by him/her caused by his/her negligence or
inadvertence;

6. The Company reserves the right to discontinue the OJT of the student-trainees
upon submission of an appropriate written notice to the other party;

7. The College and its student-trainees shall not use for their own benefit any work,
research, or project, as well as any data, concept or information gathered or
obtained during the OJT without the written consent from the Company;

8. Should OCC allow the use of any data or information, Company and its student
trainee shall expressly acknowledge OCC as owner or source in the work,
research, or project;

9. Both parties agree that, in the event of research collaboration leading to patent
rights, copyrights or other intellectual property rights, a further agreement must be
negotiated in each case in accordance with the policies of the two parties on
intellectual property. Both Universities shall seek an equitable and fair
understanding as to the ownership and other property interests that may arise.

10. This Agreement may be amended or modified by a written agreement signed by


the representatives of both Universities.

11. In the event of an unforeseen incident during collaborative activities, both


Universities agree to negotiate a mutually acceptable solution. As far as
practicable, these solutions shall be incorporated into the specific agreements
mentioned in clause 3.

12. This Agreement may, at any time during its period of validity, be terminated by
either of the party, upon prior notice to the other party in writing, at least 30 Days
before the termination date.

This Agreement shall take effect immediately upon signing hereof and shall continue
to be enforced until such time that anyone of the parties withdraws from this agreement
upon 30 days prior notice to the other.

IN WITNESS WHEREOF, the parties have signed this Memorandum of


Understanding on the date and place above written.
