    RENDEZVOUS’23

    IIT Delhi

    MEMORANDUM OF AGREEMENT

    This Memorandum of Understanding was signed by “Rendezvous’23, IIT Delhi” and “Krazzy
    Fin Private Limited (Bullspree)” on this date:
    For collaboration during Rendezvous’23 (9th -12th March 2023)

    I. TERM DEFINITION
    1. This document acts as an agreement between Bullspree and Rendezvous’23, IIT
    Delhi.
    2. The phrase “The Company” refers to Krazzy Fin Private Limited (Bullspree) in this
    context.
    3. The name “Rendezvous” refers to Rendezvous’23, IIT Delhi.

    II. DELIVERABLES TO THE COMPANY


    1. The Company will be the Associate Sponsor of Shark Tank to be conducted during
    Rendezvous. This will include the post-fix of the logo after the Shark Tank title in all the
    collaterals of Shark Tank.
    2. The Company will make a segment in its website for opinions trading during Rendezvous.
    The content will be provided by Rendezvous.
    3. A total of 1 minute (60 seconds) of branding video will be played in each of the pronites.
    4. The Company will be the Title Sponsor of one of the BRCA Events to be conducted during
    Rendezvous. This will include the pre-fix of the logo after the BRCA Event title in all the
    collaterals of the event.
    5. The Company will be provided a total of 100 passes for the multiple events of Rendezvous.
    6. The Company will be provided a space to place 4 standees, 1 banner and 50 posters during
    Rendezvous. (The Company will provide the collaterals)
    7. The Company will be provided 1 Instagram post and 1 Facebook post on the official social
    media handles of Rendezvous.
    8. The Company will be promoted as the Official Fin-ed Partner of Rendezvous. This will
    include website integration and the logo integration on the sponsor strip.

    DELIVERED TO RENDEZVOUS, IIT DELHI


    1. The Company will provide INR 170,000 + GST (18%) before 14 February 2023
    ( End of day).

    III. AMENDMENTS AND ARBITRATION


    1. This document may only be revised, modified, or amended with the mutual written
    approval of the Company and Rendezvous after it has been signed.
    2. If one party violates the conditions of this agreement, the offending party must pay
    damages to the other party. If Rendezvous is the infringing party, the sponsor's obligation
    is limited to the sponsorship sum paid.
    3. In the event of a disagreement over the provisions of this document or the fulfillment of
    such conditions by any party, the dispute shall be resolved in accordance with a fair
    interpretation of the spirit of this document.

    IV. GENERAL TERMS AND CONDITIONS


    1. All payments must be paid to the bank account listed in IV above; no other method of
    payment, including cash, is permitted under this agreement

    V. EXPRESSIONS OF DISCLAIMER
    1. Negotiations shall take place exclusively between the Company and approved
    Rendezvous team members, which include the Overall Coordinator and the Rendezvous
    CTM Marketing.
    2. This MOU will become legal only if a copy of it, signed in original by the Company, is
    received by President BRCA, either in hard or soft form, at least 48 hours before the
    event begins.

    3. This Memorandum of Understanding is only applicable for events staged as part of


    Rendezvous.
    4. This MOU grants no party the right to engage into any arrangement relating to IIT Delhi,
    except those directly linked to the implementation of this MOU during Rendezvous
    2023.
    5. The Company is affiliated with Rendezvous 2023, IIT Delhi, not IIT Delhi. The
    Company shall not utilize the name or logo of IIT Delhi in any promotions or
    certifications. The Company may, however, utilize Rendezvous IIT Delhi's name and/or
    logo for lawful reasons.
    6. The corporation is not permitted to seek more branding on the virtual platform than is
    stipulated in the MOU, nor is it permitted to occupy, host, or play any digital event or
    TVC that is not explicitly allotted to them under the MOU. Rendezvous, IIT Delhi
    retains the right to withdraw or cancel any promotional material that is unpleasant in
    nature or is not approved under the MOU, and Rendezvous, IIT Delhi cannot promise
    numbers over which it has no control.
    7. All promotional materials shall be exhibited on the campus only on the first day of the
    festival and WILL BE REMOVED BY 12:00 AM on the last day of the festival. The
    promotional content cannot be shown before or after this time period.
    8. In the event of an unforeseeable or force majeure occurrence, Rendezvous maintains the
    right to postpone, shift, or cancel the program.
    9. This Memorandum of Understanding will only be valid if it has been accepted, signed,
    and stamped by authorized representatives of both parties.

    VI. CONFIDENTIALITY
    1. Except as otherwise agreed, the parties agree to keep the terms of this agreement
    confidential, with the exception of any disclosure required for the purposes of
    implementing the provisions of this agreement, and a similar duty of confidentiality
    applies to any party to whom any information is disclosed.
