Market regulator said buybacks through stock exchanges would be phased out

utilisation amount earmarked for buybacks through stock exchange to 75 per cent
from 50 per cent.
The SEBI also said in a statement that it would permit an upward revision of buyback
price through tenders until one working day prior to the record date.
The timeline for completion of buybacks through tender offers has been reduced by
18 days.
SEBI has said that these buybacks would be slowly phased out from the secondary
market exchange platforms and conducted on a separate window. This is to ensure
transparency in the tender process.
SEBI said it would also cut the time for share buyback to 66 days from the present 90-
day period.
In the tender route, shares will be brought back by companies at premium to the
market price and since the acceptance ratio too would be high it would benefit
retail investors.

It is also called share repurchase.
Process reduces number of outstanding shares in open market which leads to better valuation and Earnings Per Share (EPS).

Committee recommended that under stock exchange route, there are possibility of one shareholder’s entire trade matching with purchase order placed by
company.
This may deprive other shareholders of availing benefit of buyback.
It is contrary to principle of equitable treatment which forms basis of all corporate actions.
Following its recommendations, SEBI will phase out buyback through stock exchange route effect from 2025.
