Sales Condition

Delivery Place: Ex-work, Italy

Delivery Time: 16-18 working weeks the date receiving Advanced Payment.

Payment Term: 100% Advanced Payment.

Offer Validity: 30 days from offer submission date

Warranty:
12 months from delivery against defected parts

INSTALLATION & TEST:

The preliminary test at Sellers factory (FAT), if any, could be carried out at the presence of Buyers
Technicians. If requested, we can send Angelantoni specialized technicians or you can contact our local Agency (not included
in basic price).

CLAIMS:
Within 30 days after the arrival of the goods at destination, should the specification, or quantity be found not in conformity
with the stipulations of the Contract except those claims for which the insurance company or the owners of the vessel are
liable, the Buyers shall, on the strength of the Inspection Certificate issued by the Country Commodity Inspection Bureau,
have the right to claim for replacement with new goods at Seller charge.

FORCE MAJEURE:
The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force
Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between
both parties, which might occur during the process of manufacturing or in the course of loading or transit.
The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within 10 days
thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident
issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under
such circumstances the Sellers, however, are still under the obligation to take all necessary measures to
hasten the delivery of the goods. In case the accident lasts for more than 3 months, both Parties shall have
the right to cancel the Contract.

ARBITRATION:
All disputes in connection with this Contract or the execution thereof shall be settled friendly through
negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the
Arbitration Committee of the Country Council for the Promotion of International Trade in accordance with the
Provisional Rules of Procedures promulgated by the said Arbitration Committee. The arbitration shall take
place in Geneva and the decision of the Arbitration Committee shall be final and binding upon both parties;
neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision.
Arbitration fee shall be borne by the losing party.

MISCELLANEOUS:
a. This Contract is governed by and shall be construed in accordance with the recommendation of WTO,
Convention of Vienna of 1980 on the sale of the chattels.
b. Neither Party shall be liable at law or under the provision of this Contract for any loss of profit, products,
use or sale contracts or any consequential loss or damage however arising.
c. Neither Party to this Contract shall be entitle to assign this Contract or any part thereof or its
appointment or any interest therein without the prior written consent of the other Party.
d. The Technical Reference Documents of this contract are an integrated part of this contract, and shall
have the same legal effect.
