BACKGROUND
i. The client has the opinion that the Professional has all it takes to deliver the services
and goods he has been contracted to do in terms of qualifications and experience.
ii. The Professional is agreeable to providing the services and products to the client on
terms and conditions provided in this agreement.
Professional and Client are each referred to herein as a “Party” and, collectively, as the
"Parties."
NOW, THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and
Agreements contained herein, the Client hires the Professional to work under the terms
conditions hereby agreed upon by the Parties:
The terms of this Agreement shall commence on the day the first deposit is made and
agreement signed by both parties and terminate when the client receives her official approval
letter from KeNHA.
TERMS OF THE AGREEMENT
Do topographical survey and provide the client with the topographical map upon completion.
Do detailed engineering design drawing which will be uploaded to KeNHA portal and give client
a copy.
Draw a Layout plan and provide a client with a copy.
Do traffic count and provide the client with the final results.
Do any other drawings not captured by the client but needed by KeNHA for approval purposes.
Do the application on behalf of the client and follow up the process with KeNHA until the
approval letter is out.
Any recommendations by KeNHA on the drawings will be done at no extra charges and the
revised drawings should be given to client for implementation.
2. The client is expected deliver on the following:
Provide the required legal documents the professional on time as per his request to avoid
delay on the process. This documents include :
i. Copy of title or proof of ownership
ii. Survey plan from the Survey of Kenya
iii. Personal details
Provide the professional with adequate time to finish the project.
Be ready to facilitate the process
3. Payment
The total agreed amount of the said service is Two hundred and seventy thousand Kenyan
shillings (270,000) only. The said amount shall be paid in three faces as follows:
First payment will be a deposit off one hundred thousand Kenyan shillings
(100,000). The professional will only execute his signature upon confirming the
payment.
The second deposit shall be seventy thousand Kenyan shillings (70,000). The client
shall pay this money only after verifying that the application has been done
online.
The last payment shall be one hundred thousand payable when the client gets
the original approval letter from KeNHA through the professional.
4. Confidentiality.
Professional acknowledges and agrees that all financial and accounting records, lists of property
owned by Client, including amounts paid, therefore, client and customer lists, and any other
data and information related to the Client’s business is confidential (“Confidential Information”).
Therefore, except for disclosures required to be made to advance the business of the Client and
information which is a matter of public record, Professional shall not, during the term of this
Agreement or after its termination, disclose any Confidential Information for the benefit of the
Professional or any other person, except with the prior written consent of the Client.
5. Default.
In the event of default under this Agreement, the defaulted Party shall reimburse the non-
defaulting Party or Parties for all costs and expenses reasonably incurred by the non-defaulting
Party or Parties in connection with the default, including, without limitation, attorney’s fees.
Additionally, in the event a suit or action is filed to enforce this Agreement or with respect to this
Agreement, the prevailing Party or Parties shall be reimbursed by the other Party for all costs and
expenses incurred in connection with the suit or action, including, without limitation, reasonable
attorney’s fees at the trial level and on appeal.
6. Entire Agreement.
This Agreement constitutes the entire agreement between the Parties to its subject matter and
supersedes all prior contemporaneous agreements, representations, and understandings of the
Parties. No supplement, modification, or amendment of this Agreement shall be binding unless
executed in writing by all Parties.
IN WITNESS WHEREOF, the Parties hereto agree to the above terms and have caused
