GENERAL POWER OF ATTORNEY

KNOWN ALL MEN BY THESE PRESENTS:

I, AGRIPINO A. CADORNA, Filipino, of legal age, married to Linda S. Cadorna, with


residence address at 8318 Maple Trails Way, Sacramento, California 95828, United States of
America, do hereby name, constitute and appoint my brother TIMOTEO CADORNA,
Filipino, of legal age, single, with residence address at Sitio Datag, Cambugason, Jagna,
Bohol, Philippines to be my true and lawful Attorney-in-Fact to act in, manage and conduct
my affairs and for that purpose in my name and on my behalf to do and execute any and all
of the following acts, deeds or things, to wit:

1. To exercise administration, general control and supervision over all my properties in


the Philippines with full powers and authority to do and undertake all acts on my
behalf that I could do personally including but not limited to the right to sell, deed,
buy, trade, lease, mortgage, assign, rent or dispose of any of my properties, real or
personal;

2. To make, sign, execute, accept, deliver, and perform all contracts, documents,
agreements and other writings upon such terms and conditions as my attorney-in-
fact may deem acceptable;

3. To deposit, endorse, or withdraw funds to or from any of my bank accounts,


depositories or safe deposit box;

4. To borrow, lend, invest or reinvest funds on any terms and to execute any
promissory notes, bonds, mortgages, and other instruments which may be necessary
and proper;

5. To personally appear, transact, and process before any of the Philippine government
agency to secure documents or papers as may be necessary to claim benefits and
privileges relative to the general powers herein given;

6. To initiate, defend, commence or settle legal actions on my behalf;

7. To retain any accountant, attorney, physician or other advisor deemed necessary to


protect my interests generally or relative to any foregoing unlimited power.

HEREBY GIVING AND GRANTING unto my said ATTORNEY-IN-FACT full power and
authority to do and perform all and every act and deed whatsoever requisite and necessary
to be done in and about the premises, as fully as to all intents and purposes as I may or
could lawfully do if personally present and acting in person, with full power of substitution
and revocation; and HEREBY RATIFYING AND CONFIRMING all that my ATTORNEY-IN-FACT
may also do or cause to be done under and by virtue of these presents.
