Articles of Incorporation

JARED Clothing Shop and Boutique Corporation
The undersigned Incorporator, all of legal age and a majority of whom are residents of the
Philippines, have this day voluntarily agreed to form a stock corporation, adopts the following
Articles of Incorporation:
ARTICLE I: Corporation Name
The name of the corporation JARED Clothing Shop and Boutique Corporation
ARTICLE II: Corporation Duration
The period of corporation’s duration shall be 15 years.
ARTICLE III: Corporation Purpose
The purpose of which the corporation is organized is to conduct any and all lawful business for
which any corporations can be organized under the statute of the Philippines, including but not
limited in providing clothes, accessories, and personalized items to the people of the Province of
Iloilo.
ARTICLE IV: Corporation Power
The corporation has the power to engage in any lawful activity, pursuant to the laws of the State
of the Philippines including the opening and operating of a bank account.
ARTICLE V: Initial Registered Agent
The name and address of the corporation’s initial registered agent is:

The corporation maintains in its corporate records the statement of acceptance by the
registered agent.
ARTICLE VI: Principal Office and Mailing Address
The complete street address of the corporation’s designated principal office is General Luna

General Luna Street, City Proper, 5000 Iloilo City, Philippines
ARTICLE VII: Authorized Shares
The number of shares of stock the corporation is authorized to issue is:1000.
The class of stock issued shall be capital stock.
Each share shall have a par value of 25,000 pesos.

The initial directors and officers shall be the following persons and positions:

ARTICLE IX: By Laws
The Incorporator shall adopt the initial bylaws of the corporation. The shareholders may
amend the bylaws at any time by the provisions provided therein.
ARTICLE X: Dissolution
Upon dissolution, assets shall be distributed by the board of directors according to the
applicable statutes and regulations for the State of the Philippines. Further provisions
regarding distribution upon dissolution shall be stated in the corporation’s bylaws.
ARTICLE XI: Indemnification
The corporation does indemnify any directors, officers, employees, incorporators, and
shareholders of the corporation from any liability regarding the corporation and the business of
the corporation, unless the person fraudulently and intentionally violated the law and/or
maliciously conducted acts to damage and/or defraud the corporation, or as otherwise
provided under applicable state corporate statute.
ARTICLE XII: Incorporator
