By signing this Agreement, Atlas RE Partners ("Client") has retained JT VIRTUAL ASSISTANTS LLC ,
("Contractor") to proceed with the requested services, and agrees to the terms and conditions as set forth
within this agreement.
The Contractor and the Client are to be collectively referred to as the Parties.
SUBCONTRACTORS:
Contractor will utilize the services of virtual assistants herein referred to as Subcontractors. All Subcontractors
hired by the Contractor to assist in performing the tasks and duties shall be the responsibility of the Contractor,
unless speci cally indicated otherwise in an agreement signed by all parties.
TERMS OF SALE
You hereby ratify your understanding that all program sales are non-refundable and waive any rights to
charge-back your purchase with your credit card processor.
Campaigns must go live after 14 working days. If you choose to extend the launch date, keep in mind
that you will get charged again 30 days after two weeks passed the initial payment date. The reason
why we do this is to be able to secure your area and our team is set to follow a set schedule.
This Agreement shall become the e ective rst day of the service and shall continue in e ect for a
period of three(3) months. After 3 months the contract will be automatically renewed unless terminated
with 30 days written notice.
JT Virtual Assistants will not issue any refunds unless noti ed at least 72 business hours before your
next 30-day payment is processed.
Clients using JT Virtual Assistants may pause the ad campaigns whenever they would like and for as
long as they would like. With that in mind, clients fully acknowledge and understand that their monthly
payments may still go through every 30 days even if the services are paused.
In the event that either Party wishes to terminate this Agreement, that Party will be required to provide
30 days written notice to the other Party. Otherwise, a fee for the equivalent of a month of work must
be paid.
No refunds will be made for the early termination of the contract. If the client is not satis ed with the
performance of the designated REVA, it should be communicated to JT Virtual Assistants in order to
replace the REVA within the next 24 - 48 business hours to render the services originally contracted.
In the event that either Party breaches a material provision under this Agreement, the non-defaulting
party may terminate this Agreement immediately and require the defaulting Party to indemnify the non-
defaulting Party against all reasonable damages.
This Agreement may be terminated at any time by mutual agreement of the Parties.Except as otherwise
provided in this Agreement, the obligations of the Contractor will end upon the termination of this
Agreement.
The contractor guarantees the delivery of the service by a quali ed REVA but reserves the right to
replace such REVA as needed, with previous noti cation to the client. In case that the REVA is no
longer available the client will be assigned another REVA with the level and experience requested to
guarantee continuity of the service.
PAYMENT FOR SERVICES AND PENALTIES FOR LATE PAYMENTS
1. The client agrees to commit to pay in full the Contractor associated with the chosen package.
2. Invoices submitted by the Contractor to the Client are due upon receipt. The invoices are sent 2 days in
advance, every month, and due for completion no more than two calendar days upon receipt.
3. The client agrees to set up WISE or Remitly to process payments on a monthly basis.
4. The client will be responsible for any extra expenses or subscriptions that may be needed for the
Contractor to complete the Client tasks.
5. There is a $40 NSF (insu cient funds) fee for declined or returned payments
6. Payments not received in seven(7) days after the due date will result in a pause of services. The
contractor reserves the right to refuse completion or delivery of work until past due balances are paid.
The REVA will be reassigned to a di erent investor in the next 72 hrs. (3 days). The client will still be
liable for the REVA's wage for the days the service was paused as the pause was not intended or
originated by our company.
7. Any late payments will trigger a fee of 1.00% per month on the amount still owing. If payment is not
received after seven calendar days upon receipt the agency is entitled to pause the service until
payment is received.
8. Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are
in USD (US Dollars).
9. The prices agreed to include all applicable sales tax and duties as required by law.
SCHEDULE AND DAYS OFF
Generally available to provide services during normal business hours. Monday – Friday 8:00 AM – 9:00 PM
EST. Due to the nature of the business, JT Virtual Assistants associates will be o during all US Federal
Holidays.
All REVAs will receive the following days of Paid holiday, only if they fall on a working weekday.

RELATIONSHIP OF PARTIES
It is understood by the parties that Contractor is an independent contractor. The Client shall not be responsible
for withholding taxes with respect to the Contractor’s compensation hereunder but will supply Contractor with
a 1099 form at the close of each calendar year. Additionally, The Client is not responsible for the Contractor’s
vacation pay, sick leave, retirement bene ts, social security, worker’s compensation, health or disability
bene ts, unemployment insurance bene ts, or employee bene ts of any kind.
NO EXCLUSIVITY
The Parties acknowledge that this Agreement is non-exclusive and that either Party will be free, during and
after the Term, to engage or contract with third parties for the provision of services similar to the Services.
CONFIDENTIALITY
Contractor will not at any time or in any manner, either directly or indirectly, use for the personal bene t of
Contractor, or divulge, disclose or communicate in any manner any information that is proprietary to the Client.
The Contractor will protect such information and treat it as strictly con dential. This provision shall continue to
be e ective after the termination of this Agreement. Upon termination of this Agreement, Contractor will return
to Client all records, notes documentation and other items that were used, created, or controlled by Contractor
during the term of this Agreement with the exception of items purchased by Contractor and not reimbursed
by the Client.
OWNERSHIP OF INTELLECTUAL PROPERTY
All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant
registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress,
industrial design, and trade name (the "Intellectual Property") that is developed or produced under this
Agreement, is a "work made for hire" and will be the sole property of the Client. The use of the Intellectual
Property by the Client will not be restricted in any manner.
The Contractor may not use the Intellectual Property for any purpose other than that contracted for in this
Agreement except with the written consent of the Client. The Contractor will be responsible for any and all
damages resulting from the unauthorized use of the Intellectual Property.
AUTONOMY
Except as otherwise provided in this Agreement, the Contractor will have full control over working time,
methods, and decision making in relation to the provision of the Services in accordance with the Agreement.
The Contractor will work autonomously and not in the direction of the Client. However, the Contractor will be
responsive to the reasonable needs and concerns of the Client.
The client is entitled to have meetings and training with the VA within their work schedule, using the channels
designated by the contractor for that purpose. Meetings and training should not exceed 30% of the VA's shift,
in order to ensure productivity. The client can also request weekly/monthly feedback sessions with the
contractor to evaluate goals and set expectations in regards to the desired results.
LIABILITY
Contractor will not be liable for loss, damage or delay of Client’s project due to circumstances beyond the
Contractor’s control. Such circumstances may include (but are not limited to) acts of God, public unrest, power
outages, and inability to contact Client. In the event of such loss, damage or delay, the Contractor will make
every e ort to notify the Client immediately.
NON-DISCLOSURE AND NON-SOLICITATION
Contractor shall not directly or indirectly disclose to any person other than a representative of Client at any
time either during the term of this agreement or following the termination or expiration thereof, any
con dential or proprietary information pertaining to the Client, including but not limited to customer lists,
contacts, nancial data, supply sources, business opportunities for new or developing business, plans and
models, or trade secrets.
Client shall not solicit any sub-contructors who are under contract with JT VIRTUAL ASSISTANTS in the United
States or in our other International locations regardless of if they are dedicated to your projects or to other
clients for a period of Twenty Four(24) Months after termination of your service contract with JT VIRTUAL
ASSISTANTS. You further agree that, should you be approached by a person who is or has been an sub-
contructors of JT VIRTUAL ASSISTANTS during the period described above, you will not o er to nor employ
or retain as an independent contractor or agent any such person for a period of 2 years following the
termination of their employment. If you default on this clause or wish to hire an employee under contract with
JT VIRTUAL ASSISTANTS as your own employee, a payment equivalent to 3 months of service from our
Fulltime(40hours/week) plan would need to be made to JT VIRTUAL ASSISTANTS prior to releasing the
employee.
The terms and conditions of this Agreement may be modi ed or amended as necessary only by written
instrument signed by both parties. By signing the Agreement, I indicate that I understand, agree to and accept
the terms and conditions as contained herein, dated Jan 4, 2022 .
ACCEPTANCE
The client named below veri es that the terms of this Statement of Work are acceptable. The parties hereto
are each acting with proper authority by their respective companies.
