GRANITE® AUTOMATIC GUARANTEE

1 JULY 2013 VERSION

The present guarantee is written and stipulated in English and may be translated into
the language of some of the countries within the geographical scope of application of
the guarantee. In case of any misreading between the English text and a translation
into any other language, the English version shall always prevail.

The Vendor’s General Conditions of Sale form an integral part of this Guarantee.
I. OBJECT OF THE GUARANTEE

This guarantee (hereinafter the “Guarantee”) applies to the supply by ArcelorMittal


Flat Carbon Europe (1) (hereinafter the “Vendor”) to the customer (hereinafter the
“Beneficiary”) of Granite® range products (hereinafter the “Products”), to be used in
normal conditions in exterior cladding (including garage doors) or exterior roofing
(including tile panels, but excluding gutters, junction elements, roof accessories, and
applications related to solar energy generation (2)) of buildings located in the
European geographical area, as defined restrictively by the coordinates specified in
Appendix A, which concerns notably Albania, Austria, Belarus, Belgium, Bosnia-
Herzegovina, Bulgaria, Croatia, the Czech Republic, Denmark, Estonia, Finland,
metropolitan France, Germany, Greece, Hungary, Ireland, Italy, Kosovo, Latvia,
Lichtenstein, Lithuania, Luxembourg, Moldova, Montenegro, the Netherlands,
Norway, Portugal, Poland, the former Yugoslav Republic of Macedonia, Romania,
Russia (western part), Serbia, Slovakia, Slovenia, Spain, Sweden, Switzerland,
Ukraine and the United Kingdom (Great Britain (England, Scotland, Wales) and
Northern Ireland).

The Vendor declares that the characteristics of the coated Products are in
accordance with standards EN 10346 – EN 10169, in force on the date of delivery of
the Products.

Subject to the conditions and restrictions of this Guarantee and all its appendices, the
Vendor hereby guarantees the Beneficiary:
• The non-perforation of the metal support as a result of oxidation,
• The non-peeling of the paint film,
• That there shall be no proliferation of corrosion and no delamination of the
paint film from cut edges over a distance of more than ten (10) millimetres
along at least 10% of the total cut edges, before expiry of the guaranteed time
periods (appendix B – Table Duration of the guarantee for non-peeling of the
paint film). But in any case, the guaranteed time periods regarding the non-
proliferation of corrosion and the non-delamination of the paint film from cut
edges shall never exceed a maximum of 10 years.
• The aesthetic appearance of the Products (after cleaning with soapy water –
pH neutral):
o Uniform ageing of the colour for the same exposure and the same
facade,
o Differences in colour and gloss within the limits specified in Table 3 of
Appendix B.
(Note: for metallic or saturated colours and textured, embossed or streaked finishes,
the difference in colour cannot be measured technically.)

(1) and/or by ArcelorMittal Poland SA (hereinafter individually the “Vendor”) to its


respective customers (hereinafter the “Beneficiary”), for its respective sales of
Granite® range products, without joint liability with ArcelorMittal Flat Carbon Europe.

(2) for applications related to rainwater and to solar energy generation systems, two
other guarantees apply.

II. DURATION OF THE GUARANTEE

This Guarantee shall come into effect from the date of expedition of the Products, or,
failing this, from the date they are made available to the Beneficiary, and shall not,
under any circumstances, exceed the time periods indicated in the tables in Appendix
B.

III. SCOPE OF THE GUARANTEE

Should the Vendor consider the Products to be defective over more than 5% of the
total external surface of the roofing and/or cladding of the building, the Vendor shall
undertake, at its sole discretion, to the exclusion of responsibility for any other losses
or damages, either direct or indirect, material or immaterial, suffered by the
Beneficiary or by any other person, to either:
ƒ replace or reimburse accordingly, the defective Products, or
ƒ repaint the defective surfaces of the Products, at its own expense, including
the supply of paint and the cost of its application.

Moreover, it is expressly stated that the replacement and/or reimbursement and/or


repainting of the Products:
ƒ shall be limited solely to damaged areas: any differences in aspect compared
with undamaged areas shall not be subject to compensation of any kind,
ƒ shall not entitle the Beneficiary to any extension of the initial Guarantee
period or to the renewal of a second Guarantee period.

Unless a more favourable compulsory local regulation prevails, for a duration and to
the extent strictly limited to that more favourable compulsory local regulation, the
Vendor’s liability shall be limited to the invoiced value of the defective Products
excluding VAT (and excluding transport and storage costs) to the following extent
and within the following limits:

IV. CONDITIONS OF THE GUARANTEE

This guarantee is granted to the Beneficiary of ArcelorMittal Flat Carbon Europe and
to the Beneficiary alone.
It may be transferred in the event of a change of control of the Beneficiary’s
company, and within 15 days of the change occurring. Only in this case may the
remainder of the guarantee be transferred to the Beneficiary’s successor. The
Beneficiary may not provide its own customers with warranties relating to the Product
sold by ArcelorMittal Flat Carbon Europe and which would exceed the terms of this
guarantee.
As an experienced professional in the construction sector, the Beneficiary shall
ensure that due diligence is employed in the definition, execution and control of the
transport, storage, handling, maintenance and any further processing of the
Products.

The present Guarantee is subject to the Beneficiary’s compliance with the following
cumulative conditions.

4.1 TRANSPORT, STORAGE AND HANDLING OF THE PRODUCTS

The Beneficiary shall be responsible for and shall control the transport, storage and
handling of the Products and these operations shall, irrespective of the
circumstances, be carried out in strict accordance with the professional rules and
regulations in force on the date of delivery of the Products within the geographical
scope of application of the Guarantee as defined in Appendix A, such as the DTU
(statutory technical guidelines), regulations and standards, technical advisory notes,
professional rules and the Vendor’s documentation, in particular the “User manual
Organic coated steels” and “Technical data sheets Organic coated steels”, which
may be found on our website at

ArcelorMittal technical support, and in conditions ensuring the perfect integrity of the
Products.

All appropriate measures shall be taken by the Beneficiary and/or any person
designated by the Beneficiary for this purpose to prevent any damage, particularly to
the paint film during or as a result of these operations.

The Products shall not be stored on the Beneficiary’s premises or on a construction


site for longer than one (1) month following delivery.

(Note: for any specific cases that are not defined herein, the Beneficiary shall consult
the Vendor. The characteristics and specifications for use of the Products shall then
be jointly defined in a written agreement prior to the order.)

4.2 PROCESSING OF THE PRODUCTS

The Products shall be used by the Beneficiary and/or any other person designated by
the Beneficiary in strict accordance with the professional rules and regulations in

force on the date of delivery of the Products within the geographical scope of
application of the Guarantee as defined in Appendix A, such as the DTU (statutory
technical guidelines), regulations and standards, technical advisory notes,
professional rules and the Vendor’s documentation, in particular the “User manual
Organic coated steels” and “Technical data sheets Organic coated steels”, which
may be found on our website at

ArcelorMittal technical support, and in conditions ensuring the perfect integrity of the
Products.

Any protective film that has been applied to the Products shall be removed three (3)
months at the latest after its application, and immediately following installation of the
Products.

All appropriate measures shall be taken by the Beneficiary and/or any person
designated by the Beneficiary for this purpose to prevent any deterioration of the
paint film, resulting from cuts, cutting, drilling and, more generally, any assembling or
work executed in situ.

The design and construction of the building and any subsequent possible
modifications thereto shall not result in:

ƒ Weak points that might cause the accumulation of water or debris of any
kind; the slope of the roof shall be a minimum of 5% if there is no
overlapping, or 7% with overlapping.

ƒ The detrimental assembly of the Products with incompatible materials.

ƒ Unfit usage of the products


In the specific case of parts that are processed by stamping, bending and profiling
operations, when resulting in steel elongation in the major direction greater than 30%
and/or steel shrinkage in the minor direction greater than -10% (but in any case not
over the steel substrate cracking), only Granite® Flex, Granite® Cloudy, and Granite®
HDX are covered by the present Automatic Guarantee.

4.3 PRODUCT MAINTENANCE

A natural wash of the organic coated surfaces by atmospheric rainfall shall normally
be assured in order to prevent any clogging that may be detrimental to their
appearance (dust deposits etc).

For walls and roof surfaces that are not naturally washed by rainfall, regular
maintenance is compulsory, with the following minimum frequency:
ƒ An annual washing without the use of abrasive or aggressive products; the
Beneficiary shall be able to provide evidence of such washing.

ƒ Systematic and immediate treatment of any parts that, for various reasons,
show initial signs of corrosion.

Regular maintenance in accordance with professional guidelines is required for


garage doors. Cleaning with water and natural soap is recommended. In any case,
the customer must check that the cleaning process and detergents used do not
damage the coating.

The Beneficiary shall check the condition of the coating and carry out preventive
maintenance every year, in accordance with professional rules and regulations in
force on the date of delivery of the Products within the geographical scope of
application of the Guarantee as defined in Appendix A (such as the DTU (statutory
technical guidelines), regulations and standards, technical advisory notes,
professional rules and the Vendor’s documentation, in particular the “Maintenance
manual”, the “User manual Organic coated steels” and “Technical data sheets
Organic coated steels”, which may be found on our website at
http://www.arcelormittal.com/industry/6?id_product=63, or requested from
ArcelorMittal technical support); the Beneficiary shall ensure that these
recommendations are communicated to its own potential customers.

V. EXCLUSIONS FROM THE GUARANTEE

5.1) This Guarantee does not cover defects resulting from:

ƒ Transport, storage, handling, manipulation, processing, use and/or


maintenance of the Products by the Beneficiary, and/or any other person
participating in all or part of the execution of these various tasks, where they
are not carried out in accordance with:
o The requirements indicated in section IV above, and
o Professional rules and regulations in force on the date of delivery of the
Products within the geographical scope of application of the Guarantee
as defined in Appendix A (such as the DTU -statutory technical
guidelines, regulations and standards, technical advisory notes,
professional rules and the Vendor’s documentation, in particular the
“Maintenance manual”, the “User manual Organic coated steels” and
“Technical data sheets Organic coated steels”, which may be found on
our website at http://www.arcelormittal.com/industry/6?id_product=63,
or requested from ArcelorMittal technical support).

ƒ Any action carried out by the Beneficiary and/or any other person designated
by the Beneficiary, such as cuts, and drilling. Moreover, any rusting of the
coating caused by the presence of metal particles as a result of the above-
mentioned operations shall not be covered by this Guarantee.

ƒ The assembly of organic coated Products by the Beneficiary or any other


person designated by the Beneficiary with materials that produce a galvanic
couple or a potential difference.

ƒ Any damage resulting from an external cause such as pollution, fire, smoke
and/or accidental leakage giving rise to corrosive fumes, or any event due to
force majeure, and, in general, any cause unconnected with the Vendor’s
manufacturing process.

ƒ Defects resulting from severe processing conditions, such as stamping,


bending, which go over the technical data sheets of the Products.

ƒ Defects resulting from stamping, bending and profiling operations with steel
elongation in the major direction greater than 30% and/or steel shrinkage in
the minor direction greater than -10%, if the product ordered by the
Beneficiary is not Granite® Flex, Granite® Cloudy, or Granite® HDX.

ƒ Defects associated with aggressive washing and/or cleaning operations


(including mechanical or chemical damage).

Moreover, this Guarantee does not cover:

ƒ The appearance of corrosion from the reverse side of the panels and interior
parts of the transverse and longitudinal overlappings, or the appearance of
any other effects originating from the ambiance inside the building.

ƒ The interior part of the transverse overlapping.

ƒ Materials exposed to the seafront, as defined in Appendix C.

ƒ Overhangs or open buildings, where there is a risk of condensation on the


inside part of the roof. In this case, a specific guarantee will be considered
based on the environmental questionnaire, and the recommendation for the
Product specification will be a double-sided organic coated steel.

ƒ Roofing with slope less than 5%.

ƒ Materials subjected either continuously or intermittently to:

o An environment with a high concentration of aggressive or corrosive


chemical compounds likely to attack organic coated metal through
condensation or seepage (e.g. smoke emissions containing sulphurous
fumes, acidic or alkaline emissions from certain factories),
o Abnormally high and concentrated surface temperatures,
o Other specific conditions such as pollution, sand storm, use outside the
scope of application of the Guarantee.

5.2) The Guarantee shall be terminated if the nature of the environment and the
conditions of exposure and use worsen with regard to those defined in the scope
of application, as specified in the tables in Appendix B.

VI. IMPLEMENTATION OF THE GUARANTEE

Any claim under this Guarantee shall only be made after full payment of the amount
invoiced by the Vendor, and shall immediately be delivered by registered letter
requiring acknowledgement of receipt, from the date the defects have affected at
least 5% of the total exterior surface of the roofing and/or cladding of the building
and, irrespective of the circumstances, prior to the date the defective areas spreading
to more than 10% of the surface, at the risk of a lapse of rights.

This letter, which should be accompanied by the guarantee certificate, where such
certificate has been issued by the Vendor to the Beneficiary, and the invoice, shall be
sent to the Vendor’s Commercial Department at the address given in Appendix E.

The Beneficiary must also communicate all information that will enable the Vendor to
identify the Products (e.g. order number, invoice number, coil reference numbers,
delivery date, reception date of the building etc) and all elements enabling the
analysis of the claim, and which the Vendor reserves the right to request.

VII. SPECIFIC CONDITIONS

Except for additional guarantees granted by the Vendor in writing in a separate


document, this Guarantee is limited to the terms and conditions contained in the
present document.

VIII. AUTHORISED JURISDICTION AND APPLICABLE LAW

In the case of an international sale, Belgian law shall be the only law applicable to the
present Guarantee and to any disputes that may arise between the Vendor and the
Beneficiary. The courts of Brussels shall have sole and exclusive jurisdiction in the
event of any disputes arising in connection with this Guarantee. The Vendor reserves
the right, however, to bring any dispute involving the Beneficiary before the courts of
the Beneficiary’s jurisdiction of incorporation.

Any disputes relating to domestic sales shall be brought exclusively before the courts
of the capital of the country in question.

If the Beneficiary does not return the present document duly dated, initialled and
signed by the authorised person(s) within thirty (30) days at the latest of the date of
its receipt, the terms and conditions of the present document shall be deemed to

APPENDIX C

DEFINITIONS OF EXTERNAL ENVIRONMENTS

I/ ALTITUDE OF 900 METRES OR LESS

ƒ Rural unpolluted environment


Environment corresponding to the exterior of buildings in a rural area, with no specific
pollution, comprising mainly smoke emissions containing sulphurous fumes (oil-fired
heating).

ƒ Normal urban or industrial environment


Environment corresponding to the exterior of buildings located in urban agglomerations
and/or an industrial environment comprising one or more factories that produce gases
and fumes, thus creating a slight rise in atmospheric pollution without, however, being a
source of corrosion associated with a high concentration of chemical compounds.

ƒ Severe urban or industrial environment


Environment corresponding to the exterior of buildings located in urban agglomerations
and/or an industrial environment with a high concentration of chemical compounds,
being a source of corrosion (industrial environment comprising principally incineration
