The signing of Subscriber Registration Form (SRF) shall make the T&C mentioned herein binding on the subscriber. In case of any inconsistencies in the constituent parts of the Agreement or disputesarisingwithregardtotheinterpretationofthetermsandconditionscontainedinthesaidAgreement,the followingorderofprecedenceshallapply:(i)theSRFandthePTC(ii)theSLA,ifapplicableand(iii)theGTC GeneralTermsandConditions(GTC) ProductTerms&Conditions(PTC) 1. ProvisionofServiceshallinclude a. Deliveryofthesubscriberservicewithinthestipulatedduration b. AssignmentofInternetProtocol(IP)addressforaccessingtheinternet c. TheIPaddressprovidedbythecompanyshallonlybeusedforthepurposeithasbeen provisioned 2. UseofServiceTheSubscribershallusetheServiceinaccordancewiththeCompanysInternetAcceptable UsePolicy(AcceptableUsePolicy).TheAcceptableUsePolicyshallmeanthecurrentversionofthe CompanysAcceptableUsePolicyprovidedonitswebsite(asmaybechangedbytheCompanyfromtimeto time) 3. Subscriber/CustomerPremiseServiceEquipment(CPE) a) SubscribersmayusetheirownCPE.However,suchCPEsneedtobeapprovedbythecompany.Incase,of suchCPEs: i. Norentalorsecuritydepositwillapplicable ii. ThecompanywouldnotberesponsibleformaintenanceofsuchCPEs b) WhenCPEprovidedbyCompany i. Rentals/securitydeposit/chargesasdefinedintherateplanshallbeapplicable ii. ManufacturingdefectsNoChargestoSubscriber iii. RepairsduetodamageattributabletoSubscriberTheChargesshallbeassessedby CompanyandinvoicedtoSubscriberaccordingly 4. MinimumSystemRequirements/configurationofPCs/Laptop i. IntelPIV2GHzorhigher ii. 512MBRAM iii. 2GBfreeHDDspace iv. OS:Win2K,WinXP,WinVista&Win7 v. EthernetLANCard/Port(10/100BaseT)withTCP/IPsupport vi. BrowserIE6.0&above,MozillaFirefox3.0&above,OperaandGoogleChromebrowser 5. ExitPolicy:IncasethesubscriberchoosestodiscontinueaftersigningtheSRF a. ButpriortotheServicebeingprovisionedduetoinabilityofServiceProvider/Companytodeliver theServicewithinstandarddeliveryperiod,nochargeswillbeapplicabletothesubscriber. (Standarddeliveryperiodis7daysfromthedateofclearanceofthecheque;paidtowards subscriptioncharges.) b. ButpriortotheServicebeingprovisionedduetothedecisionoftheSubscriber,allonetime chargeswillbeapplicable. c. Afterserviceprovisioning;allonetime,recurring&otherchargeswillbepayableasapplicable. d. Anyrefund,ifapplicable,willbepaidtothesubscriberwithin18workingdaysfromaccount termination.AccountterminationwillbedoneonreceiptofCPEinworkingconditionand settlementofallbalanceoutstanding.
GTC 1. Definition Agreementshallmean,unlessotherwisespecificallyprovidedfor,theSRFalongwiththeGTCandPTCduly executedandacceptedbytheCompanyandSubscriber. ApplicableLawshallmeananylawthatisapplicableinaparticularcontextandincludesbothCentralandState legislationsasmaybeamendedorrepealedfromtimetotime,includingspecificallytheIndianTelegraphAct, 1885,TheWirelessTelegraphyAct,1933,andtheTelecomRegulatoryAuthorityofIndiaAct,1997,theInformation TechnologyAct,2000andanyadministrative,judicialandquasijudicialrulingsanddelegatedlegislationsuchas regulations,rules,guidelinesandnotificationsasmaybeissuedbytheAuthoritiesfromtimetotime. AuthorityorAuthoritiesshallmeantheGovernmentofIndia,MinistryofCommunicationsandInformation Technology,DepartmentofTelecommunications(DOT),TelecomRegulatoryAuthorityofIndia,TelecomDispute SettlementAppellateTribunal,therelevantStateGovernment,orotherstatutoryandlocalauthorities,tribunals etc.asthecasemaybe. BusinessDayshallmeaneverydayexcludingSundaysandCompanydeclaredholidays. ChargesshallincludeallpaymentsundertheAgreementwhicharedueandpayablebytheSubscribertothe Company,whetherinvoicedornot,inclusiveofonetime,registration,testingandinstallation,ServiceEquipment andServicerental,billing,networkservice/featurechange,transfer/shifting,reconnection,usagebasedcharges andSecurityassetoutintheSRFandallotherfees,rates,taxes,levies,penaltiesandfinesforandinrespectof provisionoftheServiceandchargeableServiceEquipmenttotheSubscriberpursuanttotheSubscriberapplying fortheServiceaspertheratessetoutintheTariffpublishedbytheCompanyfromtimetotimeoranyspecial ratesagreedtobegrantedbytheCompany,includingchargesforservicesavailedthroughtheNetworkon correspondentnetworks. CompanyorTDNshallmeanTikonaDigitalNetworksPrivateLimitedhavingitsregisteredofficeatCorpora3A, 3rdFloor,LBSMarg,Bhandup(W)Mumbai400078. ConfidentialInformationmeansallinformationcontainedinanymediaandformat,designatedassuchbyeither Partyincluding(i)technicalorbusinessinformationormaterial;(ii)proprietaryorinternalinformationofeither Party,includingbutnotlimitedtosamples,apparatusandequipment,businesspolicies,Subscriberdatabases, developments,tradesecrets,knowhowandpersonnelinformationregardingthirdparties;(iii)information disclosedpursuanttotheAgreementand(iv)allsuchotherinformationwhichbyitsnatureorthecircumstancesof itsdisclosureisconfidential. DueDateshallmeanthedateprescribedbyCompanyinitsinvoiceorstatementofcharges,onorbywhichdate theSubscribershallmakepaymentoftheChargeswhetherinvoicedornot. LicenseshallmeanthelicensegrantedbyDoTtotheCompanytoprovideandoperateInternetServices. NetworkshallmeanCompanystelecommunicationsnetworkthroughwhichServicesaremadeavailable. PartyandPartiesshallmean,respectively,eitherorbothofthepartiestotheAgreement. ProvisioningEntitymeansanyentityoraffiliateprovidingaServicetoSubscriberotherthantheCompany, whichmaybeasubcontractoroftheCompany,includinglicensedcarriersorserviceprovidersinterritories wheretheCompanyisnotlicensedtoprovidetheService. PurchaseOrder(PO)shallmeantheSubscribersdocuments,ifany,bywhichtheServicemaybeordered fromtheCompany. Securitymeansacashdeposit,directorsguarantee,parentcompanyguarantee,creditcardpayment,direct debitguaranteeorbankguaranteeoranyothervalidsecurityoranycombinationoftheseasdeterminedbythe Company. ServiceshallmeantheServicesubscribedto,bytheSubscriberasindicatedintheSRF. Service Activation Date means, the date on which the Subscriber commences use of the Service or when the Serviceisactivated,whicheverisearlier. Service Equipment means the equipment, systems, cabling and facilities provided by or on behalf of the CompanyatSubscriberPremisesinordertomaketheServiceavailabletotheSubscriber. ServiceContractPeriodmeans,theminimumcommittedsubscriptionperiodsubscribedto,bytheSubscriberfor provisionoftheServiceassetoutintheSRF. Subscribershallmeananyperson,associationofpersons,company,proprietaryconcern,partnershipfirmorany otherentitythathassubscribedfortheServicesundertheSRFandincludestheirrespectiveheirs,executors, administrators,successors,permittedassigns,holding,subsidiaryandgroupcompaniesandsisterconcerns. SubscriberPremiseEquipmentorCustomerPremiseEquipment(CPE)meanstheexistingequipment, systems,cablingandfacilitiesofSubscriberorprovidedtotheSubscriberbyanythirdparty,whichisrequiredfor ServiceprovisioningandusedinconjunctionwiththeServiceEquipmentinordertoavailoftheService.
SubscriberPremisesshallmeanthelocation/orServiceInstallationAddressoftheSubscriberasprovidedinthe SRFwheretheServiceisprovidedandtheServiceEquipmentisinstalled. Tariff shall mean the commercial plan or tariff schedule offered by the Company, including but not limited to fees,Charges,ratesandrelatedconditionsasnotifiedandpublishedbytheCompanyfromtimetotime,inrespect ofprovisioningoftheServices. Taxesshallmeanalltaxesapplicable(whetherexistingornew)ontheServiceandServiceEquipment,forwhich theSubscriberisbeingcharged,includingbutnotlimitedtosalesandservicetax,VAT,withholdingtax,entrytax, octroi,propertytaxandotherapplicabletaxesorduties. ScopeofService a. Delivery of Services the Company shall provide the Services to the Subscriber as per the SRF, subject to the provisionsofClause3,and12oftheAgreementandthetermsofLicense.TheSubscriberundertakestoaccept andpayupontheDueDateforthesaidServicesandchargeableServiceEquipmentinaccordancewithtermsof thisAgreement. b. The Company shall use all reasonable efforts to commence delivery of the Service on the Service Activation Date,subjecthowevertothefulfillmentbytheSubscriberofitsobligationsasdetailedintheAgreement. c. The Company shall be entitled to determine the most appropriate means of providing the Service, including usingaProvisioningEntitytodeliverallorpartoftheServiceandthemethod,technologyandrouteofdelivery oftheServicetotheSubscriber. d. TheCompanyreservestherighttovary,modifytheServiceatitssolediscretionfortechnical,businessorany otherreasons.IfamodificationtoaServicehasamaterialadverseeffectonthefunctionalityofthatService, SubscribermaynotifytheCompanyinwritingoftheexistenceandnatureofsucheffect. e. TheCompanymayatanytime,substituteorchangetheconfigurationorroutingofitsServiceEquipmentused toprovidetheServices. f. The Service Equipment provided hereunder are provided on an as is basis and the Subscribers use of the sameisatitsownrisk.TheCompanydoesnotmakeandherebydisclaims,anyandallotherexpress/implied warranties,includingbutnotlimitedtowarrantiesofmerchantability/quality,fitnessforaparticularpurpose, titleandnoninfringementandanywarrantiesarisingoutofthecourseofdealing,usageortradepractice. g. TheCompanymaytemporarilysuspendwholeorpartoftheServiceatanytimewithoutnotice,iftheNetwork failsorrequiresmodificationormaintenance. h. ProvisionoftheServicetotheSubscribershallbesubjecttothetermsoftheLicenseandtheAgreementorany otherspecialtermsandconditionsofaProvisioningEntity. i. TheCompanyreservestheright touseanysurpluscapacityin theService Equipmentor Network toprovide servicestoanyotherSubscriber. 2. ServiceAvailability a. ServiceQualityduringtheServiceContractPeriod,theCompanyshallendeavortomaintaincommercially acceptablelevelsofServiceavailabilityandensurethattheSubscriberisnotpreventedfrommakinguseofthe ServiceasaresultofanydeficiencyorproblemintheNetwork. b. TheCompanymayenterintoaseparateservicelevelagreementswiththeSubscriber,providedthatallother parametersnotcoveredinsuchagreementsaregovernedbythetermsandconditionsofthisAgreement. c. Servicequality,functionality,availabilityorreliabilitymaybeaffectedandtheCompanyshallnotbeliablefor suchdisruptions/interruptions/deficiencyincasetheyareduetothefollowingreasons;i).Plannedrepairs, modificationsormaintenancenotifiedtoSubscriberinadvance,ii.)UnauthorizedchangestoService EquipmentorCPEmadebySubscriberwithoutnotifyingtheCompany,iii).Anyfaultinequipmentotherthan ServiceEquipmentorafaultarisingfromoutsidetheNetwork,iv).SuspensionofServicebytheCompanyas perClause8,v).ForceMajeureEvents,vi).AnyfaultinordamagetoServiceEquipmentorNetworkor componentsthereofforreasonsbeyondthereasonablecontroloftheCompany,vii).RefusalbySubscriberto allowtestingorrepairofServiceorServiceEquipmentandusebySubscriberoftheServiceonanimpaired basis,includingrefusaltoallowaccesstoSubscriberPremisestotheCompanypersonnel,viii).Failurein providingstablepowerandtheotherinfrastructurerequiredforServiceEquipmentand/orSubscriber Equipment,ix).Subscriberscheduledmaintenance,x).AnycomplaintbytheSubscriberwhichtheCompany, afterdueinvestigation,findstobewithoutanybasis. d. TheSubscribershallpayallreasonablecostsincurredbytheCompanyininvestigatingandremedyingany Servicedifficultywhichisattributableto:(i)thenegligence,act,omission,breachorfaultoftheSubscriberor itsagents,or(ii)thefailureormalfunctionofCPEthatconnectstotheServiceasandwhereapplicable.
e. IntheeventoftherebeinganydeficiencyintheServicesorServiceEquipment,theSubscribershallwithina periodofseven(7)BusinessDaysfromtheoccurrenceofthedeficiencynotifytheCompany,andthereupon theCompanyshallendeavortorectifythesameinareasonableperiod. 3. RepresentationandWarrantiesofSubscriber(NotApplicableforIndividuals) a. ComplianceTheSubscriberwarrantsthatitisadulyorganizedentity,validlyexistingandfullycompliantwith allApplicableLaw. b. Licenses&authorizationsTheSubscriberwarrantsthatithasallcorporate,statutoryandotherauthorisations, licensesandconsentsnecessarytolegallyexecuteandperformitsobligationsundertheAgreementandshall continuetohaveallsuchauthorizations,licensesandconsentsaslongasitavailsoftheServicesorseeksto exerciseand/orenforceanyofitsrightsundertheAgreement; c. SubscriberPremisesTheSubscriberwarrantsthatithasfullrights,titleandinterestsinSubscriberPremisesor such rights, approvals and permissions as are necessary to enable it to use the Subscriber Premises for the purposeofitsbusiness. d. No liquidation There are no bankruptcy, winding up or other liquidation proceedings pending or being contemplatedbyoragainsttheSubscriberorthreatenedagainsttheSubscriber; e. No litigation There are no other legal proceedings pending or contemplated by or against the Subscriber or threatenedagainsttheSubscriber,thatwouldmateriallyoradverselyaffectitsabilitytoperformitsobligations undertheAgreement. 4. Billingandpayment a. InvoicesTheCompanyshallsendbills/invoices/statementofcharges(collectivelytheInvoice)throughpost/ courier or electronic media to the Subscriber. Subscriber may also obtain copies of invoices from the Companysoffices/authorizedoutletsforwhichtheCompanymaylevyadditionalCharges. b. TheCompanyreservestherighttoraiseand/orcollectInvoicebyitselfdirectlyorthroughanyofitsnominees, agentsorfranchisees.TheCompanyrepresentsthatirrespectiveoftheagencythatraisestheChargesinthe Invoice,oncetheSubscriberhaspaidtheCharges,itshallbedeemedtohavebeenpaidtotheCompany. c. PaymentTheSubscribershallpayallChargestotheCompany,whetherinvoicedornotontheDueDate.The Companys acceptance of payment from a third party other than the Subscriber shall not amount to the Company having contractually assigned, transferred or modified any of the rights or obligations of the SubscriberunderthisAgreementtoanythirdparty. d. If Subscriber fails to pay the Charges in accordance with the Agreement, the Company shall be entitled, in additiontoanyotherremedythatitmighthaveunderApplicableLaw,todooneormoreofthefollowing; I. Set off /adjust against the Security, any amounts due and payable by the Subscriber to the Company pursuant to the Agreement or any other agreement between the Parties for provision of other telecommunicationservices. II. Charge interest on overdue invoices from the Due Date until payment @ 2 % per month or part thereof subject to a minimum charge of Rs. 25. Interest shall continue to accrue notwithstanding expiry or terminationoftheAgreementforanyreason. III. Exercise a lien over any CPE whether pursuant to the Agreement or any other agreement with the Company. IV. SuspendorterminatetheServicesaspertheAgreement. e. Security:SubscribershalldepositwiththeCompanyaninterestfree,refundableSecurityinsuchamount(s)as may be determined by the Company from time to time. The Company reserves the right to forfeit/ adjust/ applythesaidSecurityamountinfullorpartforthesettingoffofanyCharges,Taxesorsuchothersums/debts due from the Subscriber to the Company at any time. Subscriber shall continue to be liable for balance amounts,ifany.InsuchcircumstancestheCompanyshallbeentitledtorequestthattheSecurityberestored either to the original amount or be increased by such amounts or additional amounts as the Company may decide under the circumstances. The refund of the Security shall be subject to deductions/ set off or adjustments,ifany,liabletobemadebytheCompanyundertheprovisionsoftheAgreement. f. Norefund:ExceptasmaybeprovidedintheAgreement,anyandallChargespaidbySubscribershallnotbe refundedbytheCompanyunderanycircumstances. g. Currency:Thepaymentshallbemadeinsuchcurrencyasspecifiedintheinvoice. h. Additionalservices:TheSubscribershallpaytheChargesforanyadditionalServiceEquipmentorotherservices thatitmayrequireforcustomizationorupgradationoftheServiceandtheServiceEquipmentandshallalso provide such additional Security as the Company may require for the said purpose. Any such provisioning of customized or upgraded Services for the Subscriber shall not be deemed to constitute as a waiver of the SubscribersobligationsaspertheAgreementfortheServicesalreadyrenderedbytheCompany.TheParties

confirm that the provisions of the Agreement shall continue to be legal, valid and binding as regards any additionalservices. MultipleLocations:WheretheCompanyprovidesServicesand/orServiceEquipmentatmultiplelocationsof the Subscriber and /or associate, group, subsidiary, holding companies (collectively Affiliates) of the Subscriber, then one of the Subscriber accounts must be designated as the Main Account under the Agreement and shall accept and undertake all financial responsibility for all the accounts of the Affiliates of SubscribercoveredandincludedundertheServicearrangementprovidedbytheCompany.Intheeventthatan AffiliateaccountofSubscriberfailstopaytheapplicableCharges,Taxesoranyotherchargeableamountsthen theMainAccountshallbeliableforallsuchChargesincurredasaresultofAffiliateaccountsuseofServices and/orServiceEquipment. Suspension/reconnectionExceptforcircumstancesdescribedinclause8.13hereunderSubscribershallremain liableforallapplicableChargesduringtemporarysuspension/discontinuationofServices.Reconnectionofthe Servicesshallbeatacost,asdecidedbytheCompanyfromtimetotime.TheSubscribershallbeliabletopay allChargesforreconnectionoftheServices,asnotifiedbytheCompanyfromtimetotime. VariationTheCompanyshallbeentitledtochange,varyandmodifytheServiceorServiceEquipmentwhich mayresultinupwardrevisionsinany/allTariffand/orCharges,withdrawdiscounts,increasesurcharges,etc. atanytimeinitssolediscretionforone,moreorallofitsSubscribers. TheTariff/Chargesarebasedonprevailingregulations,interconnectregimeandinterconnectarrangements entered into with other telecom & Internet service providers at the time of entering into the Agreement. In caseofanychangeinsucharrangements,theCompanymayimposeadditionalapplicableCharges. Subscriber shall pay all the costs of collection of dues and legal expenses along with interest in case the Companyhastoreferthemattertoacollectionagencyortolegalrecoursetoenforcepayment. Disputes in Billing & Payment: In case Subscriber disputes any Invoice or part of an Invoice, Subscriber shall withinseven(7)BusinessDaysfromthedateofsuchInvoice,deliveranoticeinwritingtotheCompanysetting out the nature of the dispute. Such notice shall in particular contain the following information: (a) date and numberofdisputedInvoice;(b)amountindispute;(c)reasonfordispute;and(d)supportingdocumentationas appropriate.IfCompanydoesnotreceiveanynoticeofdisputefromSubscriberwithinsuchstipulatedperiod, SubscribershallbedeemedtohaveacceptedtheChargesontheInvoiceasbeing correct.ShouldSubscriber dispute the Charges on the Invoice, Subscriber shall pay in the first instance all Charges including disputed amount,upontheDueDate,andtheCompanywill,uponresolutionofthedisputesettleanyoverpayment,if any,intheformofacreditinthenextInvoice. Taxes:AllTaxespresentandfutureandanyotheradditionalTax/cess/dutyleviedbyAuthoritiesshallbeto theaccountofSubscriber. RightsandObligationsofthecompany In performing its obligations under this Agreement, the Company shall at all times exercise reasonable skill and care of a telecommunications service provider and will ensure that it complies with the Applicable Law whileprovisioningtheServices. ExceptasexpresslysetforthinthisAgreementallwarranties,representationsoragreementswithrespectto the provision of the Service, Service Equipment or otherwise, whether in oral or in writing and whether expressorimplied,eitherbyoperationoflaw,statutoryorotherwise,areherebyexpresslyexcludedtothe extentpermittedunderApplicableLaw.TheCompanyshallnotbeliableforanyactofcommissionoromission ofanythirdparty/supplier/manufacturer/agency/companyofferinganyprivilegeorbenefitstoSubscriber withoutexpresspermissionorauthorityoftheCompanywithreferencetotheServiceorServiceEquipment. AssignmentTheCompanyreservestherighttotransferorassignand/ordelegateanyandallorpartofits rightsandobligationshereunder(a)toanyProvisioningEntity,(b)pursuanttoanysaleortransferofallora substantialportionoftheassetsorbusinessoftheCompany,or(c)pursuanttoanyfinancing,merger,orre organisationoftheCompany,or(d)initsbusiness/commercialinterestsandinlinewithApplicableLaw.Such transfer/assignmentshallreleasetheCompanyfromallliabilitiesundertheAgreement. DisclosurePrivacyofcommunicationissubjecttoApplicableLawandthetermsoftheLicense.TheCompany may be required to disclose any information or particulars pertaining to the Subscriber to any Authority, includingbutnotlimitedtoanysecurityagenciesandreservestherighttocomplywiththedirectionsofsuch AuthoritiesatitsdiscretionandwithoutintimatingtheSubscriber. Verification & credit check The Company reserves the right to seek / verify particulars provided by the SubscribertotheCompany,inanymannerwithoutnoticeorintimationandreservestherighttorejectany SRF,forreasonsincludinglackoftechnicalfeasibility,incorrectparticularsprovidedbySubscriberorfailureto furnishthesame,andwithoutanyobligationtodisclosesuchreasonsorliability.Anyinformationprovidedby a prospective Subscriber /gathered by the Company in relation to the SRF shall become the Companys
property even if the SRF is rejected and such information will be retained by the Company in case of terminationordiscontinuanceoftheService. f. The Company reserves the right to refuse any request by the Subscriber to transfer /relocate the Service Equipment to an alternate Subscriber Premise and is not obliged to furnish any reasons for such refusal. In caseCompanyconsentstosuchtransfer/relocationofServiceEquipment,theSubscribershallfurnishfresh particularswithrespecttothealternateSubscriberPremiseandpayallChargestotheCompanyinrespectof thetransferrelocation. g. Access The Company, its agents or franchisees shall be allowed free access to the Subscriber Premises to removetheServiceEquipmentincaseoftermination,discontinuationorsuspensionoftheService. 6. DutiesandObligationsoftheSubscriber Subscribershall a. Illegal Use: Not use the Service for any improper, immoral, unlawful or abusive purpose or for sending obscene, indecent, threatening, harassing, unsolicited messages, which may cause any damage to the Company or any other person whomsoever and shall ensure that he/it and his/its employees, agents and persons using the Service through him/it comply with the above. Any such misuse shall under no circumstancesbeattributedtotheCompanyandtheSubscribershallbesolelyresponsibleforsuchacts.The SubscribershallnotusetheServicetogainaccesstoanythirdpartysinformationorwebsitesorconfidential informationordoanyactthatmayamounttobreachofathirdpartysprivacy. b. Relocation: Bear all additional costs and Charges of transfer/ relocation of Service Equipment or alteration /modification of Service or Subscriber Premises that may have accrued, due to circumstances beyond the reasonable control of the Company, if required to facilitate the provisioning of or maintaining continuity of anyService.Further,CompanyshallnotbeliableforanycostsnorshallitbeobligedtorestoretheSubscriber Premisestoitsoriginalstateinsuchcasesoftransfer/relocationoralteration/modification. c. Cooperation:AtitsownexpenseprovidesuchassistancetotheCompanyand/ortheProvisioningEntityasthe CompanymayreasonablyrequiretoprovidetheService.TheCompanyshallnotberesponsiblefordelayin commissioning of Services on account of the Subscriber's failure to provide appropriate infrastructure at SubscriberPremises. d. Access:PermittheCompanysemployees/authorisedrepresentativestoinspecttheSubscriberPremisesprior toprovisionofService,install,configure,maintain,inspect,test,modifyandsubstitutetheServiceEquipment orCPE,asapplicable,atallreasonabletimes. e. Service Equipment Obtain all necessary municipal, statutory and other approvals from Authorities or any otherentityfromwhichsuchapprovalmayberequiredforinstallationofServiceEquipmentattheSubscriber Premises. f. IndemnifytheCompanyfromallCharges,Taxesandsuchotherdutiesthatmaybelevied,orimposedbythe AuthoritiesoranythirdpartyorbySubscriberinrespectofanyServiceEquipmentinstalledattheSubscriber Premises. g. In case the TDN owned Service Equipment is lost, misplaced or stolen, the Subscriber shall inform the Company immediately and provide a copy of the FIR lodged for the lost, misplaced or stolen Service Equipment.AlternateServiceEquipmentwillbeprovidedandactivatedafterreceivingafreshdulysignedSRF fromtheSubscriberalongwithsuchChargesastheCompanymayimpose.TheCompanyshallnotbeliablein anymannerformisuseoflost,misplacedorstolenServiceEquipmentordamagetothesame. h. ForthwithreturntheTDNownedServiceEquipmenttotheCompanyintheeventtheCompanyterminatesthe ServiceforanyreasonwhatsoeverortheSubscriberdiscontinuesuseoftheService. i. Undertake not to use the Service Equipment provided by the Company or any affiliate of the Company to procurethetelecomservicesofanyothertelecomserviceprovider. j. HousetheServiceEquipmentatSubscriberPremisesinaccordancewiththeCompanysinstructionsasmaybe given from time to time and in a suitable environment as per prevailing standards; including specifically provisionofsecuredspacetoinstallServiceEquipmentandprovisionofinfrastructureandconvenientaccess. k. Notmove,modify,relocateorinanywayinterferewiththeServiceEquipmentortheNetworkandnotallow anycominglingoftheServiceEquipmentwithCPEexcepttotheextentapprovedbytheCompany; l. NotcausetheServiceEquipmenttoberepaired,serviced,orotherwiseattendedtoexceptbyanauthorized representativeoftheCompany; m. ProvideadequatesecuritytoServiceEquipment,andshallmakegoodtotheCompanyanylossordamageto thesamearisingduetoactsofomissionand/orcommissiononthepartoftheSubscriberoritsusers. n. Not create or allow any charges, liens, pledges or other encumbrances whatsoever to be created over the ServiceEquipment.TitletotheServiceEquipmentshallatalltimesbelongtoandremainwiththeCompany.
TheCompanyshallnotbeliableforanydamageorliabilityoranydelayorfailureinprovisioningoftheService asaresultofanyliens,chargesorencumbrancesthatmayexistovertheCPEorSubscriberPremise. o. Subscriber must comply with all relevant security procedures and standards with respect to CPE that interfaces with the Service or Service Equipment and shall co operate with the Company in respect of the sameincludingprovidinganyassistancethatmayberequiredinconfigurationormodificationofCPEasmay benecessarytoprovidetheService. p. Beresponsibleforprocurement,maintenance,compatibilityandperformanceofCPE. q. BeresponsibleforcommunicatingwithSubscribersusersoftheServiceandforhandlingallcomplaintsand troublereportsmadebysuchusers. r. PersonalInjury:Beresponsibleandliableforanypersonalinjury,deathortangiblepropertylossarisingatthe SubscriberPremisesresultingfromnegligentactsofomissionorcommissionoftheSubscriber,itsemployees andagents. s. Compliance with Applicable Law: Subscriber and its users shall comply with all Applicable Law, the relevant provisions of the License, and the terms and conditions of the Agreement of the Company and /or a ProvisioningEntity,whenusingtheServiceorServiceEquipment. t. Not use the Service for or allow any connection to a Public Switch Telecommunication Network from Subscriber Premises. In the event Subscriber breaches the provisions of this clause its liability shall be unlimitedasregardsliquidateddamagesandundertakestoindemnifytheCompanyagainstalloranylossesor damagesofanykindwhetherdirect,indirect,special,pecuniary,exemplaryarisingasaresultthereof. u. NotterminateanythirdpartyservicesontheCompanysnetwork. v. No assignment Subscriber is not entitled to transfer or assign its obligations and liabilities under the AgreementtoanyotherpartyunderanycircumstanceswithoutpriorwrittenpermissionoftheCompany.Any transferaffectedincontraventionoftheexpresstermscontainedhereinshallnotabsolvetheSubscriberofits dutytowardstheCompanyinrespectofCharges w. UseofgenuineOperatingSystems(OS)suchasMSWindows,Linuxetc.isrecommendedforbestresults.The Company does not warranty and disclaims any issues in performance of its services due to use of pirated softwarebytheCustomer. 7. ServiceSuspension a. Suspension. TheCompanymay,atitssolediscretionandwithoutprejudicetoanyotherrightwhichit might havetoterminatetheService,electtosuspendforthwiththeprovisionofaServiceuntilfurthernoticeifthe Company: i. IsentitledtoissueanoticetoterminateortootherwiseterminateaServicepursuanttoClause11; ii. IsobligedtocomplywithApplicableLaw; iii. Needstocarryoutemergencyorplannedworks,anymaintenanceactivityand/orplannedoutagestotheNetwork orServiceEquipment; iv. HasreasonablegroundstobelievethattheServiceisbeingusedfraudulently,illegallyorinassociationwithillegal activitiesorotherwisenotinaccordancewithanyApplicableLaw;or v. HasreasonablegroundstobelievethatSubscriberwillnotorisunabletopayanyChargesthatisdueoristofall duetotheCompany. vi. Requests the Subscriber to provide or increase the Security and Subscriber refuses or fails to do so within the stipulatedtime. vii. DeterminesthatServicetransmissionislimitedduetophysicalobstruction,geographic,topographic,hydrological, meteorologicalandothercausesofradiointerferenceorfaultsinothertelecommunicationnetworkstowhichthe Networkisconnected. viii. NotifiestheSubscriberofaForceMajeureEvent. ix. Anydiscrepancies/wrongparticular(s)furnishedbytheSubscriberintheSRF. b. Without prejudice to Clauses 5.d.1 and 5.d.2, in case of any suspension due to failure to make payments by Subscriber,theServiceshallnotbereconnectedtilltheCompanyrealizespaymentofallpendingCharges. c. DuringtheperiodofsuchsuspensiontheSubscribershallcontinuetobeliableforallapplicableCharges. d. If Company exercises its right to suspend the Service pursuant to Clauses 8.a.2 or 8.a.3 it will, whenever reasonably practicable, give prior notice of such suspension and use all reasonable efforts to resume the Serviceassoonaspracticable. 8. LimitationofLiabilityandIndemnification a. TheliabilityoftheCompanyfordamagesarisingoutoftheprovisionoruseoftheService,ServiceEquipment or failure to provide the Service or any matter hereunder including but not limited to mistakes, omissions, interruptions, delays, tortuous conduct or any representations, whether caused by acts of commission or
omissionshallbelimitedtothevalueoftheChargespayableinthemonthinwhichtheeventgivingrisetothe liabilityoccurred.TheaboveshallbethesoleremedyoftheSubscriber. b. Company shall under no circumstances be liable to the Subscriber for any indirect, incidental, special, consequential,exemplaryorpunitivedamagesincludingbutnotlimitedtodamagesforanyadverseimpacton business, loss of profits or loss of revenue or any payments to third parties, whether or not arising out of provision of Service, Subscribers use of, or inability to access any part of the Service, Service Equipment or Subscribers TDN on or use of information, services or merchandise provided on or through the Service and regardlessofwhetherthePartieshavebeeninformedofthepossibilityofsuchdamages. c. The Company shall not be liable to make any refunds whatsoever in case of nonutilization of the Service or ServiceEquipmentbytheSubscriberforanyreason. d. TheSubscribershalldefend,indemnifyandholdtheCompanyharmlessagainstanyandallliabilitiesincurred suchaslosses,damages,costsandexpensesandthirdpartyclaimsagainsttheCompanyduetothefollowing reasons; i. ArisingfromanyfraudorillegalityinrelationtoorunauthorizeduseoftheServices,ServiceEquipmentorCPEby Subscriberoranythirdpartyorotherperson(s); ii. AgainstanyintellectualpropertyinfringementclaimsinrelationtouseofServiceEquipmentorCPEtomakeuseof theService. iii. FromanyfailurebySubscriberand/oritsauthorizeduserstocomplywiththeprovisionsoftheAgreement iv. From any failure by Subscriber to comply with Applicable Law or relating to content, information or data transmittedusingtheServicesorrelatingtotheprovisionoftheService. v. From any and all claims for physical property damage, personal injury or wrongful death regardless of whether such claims arise out of the negligence or willful misconduct of the Subscriber or its employees, agents, or contractorsinconnectionwiththeuseorprovisionoftheService. a. If a Party (Requesting Party) makes an indemnification request to the other (Indemnifying Party), the RequestingPartyshallpermittheIndemnifyingPartytocontrolthedefenseanddispositionorsettlementof the matter, as applicable, at its own expense; provided that the Indemnifying Party shall not, without the express prior written consent of the Requesting Party, enter into any settlement or agree to any disposition thatimposesanycriminalliabilityonorchargeagainsttheRequestingParty.TheRequestingPartyshallatall timeshavetheoptiontoparticipateinanymatterorlitigationthroughcounselofitsownselectionandatits owncosts. 9. IntellectualPropertyRights a. TheCompanyconfirmsthatallcorporatenames,servicemarks,logos,tradenames,trademarks,websitesand domainnames(collectivelythe"CompanyMarks")inrespectoftheServiceandServiceEquipmentareand shallalwaysremaintheexclusivepropertyoftheCompanyandnothinginthisAgreementshallgrantthe Subscriberthelicensetouse,reproduce,orcommerciallyexploitsuchCompanyMarksforanypurpose.The Companyconfirmsthatallotherintellectualpropertyrightssuchascopyrights,patentsordesignswhether registeredornot,thatexistinanysoftware,hardwareorfirmwareprovidedalongwithServiceorService Equipmentandallproprietaryinformation,tradesecretsandknowhow(collectivelytheCompanyIPR)in respectoftheService,andServiceEquipmentaretheexclusivepropertyoforareprovidedtoSubscriberunder validlicensesbyCompanyand/oritsAffiliates(s)undertheApplicableLaws.TheSubscribervidetheAgreement isgrantedanontransferable/nonassignableexclusivelicensetousesuchIPRthatmayexistintheServices andServiceEquipment,providedthatsuchpermissiveuseshallinnowaybedeemedtoconstrueoroperateas atransferorassignmentofanyright,titleorinterest,inanyofthesaidIPR. b. TheSubscriberundertakesnottocopy,reproduce,modify,decompileorreverseengineeranysoftware, hardwareorfirmwareintheServiceEquipmentinanymannerwhatsoever. c. Subscriberfurtherundertakesnottodirectlyorindirectlyreproduce,distribute,publish,copy,downloador otherwiseexploitanythirdpartycontentwhichisprotectedbycopyrightorsimilarrightsunlessSubscriber ownsorcontrolstherelevantrightstheretoorhaveobtainedalltherequisitelicensesandapprovalsfromthe thirdparty.Forthepurposeofthisclause"thirdpartycontent"meansandincludesallinformation,software, anyothermaterialandmediaprovidedbyanyindependentthirdpartythatcanbeaccessedbySubscriber throughorbyvirtueoftheServiceand/orServiceEquipment. d. TheSubscriberagreestoindemnify,defendandholdharmlesstheCompanyfromallthirdpartyactions whethercivilorcriminalthatmayariseasaresultofbreachofundertakinginclauses10.a,10.band10.cby
Subscriber,and/orinfringementorviolationofthirdpartyintellectualpropertyrightsbySubscriberoritsusers whichmaygiverisetothirdpartyclaimsfordamages,penaltiesandsuchotherpecuniaryliabilities. e. TheSubscriberacknowledgesitsobligationtoimmediatelybringtoCompanysnoticeanyimproper,wrongful orillegaluseoftheCompanyMarksorCompanyIPR,whichitbecomesawareoforwhicharebroughttoits notice. 10. Termination a. The Company may terminate the Service on the occurrence of one of the following events: (a) forthwith by notice if the Subscriber has committed a material breach of the Agreement which it fails to remedy within thirty(30)BusinessDaysofhavingbeennotifiedofsuchbreach;or(b)ifthe Subscriberhasareceiveroran administrativereceiverappointedoveritoroveranypartofitsundertakingorassetsorpassesaresolutionfor windingup(otherthanforthepurposeofabonafideschemeofsolventamalgamationorreconstruction)ora courtofcompetentjurisdictionmakes anordertothateffector(c)iftheSubscriberbecomessubject toan administrationorderorifitentersintoanyvoluntaryarrangementwithitscreditorsorifitceasesorthreatens to cease to carry on business, or undergoes or is subject to any analogous acts or proceedings under any ApplicableLaw. b. Notwithstandinganyotherprovision,theCompanymayterminateaServiceimmediatelyonwrittennoticeto Subscriber if: (a) with the exception of Clause 8.a.iii, a suspension made pursuant to Clause 8 hereinabove continuesforaperiodofmorethanseven(7)daysor(b)SubscriberfailstopayanyChargesbytheDueDate. c. SubscribermayterminateaService(a)onthirty(30)BusinessDayswrittennoticetotakeeffectontheexpiryof the Service Contract Period or (b) on thirty (30) Business Days written notice provided such notice is issued priortotheServiceActivationDate.IntheeventSubscriberdoesnotterminatetheAgreementasindicatedin (a)abovethenitshallbedeemedtohaveautomaticallyrenewedtheServiceonthesametermsandconditions ofthisAgreementonthefirstBusinessDayaftertheexpiryoftheServiceContractPeriodandfurtherdeemed tohaveacceptedalltheChargesthathaveaccruedandbecomedueandpayabletotheCompanyasonthe dateofrenewaloftheServiceContractPeriodandtheAgreement.IncaseSubscriberterminatestheServiceas per(b)orterminatestheServiceafterServiceActivationDatebutpriortotheexpiryoftheServiceContract PeriodthentheSubscribershallbeliabletopaytotheCompanyalltheChargesasmentionedintheExitPolicy oftherespectivePTCs. d. ServiceCessation.TheCompanymayterminatetheService(a)uponthirty(30)BusinessDayswrittennoticeto SubscriberifitceasestoprovidethatServiceonacommercialbasisattheSubscriberPremisesor(b)onthirty (30)BusinessDayswrittennoticetotakeeffectduringoraftertheexpiryoftheServiceContractPeriod.Inthe eventthattheCompanyterminatestheServiceundersubclause(a),itshallrefundtoSubscriberthebalance rentalChargespaidbytheSubscribertotheCompanyfortheunexpiredportionoftheServiceContractPeriod. e. NoRelief.TerminationofanyServicewillnotrelieveSubscriberofitsobligationtopayanyChargesdue,owing orincurredundertheAgreement. 11. ForceMajeure NeitherPartywillbeliableforanydelayorfailureinperformanceundertheAgreementresultingfromactsbeyond the control of such Party, including without limitation acts of God, acts or regulations of any Authorities or international authority, war or national emergency, whether declared or undeclared, terrorism, accident, fire, lightning, equipment failure, computer software malfunction or design defect, electrical grid/ power failure, telecommunicationlineorsubmarinecablefailure,actsoromissionsofothertelecommunicationsproviders,riots, strikes, lockouts, industrial disputes (whether or not involving a Partys employees) or epidemics of infectious diseases(ForceMajeureEvent). 12. Confidentiality
a. Commencing from the date of the Agreement and continuing for a period of 2 years from the expiry or terminationoftheAgreement,eachPartywillprotectasconfidential,andwillnotdisclosetoanythirdparty, anyConfidentialInformation.TheCompanymaydiscloseConfidentialInformationtodebtcollectionagencies, credit bureaus or professional advisers, Provisioning Entities or affiliates for the purposes of debt collection from Subscriber. The Parties will use Confidential Information only for the purpose of the Agreement. The foregoingrestrictionsonuseanddisclosureofConfidentialInformationdonotapplytoinformationthat:(a)is inthepossessionofthereceivingPartyatthetimeofitsdisclosureandisnototherwisesubjecttoobligations ofconfidentiality;(b)isorbecomespubliclyknown,throughnowrongfulactoromissionofthereceivingParty; (c)isreceivedwithoutrestrictionfromathirdpartyfreetodiscloseitwithoutobligationtothedisclosingParty; (d)isdevelopedindependentlybythereceivingPartywithoutreferencetotheConfidentialInformation,or(e) isrequiredtobedisclosedbylaw,regulation,courtorgovernmentalorderprovidedthatthedisclosingpartyis notifiedofsuchrequirement. 13. DataProtectionandPrivacy a. Companyshalltakeadequatemeasuresofdataprotectionandprotectionofprivacyinrespectofinformation and data regarding the Subscriber, its employees and end users as provided for under the License. This information and data ("Subscriber Data") may include, but not be limited to, nature or profile of data transmissions and other data gathered as part of providing the Service or necessary for the establishment, billing or maintenance of the transmission, data containing personal and/or private information, and other data provided to or obtained by the Company in connection with the provision of Service. Subscriber acknowledges and agrees that the Company may use, process and/or transfer Subscriber Data only (a) in connectionwithprovisioningofServices;(b)toincorporateSubscriberDataintodatabasescontrolledbythe Companyfortheadministration,provisioning,billingandreconciliation,verificationofSubscriberidentityand solvency, maintenance, support and product development, fraud detection and prevention, sales, revenue and Subscriber analysis and reporting, and market and Subscriber use analysis; (c) to communicate to SubscriberinformationonproductsandservicesoftheCompanyoritspartnersviavoice,letter,facsimileor emailfromtimetotimeand(d)tocomplywithApplicableLaw. b. Subscriber warrants that it has obtained and will obtain all legally required consents and permissions from relevantpartiesfortheuse,processingandtransferofSubscriberDataasdescribedinthisclause. 14. Notices a. Theaddressforserviceofallnoticesinrelationtoanydisputesshallbeasunder; b. IncaseofnoticestoCompany; c. 3A,3rdFloor,Corpora,L.B.S.Marg,BhandupWest,Mumbai400078IncaseofnoticestotheSubscriber, thesameshallbesentto theSubscribersCentralBillingAddressasstatedintheSRForRegisteredplaceof business. d. Any notice required or permitted to be given in writing hereunder will be in English, and sent via email, facsimile,overnightcourier;handdeliveryorcertified/registeredmail,tothePartiesattheaddressessetout intheSRForsuchotheraddressesasmaybespecifiedbywrittennotice.Noticesentinaccordancewiththis clause will be deemed effective: (a) the day after transmission, if sent by email, (b) when electronic confirmationisreceived,ifsentbyfacsimile;(c)theacknowledgeddeliverydate,ifsentbyovernightcourier, (d)whenreceived,ifhanddelivered;or(e)five(5)daysafterbeingsent,ifsentviacertifiedorregisteredmail. A Party may from time to time designate another address or addresses by notice to the other Party in compliancewiththisclause. 15. DisputeResolution Informal Resolution: The Parties shall in the first instance and prior to initiating arbitration pursuant to sub clause16.battempttoresolvethroughnegotiation,anyorcertaindisputesinformally,whilemaintainingstrict confidentialityasperclause13,inthefollowingmanner. Upon written request of a Party notifying (the Resolution Notification) the other about the existence of a dispute(s),eachPartyshallappointadesignatedrepresentativewhoseresponsibilityitshallbetomeetand negotiatein ordertoresolvethedisputes.The ResolutionNotificationshallclearlyindicate(i) thenatureof thedispute,(ii)Awrittenstatementoffacts,(iii)andastatementindicatingtherespectivePartysposition. The designated representatives shall negotiate in good faith and attempt to resolve the disputes within a periodofthirty(30)BusinessDaysfromthedateoftheResolutionNotification. Arbitration: In the event the disputes cannot be resolved within the stipulated period, either Party may by writtennoticetotheother,notifyitsintentiontoreferthedisputestoarbitrationclearlyspecifyingindetail thedisputesunderreference.Withinfourteen(14)BusinessDaysofreceiptofthesaidnoticeeachPartyshall nominatetheirrespectivearbitratorandthetwoappointedarbitratorsshallinturnappointathirdpresiding
arbitrator.IfeitherPartyfailsorneglectstoappointanarbitratororthetwoarbitratorsfailtoagreeuponthe third presiding arbitrator within the stipulated period mentioned above, then the Parties shall apply to the courtofcompetentjurisdictionforappointmentofarbitrator.ThevenueofarbitrationshallbeatMumbaiand shallbeconductedinaccordancewiththeIndianArbitrationandConciliationAct,1996,andtherulesframed thereunderoranyreenactmentofthearbitrationlawtheninforce.AllproceedingsshallbeintheEnglish language.ThePartiesshallusetheirbesteffortstocompletethearbitrationproceedingswithinaperiodofsix (6)monthsfromthedatewhenthearbitratorsenteruponreference. Thecostsofthearbitrationproceedingsshallbepaidasdeterminedbythearbitrator.ThePartiesagreethat the award of the arbitrator shall be final and binding upon the Parties and all persons claiming through or underthem.ThearbitrationagreementmaynotbewaivedexceptuponmutualwrittenconsentoftheParties. 16. Miscellaneous a. Governing Law & Jurisdiction: The validity, construction and performance of the terms and conditions of theAgreementshallbegovernedby,interpretedandconstruedinaccordancewiththeLawoftheRepublic ofIndia.ThePartiesheretoagreetosubmittotheexclusivejurisdictionofthecourtsatMumbai,India. b. Unenforceable Provisions: If any provision of the Agreement, is held by a court or any Authority to be invalid, void or unenforceable, the remainder of the Agreement will nevertheless remain legal, valid and enforceable. c. NoAmendments:Saveasspecifiedherein,thisAgreementshallbemodifiedonlybythewrittenagreement ofbothParties. d. EntireUnderstanding:TheAgreementexpressestheentireunderstandingofthePartiesandreplacesany and all former agreements, understandings, solicitations, offers and representations relating to the Companys performance in connection with the Agreement and contains all the terms, conditions, understandings, representations and promises of the Parties hereto. For the purposes of this Agreement anyadditionalclausesortermscontainedinanyPOoranycommercialterms/proposalsshallbedeemedto be voidable at the Companys option, to the extent they are in conflict with or are inconsistent with or deviatefromtheprovisionsoftheAgreement. e. NoWaiver:FailurebyeitherPartytoexerciseorenforceanyrightorbenefitconferredbytheAgreement, includingtheCompanysrighttodeliverinvoicesinaccordancewiththerelevantclausehereinaboveshall not be deemed to be a waiver of any such right or benefit nor operate so as to bar the exercise or enforcement thereof or of any other right or benefit on any later occasion. The Companys rights and remedies in respect of any misrepresentation or breach by Subscriber under the Agreement shall not be prejudiced by any investigation or credit check carried out by the Company or the execution or performance,inwholeorinpartoftheAgreementorbyanyotheractionoftheCompanythatbutforthis clausemightprejudicesuchrightsandremedies. f. Principle to Principle: Nothing in the Agreement and no action taken by the Parties pursuant to the AgreementwillconstituteorbedeemedtoconstitutebetweentheParties,apartnership,association,joint venture,orothercooperativeentity. g. Continuity: The provisions of this Agreement that by their very nature shall survive expiry or earlier terminationoftheAgreementshallremaininfullforceandeffectaftersuchexpiryortermination. h. TDN self care portal home page will have advertisements and promotions of third parties. These product/servicesarenotprovidedbyTDN.Thesubscriberslegalrelationshipinrespectofthoseproducts, servicesandthatinformationshallbewithsuchthirdpartysuppliertowhomtheproductbelongs. i. TDNdoesnotcheckorwarranttheaccuracyorcompletenessoftheinformationorthesuitabilityorquality of the products and services of the third parties. Subscriber must make their own enquiries with the relevant third party supplier directly before relying on the third party information or entering into a transactioninrelationtothethirdpartyproductsandservicessuppliedviaTDNService.Subscribershould agreetothetermsandconditionslaiddownbysuchthirdparty. j. TDNmayreceivefeesand/orcommissionsfromthirdpartiesforgoodsandservicesofsuchthirdparties displayedormadeavailableonselfcareportalorwebsiteoraccessiblethroughahyperlinkonanyofthe above. k. IftheSubscriberisusingapromotionalplanthenT&Cofthatplanwillbeapplicable. AcceptableUsePolicy(AUP) ThisisapolicydefinedbyTDN&applicabletoallSubscribers.Thispolicydefineswhatisacceptable&whatisnot acceptablewhileusingtheinternet.TDNreservestherighttomodifytheAUPfromtimetotimeinaccordance withchangesinregulations,guidelinesordirectivesfromthegovernment.Thesechangeswillbebindingonall TDNsubscribers.FromhereonwardsAUPhasbeendefinedas:
GovernanceofAUP: 1. CompliancetoAUPisacontractualrequirement.IfSubscriberviolatesthetermsandconditionsoftheAUP,his accountorserviceislikelytobesuspendedorterminatedwithoutpriornotice. 2. Restorationofsuchblocked/suspendedserviceissolelyonTDNdiscretion&wouldinvolveawritten complianceagreementfromtheSubscriberandpaymentofadministrativechargesifany. 3. TDNdoesnotexerciseeditorialcontrolorreviewoverthecontentofanywebsite,electronicmailtransmission, newsgroup,orothermaterialcreatedoraccessibleoverorthroughtheService.However,TDNmayremove, block,filter,orrestrictbyanyothermeansanymaterialsthat,inTDNssolediscretion,maybeillegal,may subjectTDNtoliabilityormayviolatethisAUP 4. TDNisobligedunderIndianlawstoprovideinformationtoLawenforcementagenciesandpublicor governmentbodiesthatarelegallyauthorizedtoobtainsuchinformation ClausesofAUP:TheSubscriberagreesnottousetheService 1. Forsendingandreceivinganyobjectionable,obsceneorunauthorizedcontent 2. Foranycontent,messagesorcommunicationsinfringingcopyright,Intellectualpropertyrightand international&domesticcyberlaws,inanyformorinconsistentwiththelawsofIndia. 3. Forhackingorgainingunauthorizedaccesstoanycomputersystemsontheinternet 4. Torunanyinternetprotocol(IP)forgingorportscanningsoftwaretodeliberatelyaffectremotemachines 5. tousetheServiceforanyantinationalactivitieswouldbeconstruedasanoffencepunishableundertheIndian PenalCodeorotherapplicablelaw 6. totransmitanyinformationorwritten,graphicorphotographicmaterial("Material")(byuploading,posting, emailorotherwise)thatisunlawful,threatening,abusive,harassing,tortious,defamatory,obscene, pornographic,libelous,invasiveofanother'sprivacy,threatening,menacing,offensive,hatefulorracially, ethnicallyorotherwiseobjectionable 7. totransmitanyMaterial(byuploading,posting,emailorotherwise)inbreachofthisAgreementincludingany Materials that you do not have a right to make available under any law or under contractual or fiduciary relationships(suchasinsideinformation,proprietaryandconfidentialinformationlearnedordisclosedaspart ofemploymentrelationshipsorundernondisclosureagreements); 8. totransmitanyMaterial(byuploading,posting,emailorotherwise)thatinfringesanypatent,trademark,trade secret,copyrightorotherintellectualpropertyrightsofanythirdparty; 9. to transmit (by uploading, posting, email or otherwise) any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; 10. totransmitanyMaterial(byuploading,posting,emailorotherwise)thatcontainssoftwarevirusesoranyother computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer softwareorhardwareortelecommunicationsequipment. 11. toharm,orthreatentoharm,minorsinanyway 12. tosendemailsfromTDNNetworkstorecipientwhodonotwishtoreceivetheemails 13. tosendanyemailswithforgedheaderinformation,norshouldyouattempttoimpersonateanyother individualororganization 14. tointerferewithordisrupttheServiceorserversornetworksconnectedtotheService,ordisobeyany requirements,procedures,policiesorregulationsofnetworksconnectedtotheService; 15. tohackintotheWebsiteoranyotherrelatedcomputersystem,makeexcessivetrafficdemands,forwardchain letters,surveys,contests,pyramidschemesorotherwiseengageinanyotherbehaviorthatmayreasonablybe expectedtoinhibitotherusersfromusingandenjoyingtheWebsiteoranyotherwebsiteordamageordestroy thereputationofTDNoranythirdparty; 16. toreselloradvertisetoreselltheServiceswithoutTDNsauthorization; 17. tousetheServicetosendunsolicitedcommercialorbulkelectronicmailmessagestoanyone
