SECTION I: INVITATION FOR PROPOSALS

Disclaimer
Centre for Development of Advanced Computing (herein after called C-DAC, Mohali) has prepared this
Expression of Interest (EoI) document solely to invite prospective Channel Partners for collaboration.

While C-DAC, Mohali has taken due care in the preparation of information contained herein and believes
it to be accurate, neither C-DAC, Mohali or any of its authorities or agencies nor any of their respective
officers, employees, agents or advisors give any warranty or make any representations, express or implied
as to the completeness or accuracy of the information contained in this document or any information
which may be provided in association with it.

This information is not intended to be exhaustive and interested parties are required to make their own
inquiries in order to submit the EoI. The information is provided on the basis that it is non–binding on C-
DAC, Mohali any of its authorities or agencies or any of their respective officers, employees, agents or
advisors.

C-DAC, Mohali reserves the right not to proceed with the bidding/EoI process at any stage without
assigning any reasons thereof, or to alter the timetable reflected in this document or to change the
process or procedure to be applied.

It also reserves the right to decline to discuss the EoI further with any party submitting an EoI. C-DAC,
Mohali will not be liable to pay/reimburse any cost/losses/expenses/penalties/damages of whatsoever
nature to any person (s)/entity (ties) submitting the EoI.

Introduction
More than twenty-five years of C-DAC’s extensive and progressive R&D initiatives has brought the country
into the league of a few supercomputing nations, and has established C-DAC, Ministry of Electronics and
Information Technology, Govt. of India, as a powerhouse of R&D in advanced Healthcare, Information
Technology, Electronics, and associated areas.

The diverse technologies that C-DAC has dealt with are High Performance Computing, Health Informatics,
Natural Language Processing, Artificial Intelligence, e-Learning, Multilingual Multimedia Computing,
Geomatics, Cyber Security, Real time Systems and Software, Data Warehousing, Data Mining,
Digital/Broadband Wireless Networks, Scientific Modeling & Visualization. At the same time, the various
sponsored projects and contracts undertaken are in the area of Financial Modeling, Telemedicine,
Intelligent Information Retrieval, Machine Translation, Network Security, e-Learning, Fault Tolerant and
Industrial Computing Systems.

As part of its development activities C-DAC has been awarded several projects by the Ministry of
Electronics and Information Technology, Ministry of Health and Family Welfare (MoHFW), Department of
Official Language (DOL), Department of Science and Technology (DST), Department of Scientific and
Industrial Research (DSIR), Department of Culture, Department of Biotechnology etc.

C-DAC Mohali is one of the centres working in the area of Cyber Security and has successfully completed
multiple R&D projects sponsored by MeitY, NTRO, NCCC, DIT Haryana, and DST etc. During these projects,
C-DAC Mohali cyber security team has developed technologies in the domains of cyber threat hunting,
cyber-attack capturing, attack data analysis, deception technologies, and cyber threat intelligence
generation etc. C-DAC Mohali is an official partner and is giving threat feeds from Honeynet system to
CERT-In, Cyber Swachhta Kendra (CSK), Botnet cleaning and malware analysis centre.

1) Deception Framework
The deception framework is a comprehensive customizable integrated system consisting of deception
elements, management systems, analytic engines and dashboard. It implements deception at multiple
layers of abstraction of an organizational network. The customized deception framework enables the
detection of the APT adversary existing inside the organization.

For an organizational network, the basic building blocks could be subnets and VLANs representing
different organizational operational units/departments. The deception cells is comprehensive deception
plan tailored according to the specification of the organizational functional unit/department. Various
deception elements in the deception plan will emulate service, data, beacons and traps synergized as per
the operational domain of the unit/department.

The network of deception cells is centrally managed, configured and controlled by a single deception stack
manager (DSM). This provides a single window of operations for users and provides ease of usability. The
deception stack manager (DSM) controls the deception at each deception cell level with a help of
deception element manager (DEM). The deception element manager creates the deception network
consisting of deception element and manages these deception networks.

The data collected by the deception elements is pushed to the deception elements managers in the real-
time from where it’s further sent to the deception stack manager in the real time. At deception stack
manger this data is filtered processed and stored in to relational database and big data base for future
usage.

decoys will trigger an alarm.

2) Educational Distributed Honeypot Laboratory Framework
In the field of cyber security and its related areas, the education and exposure of latest attacks trends
to defend the network and host from the network is required in the world of science and technology.
Through creation of concept labs, the students/researchers will get the exposure to the
characteristics of hackers who hack into security systems and study the method or methodology to be
used by hackers to break computer security system. This solution proposes lab establishments of
Distributed Honeynet System as process model to develop a Honeynet Laboratory with various classes
of Honeypots for capturing and collection of latest attacks. This lab can also be used in researching
honeynet and to study the behavior of malwares captured on Honeynet. Students can apply
theoretical knowledge acquired from classes in lab rooms. The key deliverables under this will be:-

1. Establishment of Distributed Honeynet Concept lab to demonstrate the capabilities of


Honeynet System for capturing the live cyber-attacks.
2. State-of-art automated malware analysis lab, traffic analysis and intrusion detection
methodologies for cyber threat intelligence generation.
3. Trainings and practical sessions of Honeypot/Honeynet capabilities.
Distributed Honeynet System framework is presented to guide the research activities to develop a lab
of Honeynet in an Educational environments. The envisaged model consists of following eight steps:-

1. Understanding fundamentals of Honeynet: Students studying in computer security course


need to take subject such as Ethics and Professionalism in ICT, Ethical Hacker, Computer and
Network Security, Operating System, Computer Architecture, Information Security, Digital
Forensic and Network Intrusion Detection System. These subjects will expose students to a
variety of security knowledge.
2. Honeynet Architecture Design and Requirements: This phase is important because the design
of the Honeynet will affect the computer network system of university. The physical
placement of a Honeynet and its accessibility are critical security issues that need to be
handled in accordance with university security policies.

3. Identify Hardware and Software to build Honeynet Laboratory: In this step, the students will
be exposed to the equipments and softwares needed to develop the Honeynet.
4. Setting-up and installation hardware and software: The process of setting-up and arranging
the hardware components based on the layout architecture design of Honeynet is carried out.
5. Deployment of a single Honeypot: Before students are exposed to the construction of the
Honeynet, students will be given the opportunity to work with a simple Honeypot.
6. Construct a Honeynet: This phase exposes students to build their own Honeynet. To ensure
safety, Honeynet is built virtually in a quarantined environment to avoid interference with the
university’s computer network system.
7. Analysis of captured data: In analysis phase the captured data is analyzed to access the
information or trends of the attacker’s action, prospective trends of potential attacks and the
methodologies of attackers. Recommended activities for this stage, students should study the
log files produced by detecting the attacker’s acts and try to figure out the weaknesses. Snort
or other open source tools can be used to detect the malicious content in the captured data.
Following analysis methodologies are proposed that will lead to generation of cyber threat
intelligence in international standard formats.

b. Traffic analysis and deep packet inspection methods
c. Signature based analysis
d. Automated machine learned models for attack classifications.
8. Analyzing new signatures of attack: Analyzing new signatures of attack is not an easy task
because we need the industry experts such as Cyber Security Malaysia to analyze composed data
and build up signatures for the new attacks.

Considering the growing demand for cyber security solutions, technologies and
products in the country, a need is felt for partnering with reputed agencies with
required expertise and wherewithal for provisioning of solution/technology
development/customization capacity/business development/deployment/support/
outreach of cyber security solutions, technologies and products.

4. Submission
• The prospective Channel Partners should consider any corrigendum published on C-DAC
website(www.cdac.in) regarding the EoI document before submitting their proposals.
• EoI document should be in PDF formats. The attached documents should be scanned in
100 dpi with black and white option.
• The proposal document first page should provide the information regarding the
category under which channel partner is seeking for empanelment.
• The proposal along with the required documents must be submitted in hardcopy at
address mentioned under contact information and soft copy mailed to email id
mentioned above.
• Signed covering letter as per format given in Annexure – A
• Duly filled proposal documents with proper seal and signature of the authorized person
with name, designation, email id & contact number along with the authority letter, as per
the format attached in Annexure – B.
• A copy of Certificate of Incorporation, Partnership Deed/Memorandum and Articles of
Association or any other equivalent document showing date and place of incorporation,
certified by an authorized signatory.
• Copies and documents of supply orders/installation reports/projects successfully
completed/executed by prospective Channel Partner.
• The copy of the audited balance sheets or certificate from a Chartered Accountant for the
financial year 2017 - 2018, 2018 - 2019 and 2019 - 2020 indicating the annual sales
turnover of the prospective Channel Partner.
• The details of establishment, resources like own office/ lab, plant and machinery,
equipment’s, instruments, staff etc., available with prospective Channel Partners.
• Organizational Details, as per Annexure – C.
• Details of technical staff on roll of prospective Channel Partner, as per format given at
Annexure – D

• Details of experience of the prospective Channel Partner, as per format given in
Annexure – E.
• The copies of PAN, TAN, as applicable.
• The copies of GST registration, shop-act license or equivalent document.
• Copies of documents in support of other credentials like ISO Certification, awards won,
professional membership, etc.
• Undertaking to the effect that the prospective Channel Partner has not been blacklisted
or debarred from bidding process by any Office/ Department/ Undertaking of the State
Government/Central Govt. of India, at the time of submission of bid.Agency to submit an
affidavit in this regard.
• The agency shall mention past and ongoing court cases of agency along with current
status inthe affidavit.
• Other documents necessary in support of eligibility criteria and/ or credential of the
prospective Channel Partner.
Note: C-DAC, Mohali reserves the right to reject the proposal if any of the above listed
document/s is/are not submitted.

SECTION – II: INSTRUCTIONS TO PROSPECTIVE CHANNEL PARTNER
1. Selection of Products/Solutions/Technologies
The information related to products which can be channelized are given in Annexure –
H. The interested Channel Partner may submit their proposal with reference to the
products. It is essential for the prospective Channel Partner to comply with the
eligibility requirement/s for submission of proposal.
C-DAC reserves the right pertaining to allotment of any particular product to the
empaneled Channel Partner.
2. Regions of Empanelment
• C-DAC, Mohali reserves the right to assign any one or more geographical regions, based
on the performance and credentials of the empaneled Channel Partner.
• The empaneled Channel Partners can carry on the duties and responsibilities assigned
by C-DAC, Mohali within the assigned regions only.
• C-DAC, Mohali reserves the right to empanel and/or appoint more than one Channel
Partner for any of the regions mentioned above.

3. Period of Empanelment
The initial period of empanelment shall be period of two year, which may further be
extended as per the requirements of the Centre.

4. Eligibility Criteria
The prospective Channel Partner must meet the minimum eligibility criteria given below:

1932, Limited Liability Partnership Act, 2008 and who have their
registered offices in India.
Channel Partner must have experience in Design, Development, Product A,B,C
Realization and Maintenance of IT Products in the Technologies of SAP,
.NET & Java in various Business Domains.
Channel partner should have annual sales turnover more than 1Cr A,B,C
Channel Partner’s previous project/work order cost should be more than A,B,C
cost of C-DAC’s software/Application.
The prospective Channel Partner must have successfully completed 2 A,C
projects of minimum 5 years as per following requirements:
• Should have deployed Cyber Security solutions, products and
technology for at least 2 Govt institute/organization for minimum 5
years.
The prospective Channel Partner should not have incurred loss in last two A,B,C

financial years.
Partner should be a wholly Indian owned public limited company for A,B,C
more than 10 years.
The prospective Channel Partner must have at least ten full time technical A,B,C
staff on their roll for last six months.
The prospective Channel Partner must not be blacklisted or debarred by A,B,C
any Central Govt./State Govt./PSU/Municipal Corporations/other Govt.
Bodies, as on date of submission of proposals.
If in the view of prospective Channel Partner, any exemption/relaxation is A,B,C
applicable to them from any of the eligibility requirements, under any
rules/process/guidelines/ directives of Government of India, prospective
Channel Partner may submit their claim for the applicable
exemption/relaxation, quoting the valid rule/process/guidelines/
directives. In this case the prospective Channel Partner must submit
necessary and sufficient documents along with the proposal, in support of
his claim. The decision about granting the exemption/ relaxation will be
taken by the bid evaluation committee which is empowered to grant
exemption/relaxation. The relevant and valid certificates in support of
claim of exemption must be submitted.

Note: The prospective Channel Partners should provide sufficient documentary


evidence to support the eligibility criteria. C-DAC, Mohali reserves the right to reject
any proposal not fulfilling the eligibility criteria.

Note: Start-ups recognized by DIPP, will be given waiver as per GFR norms.
5. Amendment to EoI Documents
• At any time prior to the deadline for submission of proposals, C-DAC, Mohali may, for
any reason, whether on its own initiative or in response to the clarification request by a
prospective Channel Partner, modify the EoI document.
• The amendments to the EOI documents, if any, will be notified by release of corrigendum
notice on C-DAC website. The amendments/ modifications will be binding on the
prospective Channel Partners.
• C-DAC, Mohali at its discretion may extend the deadline for the submission of proposals
if it thinks necessary to do so or if the proposal document undergoes changes during the
submission period, in order to give prospective Channel Partners time to take into
consideration the amendments while preparing their proposals.

6. Preparation of Proposals
Prospective Channel Partner should avoid, as far as possible, corrections, overwriting,
erasures or postscripts in the proposal documents. In case however, any corrections,
overwriting, erasures, or postscripts have to be made in the proposals, they should be
supported by present date signatures of the same authorized person signing the
proposal documents. However, prospective Channel Partner shall not be entitled to

amend add/delete/correct the clauses mentioned in the entire tender document.

7. Technical Presentation
After submission of proposals, the Evaluation Committee of C-DAC, Mohali may ask the
prospective Channel Partners to give a detailed technical presentation, covering
following points:
• Knowledge, skills, expertise of prospective Channel Partner pertaining to productfor
which proposal is submitted.
• Achievements, awards won, etc.
• Plan/methodology for rendering the services for which the proposal is submitted.
• Capability and willingness of the prospective Channel Partner for marketing C-DAC’s
product.

8. Evaluation of Proposals
• The duly constituted evaluation committee shall evaluate the proposals based on
eligibility criteria, technical requirements and other terms and conditions of EoI
document. The committee shall be empowered to take appropriate decisions on minor
deviations, if any.
• C-DAC, Mohali reserves the sole right for empanelment.
• The prospective Channel Partners, whose technical proposal is found, to meet the
requirements, only qualify for further processing.
• If found necessary, C-DAC may request for additional information / documents for the
purpose of evaluation / assessment of capabilities of agency.
• The agency shall be shortlisted based on evaluation process. C-DAC shall invite only the
Short-listed agency through this EoI process. The intimation to shortlisted
agency/agencies will be informed suitably.
• C-DAC, Mohali may invite the agency for any explanation through a presentation after
shortlisting. Theschedule and venue for the presentation as per the schedule table

• C-DAC, Mohali reserves the right to reject any application/s, without assigning any
reasons therefor.
• Agency shall produce all the supporting documents/certificates/letters in original and
submitthe duly signed copy of them during the presentation.

9. Terms and Conditions


• The contract/agreement shall be initially for a period of two years, which may further be
extended as per the requirements of the Centre.
• The selected Channel Partners will be required to submit performance bank guarantee
of INR 1.0 Lakhs.
• Channel partner must NOT own or be in exclusive possession / license of any software
solution / product in Cyber security.
• C-DAC, Mohali reserves the right to evaluate the offer and contract will be awarded
based on Quality and Cost Based System.
• Revenue share will be decided on “non-exclusive” basis based on highest revenue share
accruing to C-DAC.

• C-DAC, Mohali reserves the right to amend the eligibility criteria, scope of supply,
technical specifications etc.
• C-DAC, Mohali reserves the right to cancel the entire EoI without assigning any reasons
thereof.

10. Financial Offers


Limited enquiries will be sent to the qualified prospective Channel Partners for
submitting the financial proposals. Some of the terms of the financial proposals shall be
as follows:
• The contract/agreement shall be initially for a period of two years, which may further be
extended as per the requirements of the Centre.
• The successful prospective Channel Partners will be required to submit performance
bank guarantee of INR 1.0 Lakhs.
• The contract will be awarded to the eligible Channel Partner offering most competitive
prices. However, C-DAC, Mohali reserves the right to evaluate the offer and award the
channelizing rights based on Quality and Cost Based System (QCBS).

11. C-DAC’s Right to Amend/Cancel


C-DAC, Mohali reserves the right to amend the eligibility criteria, scope of supply,
technical specifications etc.
C-DAC, Mohali reserves the right to cancel the entire tender without assigning any
reasons thereof.

12. Corrupt or Fraudulent Practices


• C-DAC, Mohali will reject proposal if prospective Channel Partner recommended for
award of empanelment has engaged in corrupt or fraudulent practices while competing
for this contract.
• C-DAC, Mohali may declare a prospective Channel Partner ineligible, either indefinitely
or for a stated duration, to be awarded a contract if it at any time encounters that the
prospective Channel Partner has engaged in corrupt and fraudulent practices during the
award/execution of contract.

13. Penalty for Use of Undue influence


The prospective Channel Partner undertakes that he has not given, offered or
promised to give, directly or indirectly, any gift, consideration, reward, commission,
fees, brokerage or inducement to any person employed in C-DAC, Mohali or otherwise
in procuring the contract/agreement or forbearing to do or for having done or
forborne to do any act in relation to the obtaining or execution of the
contract/agreement or any other contract/agreement with the Government of India
for showing or forbearing to show favour or disfavour to any person in relation to the
contract/agreement or any other contract/agreement with the Government of India .
Any breach of the aforesaid undertaking by the prospective Channel Partner or
anyone employed by him or acting on his behalf (whether with or without the
Knowledge of the prospective Channel Partner) or the commission of any offence by
the prospective Channel Partner or anyone employed by him or acting on his behalf, as
defined in Chapter 9 of the Indian Penal Code, 1860 or the Prevention of Corruption

Act 1986 or any other Act enacted for the prevention of corruption shall entitle C-DAC,
Mohali to cancel the contract/agreement and all or other contract/agreements with
the prospective Channel Partner and recover from the prospective Channel Partner
the amount of any loss arising from such cancellation.
The decision of C-DAC, Mohali to the effect that a breach of the undertaking had been
committed shall be final and binding on the prospective Channel Partner, giving or
offering of any gift, bribe or inducement or any attempt at any such act behalf of the
prospective Channel Partner toward any officer/employee of C-DAC, Mohali or to any
other person in a position toinfluence any officer/employee of C-DAC, Mohali for
showing any favour in relation to this or any other contract/agreement, shall render
the prospective Channel Partner to such liability/penalty as C-DAC, Mohali may deem
proper, including but not limited to termination of the contract/agreement, imposition
of penal damages, and refund of the amount paid by C-DAC, Mohali.

14. Confidentiality
The Channel Partner and/or their personnel shall not, either during the term or after
expiration of engagement period disclose any proprietary or confidential information
relating to the services, contract, undertake any public communication, press/media
releases relating to the services or C-DAC’s business or operations without the prior
written consent of C-DAC, Mohali. Information available on public domain is excluded
from confidentiality clause.

15. Force Majeure


C-DAC, Mohali may consider relaxing the penalty and delivery requirements, as
specified in this document, if and to the extent that, the delay in performance or other
failure to perform its obligations under the contract is the result of an Force Majeure.
Force Majeure is defined as an event of effect that cannot reasonably be anticipated
such as acts of God (like earthquakes, floods, storms etc.), acts of states/state agencies,
the direct and indirect consequences of wars (declared or undeclared), hostilities,
national emergencies, civil commotion and strikes at Channel Partner’s premises or
any other act beyond control of the Channel Partner.
16. Arbitration
All disputes/claims of any kind arising out under this contract shall be referred by the
Channel Partner after issuance of 30 days’ notice in writing to the other party clearly
mentioning the nature of dispute to the sole arbitrator appointed by Executive
Director, C-DAC, Mohali. The venue for arbitration shall be Mohali. The arbitration
proceedings shall be conducted in English and as per the provisions of Indian
Arbitration and Conciliation Act, 1996. The decision of the arbitrator shall be final and
binding on both the parties. Initially the cost of Arbitration shall be borne by Channel
Partner as per the decision of the Arbitrator. Any other costs or expenses incurred by
a party in relation to the arbitration proceedings shall ultimately be borne by the party
as the Arbitrator may decide. The courts of Mohali shall have sole jurisdiction to try
and entertain the disputes which are not covered under the ambit of arbitration.

17. Indemnity
Selected Channel Partner shall save, protect and hold harmless C-DAC, Mohali from
any third party/ Govt. claims, penalties, if any, arise out in connection with this
contract.
18. Assignment
• The selected Channel Partner shall not fully or partially share assigned work to any
other entity without prior approval and written consent of C-DAC, Mohali.
• Selected Channel Partner shall not assign, delegate, or otherwise deal with any of its
rights or obligation under this contract without prior written permission of C-DAC,
Mohali.
• The prime responsibility towards the successful execution of agreement/contract lies
with Channel Partner associating with C-DAC, Mohali.

19. Severability
If any provision of this contract is determined to be invalid or unenforceable, it will be
deemed to be modified to the minimum extent necessary to be valid and enforceable.
If it cannot be so modified, it will be deleted, and the deletion will not affect the
validity or enforceability of any other provision.
20. Interpretation of the Clauses in the EoI Document
In case of any ambiguity/ dispute in the interpretation of any of the clauses in this EoI
Document, the interpretation of the clauses by Executive Director of C-DAC, Mohali
shall be final and binding on all parties.
21. Intellectual Proprietary Rights.
IPR’s in respect of any or all works under this Tender/Price Bid/ resultant work
order/contract including but not limited to software / hardware designs,
developments, codes, architecture, documents, manuals, presentations, reports,
charts, diagrams etc. in soft/ digital /electronic/hard/print copy or any other
mode/manner/medium shall be exclusively owned by C-DAC, Mohali. C-DAC, Mohali
reserves the right to prepare any number of copies for distribution, modify code/use
the code in any other project. The customized software part specifically developed,
including subsequent versions, would become a proprietary item of the C-DAC, Mohali
and all IPR rights of the same shall be the property of C-DAC, Mohali after final
acceptance of the application software after testing. Service agency hereby assigns
irrevocably all its interest to C-DAC, Mohali and agrees to sign and execute any
document necessary to that effect. The channel partner will be required to give an
undertaking that the proposed development and customization would in no manner
be a violation of Intellectual Proprietary Rights (IPR) of any software and that the
C-DAC, Mohali would not be responsible towards any legal fallout at a later stage.

SECTION III: SCOPE OF SERVICES AND ROLES
1. Modes of Engagement
To meet the stated objective, C-DAC, Mohali invites EoI for Empanelment of Channel
Partners, who have specific experience and carried out similar type of work, for wide
scale deployments of solutions, liaising with public/private entities, solution
development/customization capacity, business development & promotion, maintenance,
sales & support etc.
2. Broad Scope of Work for empaneled Channel Partners envisaged
Under the consideration of expertise in different domains, the empanelment of
channel partners are categorized in following four categories:

3.2 Implementation, roll out and capacity building.
3.3 Marketing services

2.1 Application support services, customization, development of new modules


Many a times, customers demand certain enhancements or customization in the existing
applications. There is a need to partner with reputed agencies for providing capacity for
application development/customization. The broad scope for roles and responsibilities
envisaged under the EoI for Channel Partners is:

 Gap Analysis
 Study the customer requirement and analyze the gaps vis-à-vis existing solution.
 Prepare Gap analysis/Requirement document for customer signoff.

 Custom Development
 Prepare LDD for required customizations to the application.
 Testing and bug fixing
 Coordinate with CDAC team to validate the test results for new developments.
 User Acceptance Testing
 Prepare test-cases and agree with customer for signoff.
 Track issues/bug identified.
 Fix identified issues during UAT.

 Deployment & Maintenance


 Solution Deployment at customer premises.

 Depending on the workload with CDAC, support is also required in terms of


providing solution development capacity to augment CDAC resources.

2.2 Implementation, Roll out and Capacity building


The following are the broad scope, roles and responsibilities envisaged under the EoI for
Channel Partners:

2.3 Sales & Marketing Services
The broad scope for roles and responsibilities envisaged under the EoI for Channel
Partners is:

 Channel Partner shall do best efforts to promote the sale of the Products and/or
Services throughout the Territory as required
 Marketing will be done with subject to compliance by C-DAC, Mohali with its
obligations under terms of this Agreement, to satisfy market demand for such
Products and/or Services. Channel Partner shall take reasonable measures to
safeguard the interests of C-DAC, Mohali as set forth in this Agreement.
 In connection with the promotion and marketing of the Products and/or Services,
the Channel Partner shall, at its own cost:
 To make clear, in all dealings with customers and prospective customers, that it
is acting as an independent provider of the Products or Services, and is not acting
as an agent or representative of C-DAC, Mohali.
 Channel partner will comply with all rules, regulations, and ordinances relating
to the advertisement, and sale of the Products or Services.
 Prior formal written approval of draft copies of all sales or marketing materials,
including press releases press invitations, catalogues, brochures, pamphlets, or
manuals, used by the Channel Partner will be taken from C-DAC, Mohali.
 To participate in all C-DAC-related branding, promotions, and/or campaigns
related to the Products or Services.
 To maintain an active and suitably trained sales force and ensure that such sales
force is continually trained with current technological developments relevant to
the Products or Services.
 To provide an adequate after-sales service for customers in relation to the
Products, including training and customer service.
 Ensure to forward any customer warranty and service requests relating to the
Products and/or Services as soon as received to C-DAC, Mohali.
 Need to seek prior written approval from C-DAC, Mohali (with such approval not
to be unreasonably withheld) in relation to any online content, including
websites and promotional material, which relates to the Products or Services.
 Channel Partner shall comply with any brand guidelines submitted by C-DAC,
Mohali from time to time. Upon the request of C-DAC, Channel Partner shall use
the standard platform, template or other formatting of C-DAC, Mohali in relation
to the online content.
 Not to promote or sell the Products from any medium whose content, domain
name, or other affiliation is likely to degrade as determined by C-DAC, Mohali in
its sole discretion, the reputation or goodwill of C-DAC, Mohali and its Products
or Services.
 Need to seek prior written approval from C-DAC, Mohali in relation to any

propose uses of copyrighted images or content owned or held by C-DAC, Mohali.
 Not to use any images to promote the Products or Services, other than those
images supplied or otherwise approved by C-DAC, Mohali.
 Channel Partner shall provide, project and customer-related information to C-DAC,
Mohali for projects undertaken by both the Channel Partner and C-DAC, Mohali
relating to the Products and/or Services.
 Any other terms that C-DAC, Mohali may convey from time to time.
Terms
Channel Partner shall submit any and all product orders in accordance with the standard
business procedures of C-DAC, Mohali for placing such Product orders. C-DAC shall
acknowledge all product orders properly submitted by Channel Partner during the term
of this Agreement. The acknowledgment from C-DAC, Mohali of an order shall indicate
acceptance of such order and the anticipated date of shipment thereof or rejection of such
order.
C-DAC, Mohali may, in the sole discretion of C-DAC, Mohali and without liability to
Channel Partner, reject any order that

 C-DAC, Mohali believes, it violates the terms of this Agreement, the Commercial
Terms, and/or applicable law,
 It is not properly submitted to C-DAC, Mohali in accordance with the standard
business procedures of C-DAC, Mohali for placing such orders, or
 It is submitted at a time that C-DAC, Mohali believes Channel Partner to be in
breach of this Agreement.
3. Roles and Responsibilities
The roles and responsibilities of empaneled Channel Partners, in brief and indicative
nature, are given below as per categories:
A. Customization and technology development
B. Implementation, roll out and capacity building.
C. Marketing services

Roles and Responsibilities Relevant for

Agency shall submit progress, status, and other required reports for A, B, C
assigned activities to C-DAC as and when required.
Agency shall assist end users and interface with funding agencies/C- C
DAC officials for continuity of services.
Agency is to adhere C-DAC’s prescribed MRP and pre-defined A, B, C
targets.
Agency to carryout pre-sales activities, provide customer support B, C
framework and technical support.
Agency will be free to sell the product in government and private B
prospects within India or outside with written consent from C-DAC.

4. Role of C-DAC, Mohali


• Keep a check on marketing/proliferation activities such as tradeshows, campaigns and
other promotional activities.
• To provide consent on different activities of channel partners e.g. development of new
application, customization, deployment of application etc.
• Back-end technical support will be provided by C-DAC, Mohali to the empaneled Channel
Partners.
• Conduct regular awareness sessions for all empaneled Channel Partners on C-DAC’s
product.
• Coordinate with Channel Partners to create and execute business plans.
• Address Channel Partners related issues, sales conflicts, and pricing issues in a timely
manner.
• Evaluate Channel Partners sales performance and recommend improvements.

5. Jurisdiction
• Any dispute arising out of this EOI/IOA will be settled by mutually negotiations between
the parties and further legal matters etc. if any, shall be subject to Mohali Jurisdiction
only.
