TENANT ESTOPPEL CERTIFICATE

RE: Lease agreement dated _____________________ (together with any and all amendments and modifications
thereto, collectively, the “Lease”), by and between _______________________________ (“Landlord”) and
__________________________________(“Tenant”) for the following premises:
___________________________, Raleigh, North Carolina (the “Property”)

Ladies and Gentlemen:


The undersigned Tenant certifies with respect to the Lease, as of the date of this certificate, that:
1. The Lease is in full force and effect, has not been assigned, modified or amended, and represents the
entire agreement between Tenant and Landlord with respect to the Property.
2. No assignee, subtenant or occupant other than Tenant occupies space at the Property.
3. The current monthly rent under the Lease is $_______________.
4. A security deposit in the amount of $_____________ is being held by Landlord to cover any expenses or
losses caused by Tenant’s breach of the Lease.
5. No rent payment, other than for the current month, has been paid in advance.
6. The Lease expires: ______________ or is otherwise a month-to-month lease, terminable by Landlord
upon seven (7) days prior written notice.
7. All obligations of Landlord under the Lease have been performed, and Landlord is not in default under
the Lease. There are no offsets or defenses that Tenant has against the full enforcement of the Lease by
Landlord. No free periods of rent, tenant improvements, contributions or other concessions have been
granted to Tenant; Landlord is not reimbursing Tenant or paying Tenant’s rent obligations under any
other lease; and Tenant has not advanced any funds for or on behalf of Landlord for which Tenant has a
right of deduction from, or set off against, future rent payments.
8. Tenant is not in default under the Lease.
9. Tenant has no purchase, extension, expansion, rights of first offer, rights of first refusal, exclusives, right
to lease other premises, or rights to have Landlord perform Tenant’s obligations under leases of other
premises.
The truth and accuracy of the certifications contained herein may be relied upon by (i) Landlord, (ii) any
purchaser of the Property and its successors or assigns (“Purchaser”), (iii) any lender (“Lender”) of Landlord or
Purchaser (or any of their respective direct or indirect owners), and their successors, participants, assigns and transferees
(collectively, the “Reliance Parties”), and said certifications shall be binding upon Tenant and its successors and assigns,
and inure to the benefit of the Reliance Parties. Tenant acknowledges that such statements may be relied upon by the
Reliance Parties in consummating a transaction or transactions related to the Property.
