Both parties have agreed to sign the contract with the following terms and conditions

1. COMMODITY: Newsprinting Paper


2. QUALITY: Quality/ Specification: Ro IL 787 mm width
Appendix 1 of this contract shows all the agreed standards of quality for the goods.
3. QUANTITY: 2,000 MT more or less 5% at the Seller’s option
4. PACKAGING: The goods to be packed in the Manufacturer's Standard Export Packing.
Marking: Substance: 49 g/m2 +/-2
5. PRICE:
- Price to be understood CIF Saigon port, Incoterms 2010.
- Unit price: USD 535/MT
- Total amount: USD 1,070,000.00 (+/-5%)
- Say: United States Dollar one million and seventy thousand only

6. DELIVERY:
- Time of delivery: Latest date of shipment will be December 20, 2020.
- Port of shipment: Busan Port
- Destination: Saigon port
- Partial shipment: allowed
- Transhipment: not allowed

7. PAYMENT:
Payment by irrevocable L/C after 90 days from B/L date for 100% of invoice value, in favor of
the Seller.
- Issuing bank: Vietcombank, HCM City
- Notifying bank: HSBC Bank, Seoul, South Korea.
The following documents are presented:
- Commercial Invoice in three originals.
- Full set Bill of Lading marked Freight Prepaid made out to order of VCB, HCMC.
- Certificate of Quality and Quantity issued by the Seller and/or the Maker in two copies
- Packing List in two copies
- Certificate of Origin issued by Chamber of Commerce in two copies
- Insurance Certificate issued by AIG Korea Insurance

8. INSURANCE
Insurance for the contracted goods will be covered by the Seller by All Risk Policy
9. INSPECTION
The Buyer will be entitled to have the goods inspected by Vinaconntrol at the
destination. If any discrepancy arises in respect of quantity and quality the Buyer will first
lodge claim by cable with the Seller, then within 90 days from the date of discharge will make
a formal claim with supporting documents. Such claim shall be settled by the Seller within 30
days from its receipt of the Buyer's formal claim.
9. FORCE MAJEURE:
Flood, fire, lockout, strike or other labor disturbances, acts or omissions of government
or other competent authorities, war declared or not, riot, civil commotion, sabotage, acts of god
which may be occurred shall be considered as force majeure.
The party that bears force majeure has to notify the other party of the force majeure
cases by fax/telex within five (05) days upon the force majeure taken place. Such force majeure
cases, if any, must be certified by the Chamber of Commerce of the country concerned.
10. ARBITRATION:
All disputes arising out of this contract or breach thereof which cannot be settled
amicably by the parties concerned shall be settled by the International Arbitration Center in
Vietnam. The award of this organization shall be final and binding upon both parties.
In the event of arbitration, the party against whom the award is made shall bear the
entire costs of both parties to the action.

11. GENERAL TERMS:


If any of the provisions in this contract is violated in part or whole, the aggrieved party
shall formally inform the other party in writing to seek resolution
This contract will come into force from the signing date
This contract is made in two (02) copies in English. Each party keeps one (01) copies of
contract having equal value.
