2 Proposed Common Tracking Solution

Ramki Technologies is proposing two options for Nervanik AI Labs Pvt. Ltd in implementing the common tracking
platform. The platform would have all the features and functionalities required by NERVANIK in improving
visibility and operational efficiency in domestic logistics.

1. API Platform

With any of the above options, we would be providing complete solution required for NERVANIK Logistics team.
The application would act as common tracking platform for tracking all the vehicles in a single window.

Terms & Conditions with this option

a. The billing would be applicable to vehicles which did at least one trip in a month and also which
has got full GPS Data till Dealer Location.
b. NERVANIK can suggest to transporter to install any GPS device available in the market. GPS
Vendor needs to share an API in the standard format finalized by NERVANIK.

 c. The application would be hosted in a dedicated Cloud server which would be managed by Core
Technical team of Ramki Group

4 Subscription Option-2 (GPS Hardware Devices)

With this option, NERVANIK would authorize Ramki Technologies as the preferred GPS Device vendor making a
mandate to install RTPL device onto all vehicles. All GPS devices and service to transporter would be taken care
by RTPL along with providing common tracking platform to NERVANIK with features documented in above
option.
RTPL is offering best price to provide service with a high quality GPS hardware to all the transporters. RTPL
would provide options of Rental and outright mode to NERVANIK. RTPL to provide a flexible option here to
NERVANIK on payment. Either The payment can be made directly by NERVANIK or RTPL would directly follow up
with transporter for payment.

4.1 Pricing Option-1 (Basic GPS Tracking Device)

a. Advance charges to be paid for 4 months in advance. From Second month onwards, above

b. The advance paid above would be adjusted in future service charges after contract period.
c. Device owner in this case would be RTPL till one year of period. After one-year period, the
transporter would be the owner of the device and Rs.200 per month service charges would
be applicable per month per device
d. The billing for the vehicle would be generated only if the vehicle moves minimum of 300
kms per month.

 4.2 Pricing Option-2 (AIS140 Approved GPS Tracking Device)

a. Device owner in this case would be NERVANIK or Transporter.

Other Terms & Conditions:

a. Quoted price is valid for 90 calendar days

b. The entire cost in respect to Travel, boarding and Lodging would be borne by RTPL Informatics Pvt Ltd, if
Installation is planned at other than NERVANIK Plant locations.
c. NERVANIK or Transporter would remit the payment within seven 7 working days from the date the
invoice received from M/s RTPL Private Limited, Secunderabad
d. Contract period would be for 3 years from the date of completion of deployment and will be renewed
after Jul 28th 2024 on mutually agreed terms.
e. NERVANIK or Transporter is responsible for any physical damages of the devices arising out of
inappropriate handling by the drivers or vehicle maintenance in Department of NERVANIK. Ramki
Technologies Pvt Ltd needs to prove the damage & letter to be submitted if any device is intentionally
damaged by driver / Maintenance Dept
f. RTPL Informatics Pvt Ltd shall be responsible to provide service Engineer at all NERVANIK plants for
installations/rectification & other locations will be operated through nearest service location.
g. All the New devices Installation will be done at all NERVANIK Plant locations shared.
h. RTPL would charge Rs.500 per device for shifting the device from one vehicle to other and activating in
future.

6 Assumptions
1.NERVANIK will ensure that vehicles will be available as per the vehicle availability schedule published
within 2 calendar months. Non availability of vehicle can extended deployment duration
2.Deployment of the devices shall start within one (1) calendar week from date of contract sign-off along
with vehicle availability schedule

7 Post-Sales Support & Policies

7.1 Application Support
Ramki Technologies Pvt Ltd. Will be supporting the NERVANIK team from Hyderabad using ticketing
software, call, SMS or Email. Within 24 business hours RTPL team shall respond with
a. Time required for resolution
b. Additional information if required
7.2 Onsite Technical Support
a. As part of this engagement Ramki Technologies Pvt Ltd. Shall train NERVANIK team on intricacies of
UTRACK device. If NERVANIK requires additional support from RTPL in onsite on case to case basis.

7.3 Accident/Theft or Damage Policy

If UTRACK device is damaged beyond repairable condition due to accident/tampering/theft, RTPL will charge
NERVANIK for the device at a prorated charge of Rs. 5,000.00 per device and taxes extra. The condition is
applicable for the devices which are proved intentionally damaged by the driver.
7.4 GSM / GPRS Services
Tracking of vehicle is completely dependent on telecommunication connectivity. Failure of telecommunication
network will hinder real time information. RTPL would coordinate with telecommunication vendor to resolve the
issue in such cases.
7.5 Confidentiality
The data contained herein shall not be disclosed/duplicated/used in whole or in part for any purpose other than
to evaluate the proposal provided that, a contract is awarded to this offer as a result of, or in connection with
the submission of this data. NERVANIK shall have the right to duplicate, use or disclose the data to the extent
provided in the contract. This restriction does not limit the right to use information contained in the data if it is
obtained from another source without restriction.

 7.6 Force Majeure
If the performance as specified in this proposal is prevented, restricted, delayed or interfered by reason of: Fire,
explosion, cyclone, floods, War, revolution, acts of public enemies, blockage or embargo, Any law, order,
proclamation, ordinance, demand or requirements of any Government or authority or representative of any
such Government including restrictive trade practices or regulations; Strikes shutdowns or labor disputes which
are not instigated for the purpose of avoiding obligations herein, or; Any other circumstances beyond the
control of the party affected, then notwithstanding anything hereto contained, the party affected shall be
excused from its performance to the extent such performance relates to prevention, restriction, delay or
interference and provided the party so affected uses its best efforts to remove such cause on non-performance
and when removed the party shall continue performance with utmost dispatch.

7.7 Intellectual Property Rights

Ramki Technologies Pvt Ltd. will have the sole and exclusive intellectual property rights and ownership rights
relating to the website and software developed for the assignment. NERVANIK will have the access to programs
and can modify as well as use the programs for their internal operations only.

7.8 Arbitration / Jurisdiction

Any controversy or claim, which shall arise between the parties hereto out of or related to this contract or
breach thereof, shall be referred to a sole arbitrator, acceptable to both parties and the Award of such sole
arbitrator shall be final and binding on the parties.

All such arbitration proceedings shall be held in Hyderabad and shall be in accordance with and subject to the
provisions of the Indian Arbitration Act 1996, or any statutory modification(s) or re-enactment(s) thereof and
rules framed there under.

One or more arbitrators shall settle all disputes arising in connection with this agreement under the rules of
conciliation of the Hon’ble High Court at Hyderabad, Telangana, India appointed in accordance with the said
rules. The decision shall be binding on both the parties.

8 Termination
If either of the parties has to terminate, notice will be held valid only after 3 years if it is preceded by a
corresponding non-compliance notice issued at least 3 months prior to the date of termination notice.

RTPL Informatics Pvt. Ltd, on issuing the termination notice, NERVANIK will pay all payments due as of the
termination date stated in the notice, including those for the proportion of work completed in the on-going
stage, until termination.
