    AGENT COMMISSION AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS:

    This Agreement is made on this __ day of November 2016


    by and between:

    TOP-MAR METAL VENTURES CORPORATION a PEZA-


    Registered corporation having its office at Apo Bldg., Victoria Wave
    Economic Zone, Brgy. Tala, Caloocan City, (hereinafter called
    “Principal”)

    -and-

    GIL TUPLANO with address at No. 260 National Road, Brgy.


    Gaya-gaya, City of San Jose del Monte, Bulacan (hereinafter called
    “Agent”) and both Parties hereto have agreed as follows:

    1. TERRITORY
    “Agent” shall act as a sole agent/broker for the “Principal” within
    the Philippines as well as the area mutually agreed upon.

    2. PRODUCTS
    All non-ferrous Scrap metals that can be found within the
    territory.

    3. EFFORTS
    Agent shall do its best and utmost efforts to look for non-ferrous
    Scrap metals from all sources, to make certain that the Principal
    and the source will have the meeting of the minds, and
    eventually to deliver the said metals to the Principal;
    4. COMMISSION
    Commission rate will be more or ore less twenty percent
    (20%) of the London Metal Exchange (LME) price of the
    products as evidenced by the Principal’s Receiving Report from
    the delivery of the source.

    5. EFFECTIVITY
    This Agreement is effective for one (1) year from November __,
    2016 to November __, 2017. This Agreement may be extended
    automatically unless otherwise informed by either party.

    6. COMPLIANCE
    The Principal and Agent shall comply with the relevant rules and
    regulations under Philippine laws especially the Tax Code and
    New Civil Code.

    7. PRE-TERMINATION
    In the event of this Agreement being terminated by the
    principal for any reason other than willful misconduct on the
    part of the Agent, the Agent shall be entitled to be
    compensated for loss of goodwill suffered, investments and
    services made by the Agent. Such compensation shall be an
    amount equal to the amount of the average monthly
    commissions over the previous periods multiplied by the
    months left not passed by. However such compensation shall
    not be less than ----------for each month not lapsed.

    8. AMICABLE DISPUTES
    Any disputes or claims which may not be resolved amicably
    between the parties hereto shall be settled by arbitration in the
    court in Caloocan City.

    IN WITNESS WHEREOF, the parties have caused this


    Agreement to be executed by their duly authorized representatives

    page on which this acknowledgment is written refers to a Agent
    Commission Agreement and has been signed by the parties and
    their witnesses and sealed with my notarial seal.
