No. JAP-IT/RC/MANPOWER/02/2021 and Empanelment of Agencies under Manpower Rate Contract for providing various category of Manpower to various Departments/Organizations/Agencies/Offices of the State Government of Jharkhand. Ref: i) JAP-IT’s Tender Ref. No. - JAP-IT/MANPOWER/02/2021 ii) Agreement between JAP-IT & below mentioned agencies dated 19" August, 2021 and dated 25 August, 2021. Sir, Kindly refer to the above mentioned subject and reference, in this regard, it is to inform that Rate Contract for Manpower and supplementary agreement (Tender Ref. No.- JAP- IT/RC/MANPOWER(01/2019) is expiring on 31% August, 2021. In this regard, a fresh tender (Tender Ref. No, - JAP-IT/MANPOWER/02/2021) was published and finalized, ‘There are fourteen (14) bidders qualified for empanelment, out of which following twelve(12) have been empaneled and agreement have been signed with them. Process of empanelment and signing of agreement for remaining two (2) agencies are in process 1. M/s Frontline Ex-Servicemen Bureau 2. Mis Evergreen Services 3. Mis Shiva Protection Force Pvt, Ltd 4, Mis Md Solutions Pvt. Ltd. 5. Mis Balajee Detective Force 6. M/s Commando Industril Security Force 7. Mis Birsa Security & Service Settlement 8. M/s Bloom Systems Private Limited 9. Mis Apptad Technologies Private Limited 10. M/s Raj Pratap Consultancy & Services Pvt, Ltd 11. M/s Frontline (NCR) Business Solutions Pvt. JAP-IT and Bloom Systems Private Limited are referred hereinafter jndividually a ‘Party’ and collectively as “Parties” Whereas JAP-IT, invited online bid through e-Procurement process. for “Empaneiment of Agencies under Manpower Rate Contract for providing varus eatepory of Manpower to various Departments/ Organizations / Agencies VOlfices of the State Government of Jharkhand” (uereinafter *Project") 28, Per the Request for Proposal (RFP) Ref No, JAP-IT/MANPOWER/ 02/2021 and its related pre bid response and corrigendum(s); ‘And Whereas JAP-IT issued Letter of Intent vide JAPAIT letter no 1398 dates: 04/08/2021, requiring Bloom Systems Private Limited to furnish performance’ bank guarantee of RB.20,00,000/- (Fupece Twenty Lekhs) of BEE ae the case muy be valid beyond ole monthe (06) of the contract period fe valid for 30 months and to initiate process for timely execution of the Project: ‘And Whereas Bloom Systems Private Limited having communicated acceptance of the Letter of Intent, the Parties hereto have accordingly Sealed to enter into this Agreement specifying the terms and conditions for execution of the Project. Now it is hereby agreed between the Partice hereto as follows: 1, INTERPRETATION 1,1, In this Agreement: fa) Words denoting the singular shall include the plural and vice versa, b) Words denoting any gender Include all genders. Page 2 of 38Unless the context otherwise requires references to Clause are to clauses of this Agreement. 4) The headings are inserted for convenience only and shall be ignored in constructing the Agreement. ¢) Words elsewhere defined / explained shall have the meaning so ascribed. ‘) Reference to any statue or statutory provision includes a reference to that Statute or statutory provision as from time to time-amended extended or fe-enacted oF consolidated and all statutory instruments or orders macle there under (including delegated legislation whether by way of rules, notifications, bye-laws, guidelines}. ‘The preamble and annexes shall be an integral part of thie agreement 2, RESPONSIBILITY By the clauses of this agreement, Service Provider is directly responsible towards State Government —_Departments/ Offices / Autonomous Organizations of Jharkhand State for the Services as described under the Scope of Work at RFP and its related Corrigendum to this Agreement 9, ENTIRE AGREEMENT ‘The following documents including the RFP as well as the tender documents shall form part of the agreement and constitute the contract between the JAP-IT and Service Provider and each shall be read and construed as an inte; ‘of the contract. ‘AnnexureT ‘General Conditions of Contact ‘Annexureti ‘Scope of Wark ‘Annexure Terms and Conditions of Contract ‘Annexure Required Manpower Profile ‘Annexure-V. Identity Card Format ‘Annexure Vi Contract Price ‘Annexure-Vil | Monthly Emolument Structure ‘Annexure-Vill_ [RFP along with its corrigendum(s) 4, ORDER OF PRECEDENCE In the event of any inconsistent or incompetible provisions, it shall be resolved by giving precedence in the following order: 1. Signed Agreement between JAP-IT and the Service Provider 2, RFP released vide bid document no. JAP-IT/MANPOWER/02/2021, its related pre-bid response, corrigendumts| Page 3 of 385. AMENDEMENT Notwithstanding anything contained above, this Agreement may be Imodified by a written instrament as and when required by the mutual consent of Parties. Now, this Agreement witnesses and it is hereby agreed as follows: 5.1. In consideration for the payment of the said rates as mentioned in price schedule, the Service Provider shall thercupon subject to the said terms ‘and conditions execute and complete the work as described in the said scope of work only. 9.2, The parties hereto shall respectively abide by and submit themselves to the terms and conditions and stipulations contained in thie Agreement ‘and perform and discharge their part of the contract accordingly. 53. Notwithstanding anything contained above, the said agreement may be ‘modified as and when required by the mutual consent of parties In witness whereof, the Parties have here unto set their respective hand and seals at Ranchi on the date, month and year first above written. ‘Signed on behalf of Bloom Systems Pvt Ltd Signed on behalf of JAP-IT AB foe semitone tomes extn VP, Pemic Primate amelie / rh ea pee winets2 > poles kumel 4 Page 4 of 38ANNEXURE-1 GENERAL TERMS AND CONDITIONS OF CONTRACT 1. ‘The sclected agency has to agree for honoring all tender conditions and adherence to all aspects of fair trade practices in executing the purchase orders placed by JAP.IT. 2, During the contract period if the agency's name got changed due to ‘equisition, amalgamation etc., and agency must inform JAP-IT with all Fequired documents within one month of its name change. Failing which the contract will he cancelled and PBG may be forfeited. 3, The selected agency should not assign or sublet the contract or any part of It to eny other agency in any form, Failure to do so shall result in termination of contract and forfeiture of PBG/EMD 4, JAP-IT may, at any time, terminate the contract by giving written notice to the selected vendor without any compensation, if the selected agency becomes bankrupt or otherwise insolvent, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will acerue thereaiter to JAP-IT +5, The selected agency will not demand any type of deposit (in any form) from the selected candidate, If found at any point of time appropriate action will be taken against selected agency. 6. Any default or breach in discharging obligations under this tender by the selected agency while rendering services / supplies to JAP-IT, shall invite fllor any actions / sanctions, as the case may be, including forfeiture of PEG stipulated in this tender document. The decision of JAP-IT arrived at tts above ‘will be finel and no representation af any kind will be entertained fon the above. Any attempt by bidder to bring pressure of any kind, may disqualify the bidder from the present tender and the bidder may also be liable to be debarred from bidding for JAP-IT tenders in future for « period of at least three years. 7. Im ease the selected agency is found in-breach of any condition(s) of tender or work order, at any stage during the currency of contract, the legal action ‘as per rules/laws will be taken 8 Printed/written conditions mentioned in the tender bids submitted by biddere will not be binding on JAP-IT Page 5 of 38ANNEXURE-TI SCOPE OF WORK 1, ae SS eT JAPIT propores to Fepated agencies to provide Manpower for various Yorks ‘in’ various Departments/Organizations/Offices of various ‘category as per Annexure-7 of the RFP. 1. Eéucational Qualifications and Experience of the Manpower to be provided by the Agency as per Annexure 07 of the REP, 2, The selected bidders will be selected for a period of 2 {two) years, Thich can be extended for maximum of two years subject to final decision of JAP-IT. 3, The Man Power being provided by the service provider under various Best wil be deployed as per the details provided in work-order in Fespective Departments /Organizations/ Offices 4, The performance and discipline of the manpower provided by the ‘empanelled agencies should be ensured. 5, The Project plan including seope of worle job requirements, Hmettes dud manpower requirements shal be finalized by the concerned Departments /Organizations/Offices. ‘These manpower shall be engaged es per the requirements of the project. 6 Any Department Organization /Office under God can issue work-onder for Manpower directly to the agency empanclied under the Rate Agencies hired Manpower, payment etc. to the selected empanelled agency. 7, ‘The hsing of Manpower shall be on man month basis to carry out the TT related work such as s/w development, networking ete. work or bther responsibilities as per the requirement under various projects of Giferent Government Deparunents/ Orgoriizations/ Offices 8 The manpower will be hired as per the eligibility criteria given in Annexare-07, 5, It is mandatory for Empanclled agencies to pay the deployed Inanpower en per the Manpower Monthly Emclument (Which is Commonly known as CTC) given in the Annexure O7 of the RFP. Responsibility of the empanelled agencies 1, Provide qualified, skilled and good conduct personnel. 3. Deploy manpower within four weeks of issuance of the work order or as specified in the work order. 3, Provide the smart Identity Card as per Annexure-12 to all engaged manpower 4. Timely Payment to engaged manpower, Only Online Payment (No Cash payment) must be dane. page 6 of 38Timely submission of invoice along with all mandatory supporting dccuments such as Proof of payrient of last month salary, Bank: Statement, proof of payment of EPF, ESI and any other Govt. lieblities [As applicable).Por the first month's proof of EPF and ES! payments, a declaration can be submitted by the agency with fact and Felevant documents. And from the next month proof of payments of EPP and ES! and others must be submitted along with the invoice and Bank Statement etc. 6. Maintaining department wise proper databas: of all employce along, with the updation of all details such as salary structure (including EPF/ESI ete), absentee report, payment status, identity care etc 7, Mandatory regular and timely data entry/updation on software/ portal develeped/ enhanced by JAP-IT. 8 Establishment of a helpdesk upport/call center in Ranchi for grievance recressal with toll free/dedicatcd number. Minimum 2 Manpower will be provisioned in Help desk support/call center during official timing, The cost of the call center will be borne by the tempanelled agencies. Call logs for the same must be provided to JAP- TT by the selected agency as and when required failing which contract may be terminated. Detaile of toll ree/dedicated number for support ‘must be provided to JAP-IT and every manpower. 9, For manpower selection, the empanelled agencies should provide Getails of candidate m the ratio of 1:3 to the respective Department/Organizetion/ Oifice 10. Under selection process, candidate details should be provided with fall details of DOB, Marital Status. Educetion and Professional Qualification, Experience, Address etc, along with resume and supporting documents including identity and residential proof viz, ‘Adhar Card, PAN Card, Driving License ete 11, Department/Orgenisation/Ofice will finalica the selection process {weltien/interview) and fix the date for the seme. During the selection process, authorized representative of concemed empanelled agencies Should be present. 12, EPF and ESI should be deducted as per the applicable rules under Employees Provident Funds and Miscellaneous Provisions Act 1952 6 Employees State Insurance Act 1948. 13, Liability of the empanelled agencies: 4 Should verify background, Educational Qualifications, xperience, other required skill of ‘candidate before submission of their resume to any Department/ Organization /Ofice. b. Must ensure the verification of background, Educational Qualifications, Experience, other required skill of existing candidate(s) handed over to the empanelled agencies from previous agency be completed within one (1) month of take over Page 7 of 38mM. c. Should ensure to provide all necessary documents (joining letter, EPP/ES! details/cards, Identity card etc.) and timely monthly emolument payment (including EPF/ESI) to engaged manpower: 4. In case, the person employed by the empanelled agencies commits any act. of omission/commission that amounts to mnisconduct/indiscipline/ incompetence, the empanelied agency Mill be liable to take appropriate disciplinary action against such persons, including their removal from the site of work / project End any other necessary action as required by concerned Government Department/ Organization/ Offices and provisions of the legal framework of the country. fe. The empanelled agenciesare liable for damages on account of any violation by the employees. f Empanclled agencies to indemnify for non-compliance with the spetifications given to create\update the software, for any intellectual property infringement of any third party, for any ‘employee-related claims, for any personal injury or property Gamages, etc. It will be deducted from the PBG at current market Yelue of the loss after calculating depreciation. g. The professionals will be facilitated by Desktop/laptop etc. for doing the project, «= work = by concerned Department/Organization/Office. For this, Assets (like (aptop/Mobile etc. will be handed over to the sclecied Empanelled agencies.{t will the responsibiity of selecied Empanelled agencies to allot the concerned Assets to respective manpower and getting i remrrned in working condition. Responsibilities of the Department) Organization/Offices Departments/Organizations/Offices are not bounded by this Rate Contract; ity vant hire manpower from any euitahle agency on their ‘own contract. . If hiring on this rate contract, Departments/Organizations/ Offices will be sole responsible for hiring new manpower or existing manpower from any of the empanelled agencies on their own choice and selection. In case of hiring new manpower on this rate contract, Departments/Orgenizations/Offices will be responsible to request for suitable candidates from any/ell empanelled agencies |. Departments/Organizations/Offices will be responsible for uploading ‘of manpower requirement letter, work order, abscntee ete. on the online portal developed for managing and monitoring of the project. . Issuance of work-order through the online portal to the empanclled ‘agency to take over existing manpower from previous outsourcing agency or for new manpower. . Departmnents/Orgenizations/Officesshould contact directly with the empanelied agency for required manpower. Page 8 of 3810, uw 12, 13, 14 15. 16. 17, 18, Finalize the selection process for required manpower (in case of new Tequirement) along with Scrutiny of reume/documents and selection of candidate via written test/interview. Ensure that engaged manpower has received the joining letter, Identity card, EPE/ESI details etc, by the selected empanciled agency. Enaure to iseue timely absentee report to the selected empanclled agency. Ensure that engaged manpower has received the monthly emolument (including EPF/ESI) and other government liability has been paid before releasing payment to selected Empanelled agencies. Pay to the selected Empanelled agency against the invoice after verification of compliance done and required proof documents provided by the selected Empanelled agency, JAP-IT dossn' charge any cost. ‘To ensure timely payment to the deployed manpower, Department/ Organization /Ofiices ‘will ensure timely monthly seimbursement to the selected Empanelled agency to avoid the delay in payment. itis the responsibility of Department/ Organization/Oftice and selected Empanciied agencies to ensure timely payment to engaged manpower. Department/Orgenization/Ofice has to select the appropriate manpower and will place the order to the selected Empanelied agency through the online portal, Department /Organization/ Office should nominate nodal officer for entire process, Department /Organization/Office will ix up a date for internew, During interview authorized representative of selected Empanclicd ‘agency will be present. Department/Ongarivation Office has to resolve or take appropriate faction in case of non-compliance by the selected agency. JAP-IT has no role against any dispute arise between Department/ Orgenization/ Office and selected agency’ Department /Organization/Office should process any _ invoice submitted by the Selected agency after verification of document details as listed in Annexure-11 Responsibilities of JAP-IT JAP-IT Is a facilitator and does not own any kind of responsibility fexcept penalizing the empanelled agencies for violation of the terme & conditions of the agreement signed between JAP-IT and empanelled agencies. on recommendation of Department/ Organization /Office. Page 9 of 38ANNEXURE-IIT ‘TERMS AND CONDITIONS OF CONTRACT aa ‘Terme of Engagement ‘The Empancled agencies are required to agree with the terms and conditions given below: Manpower to be deployed will work for on-going/new projects. Such work: will be for a definite period and will not amount to any kind of employment obligation on. the part of Government Departments/ Organizations/Offices. . The manpower to be deplayed should have educational qualificetion and ‘experiences as per Annexure 07 of RFP. . Government Department/Orgenization/Office may ask the empanelied agencies to submit the Emolument/EPF/BS! certificate/details. of the Manpower hired using this tender at any tme to compare it with the actual emolument being paid to the Manpower. The emolument should be paid as per the timeline to the hired manpower by the empanelled agencies after receiving ahoentee/attendance report. Government Department/Organization/Office will not reimburse any amount towards Provident fund, Employees Insurance or Bonus etc These issues must be settled between the empanclled agencies and the Manpower supplied by them from time to time as per the government rules and rezulations. The Empanelled agencies would deploy one menagenal stati tor coordinating administrative procedures for every 100 manpower deployed ‘by the empanelled agencies through various work orders issued under this contract ‘The cost against these managerial staff will be borne by the empanelled agencies iteell . In the event of the bidding company’s or the concemed division of the company being taken over / brought over by another company, all the obligations under the agreement with this contract, should be passed on for compliance by the new company / new division in the negotistion for their transfer. ‘The engaged manpower will be eligible for 5% annual increment on their satiefactory performance to be judged by the competent authority of the Concerned Department) Organization /Office. However, no change in the agency charge will be applicable ageinst this increment. Decision of concerned Department/ Organization) Offices will be final in this regard |. The Empanelled agencies have to takeover existing manpower from previous outsourcing agency throughout the Jharkahnd State, Approx. number of existing manpower throughout the state is 1500, Page 10 of 3832 aa 34 35 ‘Test of skills of manpower prior to engagement: In order to ensure that the Manpower provided by the empanelled agencies possess the required technical qualifications and skill, it shall te open to take interview and/or written test by Department/Organization/Office. After recommendation of concemed Department /Organization/Office, the candidates forwarded by the sewice provider may be deployed to that Department/Organization/ Office, it will be the responsibility of concerned Department/ Organization/ Office to conduct interview and/or written test at their own level. Panel of candidates ~ Department/Organization/Office may ask for list of candidates in 1:3 jatlo or more (ve. against one post list of three candidates will be provided) from Empanelled agencies, Based on interview and/or written fest, Department/Organization/Officemay prepare a panel list of candidates valid for at least 0G months from such interview, Based on the panel list of candidates and requirement Department/Ongenication Office may issue the work-order to the selected agency, Working Hours/Leave of Engaged Manpower Manpower will be entitled for Casual Leave only as per Govt. Rules. Deployed manpower will be allowed to take leave with dute approval from concemed Department /Organization / Office, However, they may have to work on weekly off day/holidays as per the requirement for which Compensatory Leave can be sanctioned, Tm case manpower avails leave more than the sanctioned leave, then payment will be deducted accordingly Replacement/Cancellation of Engaged Manpower The Bmpanslied agoncive shall repince immediately any of its personne! Who are foand unacceptable because of security risks, incompetence, Conflict of interest, improper conduct ete. upon receiving a notice from concerned Department) Organization /Office. In case Manpower is found unsuitable during its engagement period, engagement of the manpower could be canceled with 18 days notice penod for knowledge transfer or replacement of the manpower should be made available within a week In case manpower intends to avail long leave, then suitable replacement should be dane immediately. Replacement should be done at the cost of agency: In case manpower intends to resign, then he/she has to serve for two months’ notice period with prior approval of the euthority of the concerned Department/ Organization Office, In this case, the empancllcd agencies will make sure that Page 11 0f 3830 37 3. j. ‘The resigned manpower(a) should make appropriate knowledze transfer to the officer/staff nominated by the concerned Department/ Organization Office ii, ‘The replacement of the manpower(s) should also be done within this two month notice period. Performance Bank Guarantee (PBG) and Security Deposit |. ‘The selected agencies other than the Micro or Small Enterprises (MSEs) shall be required to submit PBG of Rupees 20 lakhs (Rupees Twenty Lakhs Only) to JAP-IT within 15 days of receipt of Lol in this regard. PBO will be in the form of Bank Guarantee (BG| of any Nationalized / Scheduled bank drawn in the name of CEO, JAP- iT Ranchi, valid beyond six months (06) of the contract period i.e. valid for 90 months, In case of default by the empanelled agencies on hon-acceptance/compliance of the work ordere as per terms & conditions of contract, this PEG will be forfeited and contract will be cancelled. The selected agencies which are either a Micro or Small Enterprise have to submit PBG of Rupees 2 lakhs (Rupees Two Latche Only) to JAP-IT within 15 days of receipt of Lol in this regard. PBG will be in the form of Bank Guarantee (BG) of any Nationalized / Scheduled bank drawn in the name of CEO, JAP-IT, Ranchi, valid beyond six months (06) of the contract period ie. valid for 30 months. in case of default by the empanelled agencies on non- ‘acceptance /compliance of the work orders as per terms & conditions fof contract, this PBG will be forfeited and contract will be cancelled, ‘The PRG will be released after the completion or execution of all pending Work Orders. In case of extension of contract, the validity of PEG should be extended accordingly or a freah PBG should be submitted. Penalty impoced under this enntract he recovered from the submitted PBG. Security Deposit against work-order ~ ‘The selected Empaneiled agencies has to submit the security deposit Gs. 5,000/- per deployed manpower against worl-order to concerned Department Organization /Office within 15 (fifteen) days of cccoptence of Work Order. Security Deposit will be of any Nationalized / Scheduled banle drawn in the name of work-order issuing authority for the period beyond six month of Work-order fod. ‘The Security Deposit could be Kept in an account. In case of renewal/extension of manpower security deposit should be Page 12 0f 3838 39 4. This PBG shall be retumed to the selected empanclled agencies without any interest after compliance of all obligations and deduction penalty (if applicable) with regard to issued work-order. Page 14.01 38aaa PENALTY CALCULATION PROCESS: a) Penalty against work-order ‘Any delay in deployment/replacement of Manpower or any delay in the payment/dolivercbles beyond the stipulated time will invite penalty at the rate of 1% of the man month cost of delayed period. The maximum Celay is limited to 10 days. If the delay period is more than 10 days for continuous three months, Department/ Organization /Officewill have the option to cancel the order without any compensation to the selectedEmpanelled agencies which delayed the completion of the work and get the work done from other Empanelled agencies cr any other source at the risk and cost of such defaulting agency. ‘The defaulting Agency shall also ensure Knowledge transfer to new agency. Knowledge transfer period will be decided by concemed Departments/ Organizations /Offices, maximum up-to 45 days, | Penalty against Rate Contract In case of non-establishment of local office Ia Ranchi within a ‘month of issuance of Lol penalty @1% of PBG would be levied for maximum of three months, Afterwards, the entire PBG could be forfeited with cancellation of empanelment. On receipt of any work-order from any Department/ Organization / Offices, the empanelled agencies must ensure establishment of call- center in Ranchi within a month, In case of non-setablichment of call center (as montionsd int responsibility of the empanelled agencies) within a month penalty @1% of PBG would be levied for maximum of three months, Afterwards, the entire PBG could be forfeited with cancellation of empanelment. In case of receipt of minimum of 05 verified complaints from Head of Department/ Organization /Office in a month, penalty @2% of PBG amount could be levied. In case of receipt of more than 05 complaints for contintious three months the empanelment of the respected agency could be cancelled with forfeiture of entire PBO. In case of penalized for more than 10% of PBG amount, the empanelment of the respected agency could be cancelled with forfeiture of entire PBG. Page 15 of 383.12 PAYMENT PROCESS 1, Invoice in the name of concemed Department/ along with following documents ~ i, Absentee report dully singed by reporting Officer i. Work order copy i, Proof of payment of Last month monthly emolument payment proof (bank statement etc) with proof of EPF and ESI (if applicable) Payment will have to be submitted for each of the hired Manpower fas mentioned in the work order issued to the selected Empanelled agencies. 2 Invoice will contain the items ordered under one Work order only. Invoice shall not be combined for more than one work order. 3, Payments shall be subject to deductions of any amount for which the selected Empanelled agenciesis liable under the Selection or tender conditions, Purther, all payments shall be made subject to deduction of TDS (Tax deduction at Source) as per the current Income-Tax Act and GST Act TDS will be deducted U/s 194C of Income Tax Act & GST TDS U/s 51 of CGST Act. 5, Invoice must be submitted as per the timeline. 6. Payment to candidate has to be made by first week of next month. 7. All payments will be made through cheque/online. For online payment bankk details is to be provided by the selected Empanelled agencies 8, In case the submission of invoice to concerned department, along with the necessary documents is delayed by the selected Empanelled agencies ‘beyond 30 days from the date of issue of absentee report etc., une entire liability towards payment of interest /penalty to the tax authorities would ye on the cost of respective selected empanelled agencies so that Department/ Organization /Officeis not burdened unnecessarily with this amount. The entire emount will be deducted irom the payment cue to respective selectedempanelled agency. 919. Limitation of Lisbility Empenelled agencies or on pert of any person or company acting on behalf of the empanelled agencies in cartying out the services, the empanelled agencies, with respect to damage caused by the empanelied agencies or manpower to Department/ Organization/Otfice, shall be liable to concerned Departments /Organizations/Offices. i, Notwithstanding any other provision of the Contract, in no event shall either Party shall be liable to the other part for indirect, incidental, special, punitive or consequential damages of any nature (collectively consequential damages), including, but not limited to, loss of use, loss of revenue, or loss of income, whether arising in contract, tort (including negligence) or other legal theory, even if the possibility of such camages is known at the time of the execution of the Contract, Page 16 of 38aus No A For any direct loss or damage only to the extent of A. the total payments payable under this contract to the empanelied agencies, o: BB, the proceeds the empanelled agencies may be entitled to receive from any insurance maintained by the empanelled agencies to cover such a liability, Whichever of (A) or (B) is higher. This limitation of lability shall not affect the empanelied agencies ability, if any, for damage to Third Parties caused by the empanclled agencies or any person or firm / company acting on behalf of the cmpanelled agencies in carrying out the work. Any law applicable in India and Jharkhand in respect of tiebility will be applicable. Indemnity The Empanelled agencies @ their staff[s) shall indemnify the Department) Organization/Office against all third party claims of infringement of patent, trademark/copyright or industrial design nights arising from the use of the supplied software/ hardware/manpower ete. and related services or any part thereof. i) Department/Organization/Office stands indemnified from any claims that the hired Manpower / selected bidder's Manpower may. opt to have towards the discharge of their duties in the fulfillment of ‘the work orders, i) Department/Organisation/Office also stand indemnified fram any compensation arising out of accidental loss of life or injury sustained by the hired Manpower / selected bidder's Manpower while discharging their duty towards fuliliment of the work orders, Labour Laws i] The Empanelled agencies shall, and hereby agrees to, comply with all the provisions of Indian Labour Laws in respect of the Manpower employed thereof. ii] The Empanelled agencies shall be solely responsible for the payment ‘of wages to the deployed Manpower and ensure its timely payment thereof. il) The Empanelled agencies shall duly maintain a register giving particulars of the deployed Manpower, nature of work, rate of wages, ete. iv) The Empanelled agencies shall also ensure compliance to the following labour legislations: a. Workmen's Compensation Act, if the ESI Act does not apply * “Applicable as in Jharichand State ¥) The Empanelled agencies and their staffs shall be solely responsible to adhere to all the rules and regulations relating to labour practices and service conditions of its workmen and at no time shall it be the responsibility of Depariments/ Organizations /Offices. vi) The Empanelled agencies and their staff shall _ indemnity Departments/Organizations/Offices against any liability incurred by Department/Organization/Office on account of any default by the empenelled agencies or Manpower deployed by it. vii) Neither the empanelled agencies nor his workmen can be treated as employees of Department/Organization/Office for any purposes. ‘They are not entitled for any claim, right, preference, etc. over any job/regular employment of Department/’ Organization /Office. The ‘Empanelled agencies or its workmen shall not at any point of time have any claim © whatsoever against Department/ Organization / Office. ‘Termination for Insolvency Department/ Organization /Office may at any time cancel the work order and JAP-IT may terminate the contract by giving four weeks written motice to the empanelied agencies, without any compensation to the empanelled agencies, if the empanelled agency becomes bankrupt oF otherwise insolvent. Force Majeure Wat any time, during the continuance of the selection, the performance in whole or in part by either party of any obligation under the selection is prevented or delayed by reasons of any war, hostility, acts of public enemy, civil commotion, sabotage, fires, floods, explosions, epidemics quarantine restrictions, ‘strikes, lockouts or acts of Gad (hereinafter referred to as “events'}, provided notice of happenings of any such event is duly endorsed by the appropriate authorities /chamber of commerce in the country of the party giving notice, is given by party secking concession to the other as soon as practicable, but within 21 days from the date of occurrence and termination thereof and satisfies the party adequately of the measures taken by it, neither party shall, by reason of ‘such event, be entitled to terminate the selection/contract, nor shall either party have any claim for damages against the other in respect of ‘such nonperformance or delay in performance, and deliveries under the selection/eontract shall be resumed as soon as practicable after such event has come to an end or ceased to exist and the decision of the Purchaser as to whether the deliveries have so resumed or not, shall be Page 18 of 38a8 319 final and conclusive, provided further, that if the performance in whole or in part or any obligation under the selection is prevented or delayed by reason of any such event for a period exceeding 60 days, the purchaser may at his option, terminate the selection. ‘Termination for Default Default is said to have occurred a) If the empanelled agency fails to accept/exeeute the Work Orders ) If the empanelled agency fails to deliver any or all of the services within the time period(s) specified in the work order or during any extension thereof granted by Department/ Organization /Office. ©) If the empanelled agency fails to perform eny other obligation(s) under the contract. Penalty or termination on default - 1, In case agency is penalized more than 10 times on (a) & (@), its empanelment with JAP-IT could be cancelled and the PBG submitted by the empanelled agency may be forfeited. 2. If the empanelled agency defaults on (b) of above circumstances, penalty as mentioned in the RFP will be levied. 3. If performance of empanelled agency is not 2s per the satisfaction, this contract ean be terminated by JAP-IT and the P8G submitted by ‘the empanelled agency may be forfeited. Resolution of Disputes JAP-IT and the empanclied agencies shall make every effort to resolve Taulcably Ly dicct infor aegytiatious oury disagreement of digputes rising between them under or in connection with the Contract. If, after thirty days from the commencement of such direct informal negotiations, the JAP-IT and the empanelled agencies have been unable to resolve amicably a Contract dispute, ether party may require wnat the dispute be referred for resolution by arbitration. A person of any nationality may be an Arbitrator, unless otherwise agreed by the Parties. Subject to Subsection 6 of Section 11 af the Arbitration & Conciliation Act of 1096, the Parties are free to agree on a procedure for appointment of arbitrator or arbitrators. Failing an agreement for appointment of arbitrator by the Parties, the dispute shell be referred to a tribunal of three arbitrators, each Party appointing one arbitrator and the appointed two arbitrators shall appoint the third arbitrator who shall act as the presiding arbitrator. ‘The Arbitration and Conciliation Act 1996, the rules there under and any statutory modification or reenaetments thereof, shall apply to the arbitration proceedings, ‘The venue of arbitration shall be Ranchi, Jharkhand. The empanelled agencies shell permit JAP- iT or its nominated agencies. andthe concerned Department/Organizetion/Office and/ or any replacement operator to hhave reasonable access to its employees and facilities as reasonably required by JAP-IT or the concerned Department/Organization/Office to understand the methods of delivery of the services employed by the empanelied agencies and to assist appropricte lmewledge transfer |. As it is a running project, therefore, the existing manpower working in different Department/Organizations/Ofices will continue to work anc will automatically be taken over by the empanelled agencies through this tonder, ‘Tne empanclied agencies will be exclusively liable for payment of Emolument, EPF and ESI abilities of all the manpower from the date f takeover of candidate from the previous agency. 5. Ongoing contract of the manpower with respective agency will be in force till the expiry of the tenure.
