existing under the laws of P.R. China, and has its registered office in Shanshui Town
Industrial Park ,NO.99, Jinxi Road , Binhu District, Wuxi City, Jiangsu Province, China
(hereinafter called “Seller”) and
江苏时顺工程技术有限公司是按照中国法律注册并开展业务, 位于中国江苏省无锡市滨湖
区锦溪路 99 号山水城商务产业园.以下简称卖方.
(hereinafter called “Purchaser”).
以下简称买方.

The Seller agrees to sell and the Purchaser agrees to buy Vessel.
卖方同意销售且买方同意购买容器设备。
1. SELLER’S SCOPE OF WORK 卖方工作范围
Seller shall undertake the following supply of vessel specified in Annex 1
卖方应向买方提供如附件 1 所述的容器设备
2. TERMS AND CONDITION 条款
2.1 Price 合同总价
2.1.1 The total price of the Seller’s supply as per ARTICLE 1 of this Contract amounts to US $ .
卖方按照本合同第 1 条款供货的总价共计 美元。
2.1.2 The said price is fixed.
上述价格为固定价格。

2.1.3 The said price is for delivery FOB shanghai,CHINA.
以上容器设备的价格，为 FOB 条款下上海港交货价格。
2.2 Terms of payment 付款方式
2.2.1 40% viz US $ by T/T within 7(seven) working days after the Contract has been signed by
both parties.
合同总价的 40%，即 美元，在双方签定合同后的 7 个工作日内，以电汇形式付给卖方。
2.2.2 55% viz US $ upon shipment of vessel against irrevocable documentary L/C at sight.
合同总价的 55%，即 美元，在卖方发货后，以不可撤销的即期跟单信用证付给卖方。
2.2.3 5% viz US $ by T/T within 7(seven) working days after the finishing of the Contract plant
installation.
合同总价的 5%，即 美元，在合同装置完成安装后的 7 个工作日内，以电汇形式付给卖方。
2.2.4 Within 7(seven) working days after the receipt of the balance stipulated in ARTICLE 2.2.3,
the Seller shall issue the Bank Guarantee with the validity of 12 months covering 5% of the total
Contract amount, viz. US $ in favor of the Purchaser, which is used to guarantee the Vessel’s
mechanical quality .
卖方在收到 2.2.3 所述付款后的 7 个工作日内，应开具合同总价的 5 %， 即 美元以买方
为受益人的银行保函，有效期 12 个月，用来保证容器设备的机械性能。
2.2.5 Any taxes, duties, fees or any other reasonable charges incurred in countries other than
China under this contract shall be entirely charged to the Purchaser's account.
在中国以外国家发生的任何费用，符合合同规定的一切关税等费用由买方承担。
Delivery Schedule 交货时间
2.3.1 If no third party is appointed by the Purchaser for the inspection of Vessel design,
manufacture, testing and packing, the time of Vessel design, fabrication, testing, packing &
delivery to Shanghai Seaport shall be 45days upon the advance payment as stipulated in
ARTICLE 2.2.1.
若卖方未指定第三方监检容器设备的设计，制造，测试与包装过程，容器设备设计，制造，
测试，包装及运至上海港的时间为收到条款 2.2.1 所述预付款后的 45 天内。

2.3.2 If a third party is appointed by the Purchaser for the inspection of Vessel design,
manufacture, testing and packing, the time of Vessel design, fabrication, testing, packing &
delivery to Shanghai Seaport shall be 75 days upon the advance payment as stipulated in
ARTICLE 2.2.1.
若卖方指定了第三方监检容器设备的设计，制造，测试与包装过程，容器设备设计，制造，
测试，包装及运至上海港的时间则为收到条款 2.2.1 所述预付款后的 75 天内。
2.3 Packing & Transportation Term 包装及运输条款
The goods shall be properly packed to withstand long-distance inland and sea transportation,
numerous handling. The packing shall be well protected against shock, moisture, rain and rust.
设备的包装须满足长途内陆运输、海上运输、多次搬运的要求；包装必须抗震、防潮、防
雨、防锈。
If the goods damaged during inland or sea transportation due to improper packing, the seller
should bear all the losses.
如果由于卖方包装不善所造成的设备在内陆或者海上运输途中损坏，则所有货物损失由卖
方承担。
2.4 Inspection 监检
2.5.1 If necessary, the Vessel could be inspected by a third party appointed by the Purchaser at
the Seller’s fabrication shop from design, manufacture, testing and packing to ex-factory.
如有需要，容器设备从设计、制造、测试，包装至出厂可由买方指定的第三方代表在卖方
车间现场监检。
2.5.2 Inspection shall be conducted according to the applicable regulations and procedures
specified in China Standard.
监检将按照中国标准规定的可适用规范与规程。
2.5 Standards 标准
The pressure vessels and accessories shall be designed and manufactured according to China
standard < GB150-2011/GB151-2014>.
压力容器及其附件的设计和制造按照中国标准< GB/150-2011/GB151-2014>。
2.6 Guarantee & Penalty 保证与罚款
2.7.1 Mechanical Guarantee 性能保证

(1) Mechanical guarantee period for the Vessel supplied by the Seller shall be 12 moths from
the date on which for the first time the Vessel has been put into use, or 18 months after the
date on which the Vessel has arrived atelsokhna Seaport, Egypt.
卖方供货容器设备的机械保证期为容器第一次投入使用之日后的 12 个月，或者是容器设
备抵达 atelsokhna 港之日后的 18 个月，以先到为准。
(2) During the mechanical guarantee period, if any defect of the Vessel, the Purchaser shall
notify the Seller immediately by email, and the Seller shall without any delay email the
Purchaser whether he will send personnel to the plant site for investigation or the Purchaser
will entrust a third party to investigate the causes of the defect.
在机械保证期内，当发现设容器设备有缺陷时，买方应立即邮件通知卖方，卖方应立即电
复买方，是否由卖方派人到现场调查或由买方委托第三方调查发生缺陷的原因。
(3) If it can be proved that the Seller is responsible for the defect, the Seller shall bear the cost
for dispatching personnel to the plant site for investigation, and at his own cost repair or
replace the defective parts of the Vessel within the period agreed upon by both parties. If any
such defect still remains after repairment or replacement, both parties will discuss the matter
for settlement. With regard to minor defects of the Vessel for which the Seller is responsible,
the Purchaser may arrange for repair or replacement at the Seller’s expense with the consent of
both parties.
经查证，如果缺陷属于卖方责任，卖方负担派遣人员到现场调查的费用，并在双方同意的
时间内自费对容器设备的缺陷部分进行修理和更换。若修理或更换后缺陷仍未消除，则由
双方协商解决。若属卖方的责任，容器设备有轻微的缺陷，经双方同意后，由买方安排修
理或更换，其费用有卖方负担。
If the Purchaser is responsible for the defects, then the Seller will help to remove in and if it is
necessary to replace the defective Vessel, the Purchaser shall be responsible for the expense.
如果属买方责任，则由卖方提供协助消除缺陷，若需重新供应容器设备，其费用由买方负
担。
(4) On request of the Seller, the Purchaser shall put the replaced parts of the Vessel at the
Seller’s disposal. The Purchaser shall assist the Seller in getting the necessary approval for
exportation from Egypt back to China.
若卖方要求，买方应将更换下的设备或材料交由卖方处理，买方应协助卖方获得必要的从
埃及输出回中国的许可。
2.7.2 Delay in delivery 延迟交货

(1) If owing to the responsibility of the Seller, the Vessel has not been delivered according to
the final delivery schedule mentioned in ARTICLE 2.3 of the Contract, the Seller shall pay to the
Buyer a penalty for such delay in delivery at the following rate:
For each week, 0.5 % of the value of the Vessel delayed.
由于卖方的原因，致使容器设备不能按本合同条款 2.3 的最终交货计划交货时，卖方向买
方按下述支付迟期交货罚款：
每延期一周，罚款为迟交容器设备价款的 0.5 %。
(2) The Seller shall inform the Buyer as soon as possible of the possibility of any delay in
delivery of the Vessel, possible length of time to be delayed and the measures being taken to
expedite the delivery.
卖方交付容器设备，如果有可能延期，应立即将可能拖延的时间与促进交付所采取的各项
措施，尽快通知买方。
(3) The total sum of penalty as provided for in this ARTICLE shall not exceed 5% of the total
Contract price as per ARTICLE 2.1 of the Contract.
按本条款的规定，卖方向买方支付的罚款总额，不应超过条款 2.1 所列合同总价的 5
%。
(4) The Seller shall not be liable for any delay in delivery occurred due to the Purchaser’s
reason.
卖方对由于买方原因造成的延迟交货不承担任何责任。
2.8 Personnel for supervision
指导人员安排
2.8.1 Personnel for supervision during Vessel installation
容器设备安装期间的指导人员安排
If the Purchaser requests due to the Vessel’s defect or other problems caused by the seller, the
Seller shall dispatch skilled and expertized personnel to the Purchaser's plant site to supervise
the installation of Vessel.
如果由于容器设备有缺陷或由卖方原因造成的其它问题，应买方要求，卖方应派遣有丰富
专业技能的工程师前往买方现场, 以提供安装指导。
The Purchaser shall afford board and lodging as well as transportation & communication in local
Egypt for the Seller's engineers or employees.
买方承担卖方工程师或雇员食宿和泰国当地交通费及通讯费。

The Purchaser shall provide Chinese-English interpretation service during the installation
supervision.
在安装指导期间买方应提供现场中英文翻译。
The Seller shall bear the round-way tickets and the salary of the personnel dispatched by itself.
卖方应自行承担其派遣人员的往返机票及工资。
2.8.2 Personnel for supervision after Vessel installation
容器设备安装后的指导人员安排
If the Purchaser requests, the Seller shall dispatch skilled and expertized personnel to the
Purchaser's plant site to supervise the revamping and/or commissioning of its plant.
如买方要求，卖方应派遣有丰富专业技能的工程师前往买方现场, 以为其工厂的改造和/或
调试提供指导。
The Purchaser shall afford the round-way tickets, board and lodging as well as transportation &
communication in local Egypt for the Seller's engineers or employees.
买方承担卖方工程师或雇员的往返机票, 食宿和泰国当地交通费及通讯费。
The Purchaser shall provide Chinese-English interpretation service during the installation
supervision.
在安装指导期间买方应提供现场中英文翻译。
The Purchaser shall pay salary for the personnel dispatched by the Seller at the rate of USD 300
for per day per person.
买方应按照 300 美元每人每天的标准支付卖方派遣人员的工资。
2.9 FORCE MAJEURE/不可抗力
Force majeure shall include, but not be limited to: Forces of nature such as storm, earthquake
and flood, embargoes, confiscation, war, fire, revolution, insurrection, public protest actions,
sabotage, labour disputes or other industrial disturbances, unforeseeable traffic and
transportation problems or any other cause beyond the influence or control of the parties
which occur after the effective date of the Contract.
不可抗力包括(不局限于下列举例)：自然力如风暴、地震和洪水，禁运、征用、战争、火
灾、革命、政变、公众抗议行动、破坏、劳动争议或其它的工业动乱，不可预知的运输和
运输难题或任何其它超常原因或在合同生效之日起存在的政权控制。

The party which invokes force majeure shall immediately give written notice to the other of
such an event and inform it of the estimated duration.
任何一方在遭受到不可抗拒力时应立即书面通知对方相关的事件，并告知对方事件估计的
持续时间。
The party which invokes force majeure shall not be responsible for failures to fulfil its
obligations of the Contract, if fulfilment has been delayed, hindered, interfered with or
otherwise prevented by force majeure. Force majeure shall extend the periods of the Contract
by the duration of such force majeure cause plus a reasonable initial period.
如果因不可抗拒力而造成其中一方不能有效的履行其合同中规定的职责或者因此延误 .阻
碍,干扰 履行职责的一方不必承担未能按照本合同的规定履行其职责的责任。因不可抗拒
力造成延误的,因延长合同的周期. 合同周期的延长应为不可抗拒力持续时间加上最初的周
期。
Should one or both of the parties be prevented from fulfilling their obligations under the
Contract by force majeure lasting continuously for a period of at least four months, the parties
shall consult with each other regarding the future implementation of the Contract.
当一方或双方在履行本合同的相关责任时，因不可抗拒力而造成义务履行中断并持续至少
4 个月时，双方将互相商讨有关将来合同的执行事宜。
2.10 MISCELLANEOUS 其他条款
2.10.1 The terms and conditions of this Contract shall be binding on both the purchaser and
the Seller and will supersede and overrule any other understandings, verbal or written, which
may conflict with any of these terms and conditions. Any changes there to shall be mutually
agreed upon and signed in writing.
买卖双方应持有本合同的所有条款，当双方在履行职责过程中出现冲突时，所有的口头或
者书面行为应参照并服从本合同的规定。如若有任何变动, 双方应在协商一致的前提下进
行书面修改并需双方签字同意。
2.10.2 Neither party shall assign any benefit or obligation hereunder without the prior consent
of the other party.
在没有得到另一方同意前，任何一方都不能随意签署任何转让利益或职责的文件.
2.10.3 If any stipulation or stipulations of the Contract should be or should become void, this
shall not affect the validity of the Contract as a whole. Both parties shall in such case be obliged
to make an arrangement to replace any possible inoperative stipulation by another stipulation

which will be valid and which will suit best the economical purpose or said inoperative
stipulation
如果任何一项约定或合同契约无效时，其将不影响本合同的整体合法性。在这种情况下，
双方应互相责成安排用另外有效的和最适合经济的目的契约代替可能不起作用的契约或者
已无效的契约。
2.10.4 This contract is made in Chinese and English, English version will preside if any language
contradiction.
本合同为中英文对照版，若有冲突，以英文为准。
2.11 ARBITRATION 仲裁
All disputes arising between both parties in connection with the Contract, which cannot be
settled amicably, shall be submitted to The Singapore International Arbitration Centre (“SIAC”)
and arbitrated in accordance with the Commercial Arbitration Rules of the Singapore
International Arbitration Centre (“SIAC”). The arbitration award is final and binding equally
upon the Parties. The arbitration costs except those determined by the award shall be borne by
the losing Party.
所有双方就合同相关引起的争议，如双方不能协商一致解决时，必须交由新加坡国际仲裁
中心，并依据其商业仲裁规则进行仲裁，该仲裁结果是最终的，并对双方有同等效力。仲
裁费用由败诉方承担.
2.12 EFFECTIVE DATE OF THE CONTRACT 合同生效日期
The Contract shall become effective upon satisfying both the following requirements:
合同在同时满足下列条件时即生效：
A. The contract is signed and stamped by both the Purchaser and the Seller.
合同由双方盖章并由其法定代表人或者授权代表签署。
B. The Seller has received the advance payment from the Purchaser.
卖方收到买方的合同预付款。
