    Dear CONTRACTOR,

    Terms of Engagement – Consulting Services

    This letter sets out the terms on which WORKWITHUS engages you to provide the services described
    in the Schedule (Services) during the Term.

    1. WorkWithUs engages you, and you accept the engagement, to supply the Services in accordance
    with the terms and conditions of this agreement from 20th_February
    to _ 20th of December unless

    terminated earlier under clause 11 (Term).

    2. In performing the Services, you must:


    a. not delegate or assign any duties or obligations without the prior written consent of
    WorkWithUs;
    b. consult regularly with WorkWithUs management; and
    c. comply with the terms and conditions of this agreement, all applicable laws and the
    reasonable directions of WorkWithUs from time to time.

    3. In consideration of your delivery of the Services in accordance with this agreement,


    WorkWithUs
    will pay the following:
    a. PhP 2.75/message for 250 & up productivity/work day

    PhP2.50/message for 200 – 249 productivity/work day

    PhP2.25/message for 199 & below productivity/work day

    Cutoff:
    1st – 15th = 27th of the month

    16th – 30th / 31st = 12th of the month

    b. You acknowledge that:
    c. except for reasonable guidelines and parameters set by WorkWithUs, you are
    free to use any means and methods not contrary to law and regulations which you
    believe will best enable you to perform the Services under this agreement and you
    shall be answerable to WorkWithUs only as to results of the contracted Services;
    d. you provide the Services to WorkWithUs as an independent contractor and you

    have no authority to act for or bind WorkWithUs in any manner other than as expressly
    contemplated by this agreement;
    e. you provide your own computer and other equipment, appropriate internet access, and
    other relevant requirements to effectively and efficiently perform your Services;
    f. nothing in this agreement constitutes or implies a relationship of employer and
    employee, principal and agent or partnership between you and WorkWithUs;
    g. you are not entitled to any payment by WorkWithUs of any of the incidental costs
    usually due as a consequence of an employment contract, including (without limitation)
    annual leave and sick leave accruals, social and welfare benefits under Philippine law,
    and any other payment or accrued entitlement usually required under an employment
    relationship;
    h. you are solely responsible for providing your own sickness benefits and providing or paying
    any superannuation /pension entitlement, contribution, payment or charge; and
    i. you are solely responsible for paying all relevant Philippine taxes in relation to this
    agreement and the Services to be performed hereunder, including but not limited to
    your income tax, value-added tax and/or percentage tax.

    4. You warrant that you have the necessary skills to deliver the agreed Services and, to the best
    of your knowledge, you do not, and are unlikely to, have any conflict of interest in the
    performance of this agreement. If a conflict of interest arises (without limitation, because of
    work undertaken by you for any other person), you must immediately give notice of the conflict
    of interest, or the risk of it, to WorkWithUs.

    5. During the Term, you must not, provide, directly or indirectly, similar services which you
    provide to WorkWithUs under this agreement to any other person or entity which is a
    competitor of WorkWithUs, unless authorized by WorkWithUs. “Competitor of WorkWithUs”
    means any casual chatting or dating company. After your term, regardless if you resigned or
    you got terminated, you must not, provide, directly or indirectly, similar services to those which
    you provide to WorkWithUs under this agreement to any other person or entity which is a
    competitor of WorkWithUs, unless authorized by WorkWithUs. “Competitor of WorkWithUs”
    for at least 6 months.

    6. WorkWithUs may by notice require you to suspend the progress of the whole or any part of
    the Services for a specified period within a reasonable time after receipt of the notice, if
    suspension is required by WorkWithUs because of any change in the nature, scope or timing
    of the Services to be provided.

    7. You acknowledge that WorkWithUs will exclusively own all results and proceeds of the
    Services and you assign to WorkWithUs all existing and future intellectual property rights, title
    and interest in any concept, idea or materials (including documents, reports and data) which
    you create in the course of, or in connection with, providing the Services under this
    agreement.

    8. You acknowledge and agree that before, during or after the Term, you may receive from
    WorkWithUs or become aware of Confidential Information. In doing so, you:
    a. must keep the Confidential Information confidential:

    b. may use the Confidential Information only for the purposes of performing your obligations
    under this agreement;
    c. may disclose the Confidential Information to enable you to perform your obligations under
    this agreement, but only to officers and employees of WorkWithUs as authorized by
    WorkWithUs and only to the extent that such officers and employees have a need to
    know;
    d. must not copy the Confidential Information or any part of it other than as strictly necessary for
    the purposes of performing the Services;
    e. immediately notify WorkWithUs if you suspect or become aware of any unauthorized
    access, use, copying, or disclosure in any form; and
    f. comply with all directions given by WorkWithUs regarding a suspected or actual breach of
    this clause.

    For the purposes of this agreement, Confidential Information includes:
    a. all information disclosed (whether orally, electronically, in writing or in any other form)
    by WorkWithUs or by any of its related bodies corporate to you for the purposes of
    this agreement; and
    b. all copies, notes, records, documents and all related information generated by you in
    performing the Services whether or not based on or arising out of any such disclosure, but does
    not include information that is independently developed or known by you or otherwise in the
    public domain (other than due to a breach of your obligations under this agreement).

    9. On termination or expiry of this agreement:


    a. you must not represent yourself as being affiliated with or associated with WorkWithUs
    in any way;
    b. you must promptly return to WorkWithUs all books, records, electronic files, plans,
    papers, models and information of any kind relating to the Services together with all
    equipment in your possession (including paycards) which is the property of
    WorkWithUs;
    c. any right to access, use, copy or disclose the Confidential Information will cease immediately

    and you must promptly return to WorkWithUs or destroy any or all copies of the

    Confidential Information; and

    d. Your obligations under clause 10 will continue in relation to the Confidential


    Information, even if that Confidential Information is returned to WWUS or destroyed, for so
    long as such information remains secret and/or confidential.

    10. All other amendments to this contract shall be reflected in Annex A and shall be duly signed
    by both parties.

    11. This agreement is governed by the laws of the Philippines and may only be amended by another
    document signed by both parties.

    The services you are required to deliver include a minimum of 80 hours per cut off of consulting in
    support of Customer Service, including:

    1. Manage client messages in a quick and timely manner


    2. Process updating of account information
    3. Process updating important profile information
