Banking Resolution

Of
Facts of Life LLC
A Connecticut Limited Liability Company

Whereas, a meeting of the Member(s) of Facts of Life LLC was held in accordance
with the guidelines set forth in the Facts of Life LLC Operating Agreement. The
following resolutions were adopted:

Resolved, that it is in the best interest of Facts of Life LLC to open a business
checking account.

Resolved further, that ___________________________________ (Member) is authorized to


establish a business checking account for Facts of Life LLC to be used for business
purposes.

Resolved further, that the aforementioned Member is authorized to be a signatory


for the business checking account.

Resolved further, that this resolution will become effective immediately.

In Witness Whereof, the undersigned, a Member or LLC Manager, certifies that the
foregoing resolutions were submitted, adopted, and are in full force in accordance
with the Facts of Life LLC Operating Agreement.
