PLEASE TAKE NOTICE that on the date hereof, Perella Weinberg Partners LP
(“PWP”) filed the Statement of Fees and Out-of-Pocket Expenses of Perella Weinberg Partners
LP for the Period of January 1, 2021 through January 31, 2021 (the “Monthly Fee Statement”)2
with the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy
Court”).
PLEASE TAKE FURTHER NOTICE that any responses or objections (the
“Objections”) to the Monthly Fee Statement shall be in writing, shall conform to the Federal Rules
of Bankruptcy Procedure and the Local Bankruptcy Rules for the Southern District of New York
and shall be filed with the Bankruptcy Court (a) by attorneys practicing in the Bankruptcy Court,
including attorneys admitted pro hac vice, electronically in accordance with General Order M-399

PLEASE TAKE FURTHER NOTICE that in accordance with the Order
Pursuant to Sections 105(a) and 331 of the Bankruptcy Code, Bankruptcy Rule 2016 and Local
Rule 2016-1 Establishing Procedures for Monthly Compensation and Reimbursement of Expenses
of Professionals [Docket No. 291], if no objection to the Monthly Fee Statement is filed and served
by the Objection Deadline, PWP may be paid eighty percent (80%) of the fees and one hundred
percent (100%) of the expenses requested in the Monthly Fee Statement.
PLEASE TAKE FURTHER NOTICE that if an Objection to the Monthly Fee
Statement is filed and served by the Objection Deadline, PWP shall not be paid that portion of the
requested fees or expenses to which such Objection is directed but shall be promptly paid the
remainder of the fees and expenses in the percentages set forth above, unless PWP seeks an order
from the Bankruptcy Court, upon notice and a hearing, directing such payment to be made. If
PWP and the objecting party are able to resolve their dispute and PWP files a statement indicating
that the Objection is withdrawn and describing in detail the terms of the resolution, then PWP shall
be promptly paid that portion of the Monthly Fee Statement which is no longer subject to an
Objection. All Objections that are not resolved by the parties or Bankruptcy Court order shall be
preserved and presented to the Bankruptcy Court at the next interim or final fee application
hearing.

EXPENSES OF PERELLA WEINBERG PARTNERS LP
FOR THE PERIOD OF JANUARY 1, 2021 THROUGH JANUARY 31, 2021
Perella Weinberg Partners LP (“PWP”), restructuring investment banker to the
above-captioned debtors and debtors-in-possession (collectively, the “Debtors”), hereby submits
its statement of fees and out-of-pocket expenses (the “Monthly Fee Statement”) for the period of
January 1, 2021 through January 31, 2021 (the “Fourth Compensation Period”), in accordance
with the Compensation Procedures (as hereinafter defined). In support of this Monthly Fee
Statement, PWP states as follows:

I. Background
1. On September 30, 2020, the Debtors filed the Application of Debtors for
Authority to Retain and Employ Perella Weinberg Partners LP as Restructuring Investment
Banker to the Debtors Nunc Pro Tunc to the Petition Date [Docket No. 128] (the “Retention
Application”), pursuant to which the Debtors sought authority to retain and employ PWP as its
restructuring investment banker pursuant to the terms of an engagement agreement (the

“Engagement Agreement”) dated September 18, 2020.2 A copy of the Engagement Agreement
was attached to the Retention Application.
2. On October 26, 2020, this Court entered the Order Pursuant to Sections 105(a)
and 331 of the Bankruptcy Code, Bankruptcy Rule 2016 and Local Rule 2016-1 Establishing
Procedures for Monthly Compensation and Reimbursement of Expenses of Professionals [Docket
No. 291] (the “Compensation Procedures”) establishing procedures for interim compensation and
reimbursement of expenses for professionals.
3. On December 4, 2020, this Court entered the Order Granting Application of
Debtors for Authority to Retain and Employ Perella Weinberg Partners LP as Restructuring
Investment Banker to the Debtors Nunc Pro Tunc to the Petition Date [Docket No. 512] (the
“Retention Order”) approving the Retention Application and authorizing the retention and
employment of PWP nunc pro tunc to the Petition Date, pursuant to the terms of the Engagement
Agreement.
II. PWP’s Request for Compensation and Reimbursement of Out-of-Pocket Expenses
4. For the Fourth Compensation Period, PWP (a) (i) earned monthly fees in the
amount of $225,000.00, and (ii) is entitled to the reimbursement of third-party legal and out-of-
pocket expenses incurred in the amount of $77,989.01, and (b) in accordance with Compensation
Procedures, seeks payment in the amount of $257,989.01 (representing 80% of the amount of
PWP’s monthly fees earned during the Fourth Compensation Period and 100% of unbilled
expenses incurred prior to or during the Fourth Compensation Period). Although every effort has
been made to include all expenses incurred prior to or during the Fourth Compensation Period,
some expenses might not be included in this Monthly Fee Statement due to delays caused in
connection with the accounting and processing of such expenses. Accordingly, PWP reserves the
right to make further application to this Court for allowance of unbilled expenses incurred prior to

or during the Fourth Compensation Period but not included herein. An invoice detailing the
monthly fees earned by PWP during the Fourth Compensation Period is attached hereto as
Appendix A.
5. A summary of all fees earned during the Fourth Compensation Period, as well
as expenses incurred prior to or during such period, is outlined below:

6. The amount of fees and third-party legal and out-of-pocket expenses sought in
this Monthly Fee Statement and PWP’s compensation practices are consistent with market
practices both in and out of a bankruptcy context. PWP has never billed its clients based on the
number of hours expended by its professionals. Accordingly, PWP does not have hourly rates for
its professionals and PWP’s professionals generally do not maintain detailed time records of the
work performed for its clients. PWP has, however, maintained contemporaneous time records in
one-half hour increments. Time records with respect to the 1,297.5 hours expended by PWP
professionals in providing restructuring investment banking services to the Debtors during the
Fourth Compensation Period are provided in Appendix B.
7. A summary of the total amount of hours expended by PWP professionals during
the Fourth Compensation Period is provided below:

8. Pursuant to the Retention Order and the Compensation Procedures, with respect
to (a) PWP’s monthly fees in the amount of $225,000.00 earned during the Fourth Compensation
Period, and (b) the reimbursement of PWP’s third-party legal and out-of-pocket expenses in the
amount of $77,989.01 incurred prior to or during the Fourth Compensation Period, PWP hereby
requests that the Debtors make the following payments to PWP:
