6. Costs Hector Cobos The contractor will pay the contractor a total value of $ 243,750
million pesos, for the construction of the indicated software,
according to given needs.
7. Lump Hector Cobos The contractor will cancel the implementation of the product to
sum/royalties the contractor, a value of 50 million pesos to adjust the software
to the needs of the contractor's current network.
8. Payment Schedule Hector Cobos The contractor will pay an advance of 50% of the total value of
the contract, according to the initiation act signed by the parties.
Once the contractor delivers 50% of the developed software, the
contractor will cancel an additional 25% of the total contract.
When the contractor delivers 100% of the software, the
contractor will cancel the final balance of the contract, that is,
the remaining 25%.
9. License option Hector Cobos The contractor will use the license option on the developed
software that is, the reproduction, commercialization and
manipulation of the developed software is totally or partially
prohibited.
10. Option term on Linda Dangond It is concluded that the Compañía de Software Colombia S.A.,
license will handle a royalty rate
for the use of licenses in a range that oscillates between 15% and
20% of the
Projected income.
11. Right of first Linda Dangond All the partners of the company Compañía de Software
refusal Colombia have this right, that is, in the same
conditions, they have preference to buy or go to a capital
increase before a
third.
12. Scope of License Linda Dangond  Functional according to the documentation provided to
the customer, the supplier not being responsible for a
use other than that provided in the documentation.
 Development of the project schedule. Non-compliance
by the customer will not lead to a delay in payment
commitments.
 Guarantees of unit testing and integration by the client.
 Project schedule. Non-compliance by the provider will
lead to a delay in payment commitments.
13. Exclusivity Linda Dangond  That the information be used exclusively for the purpose
determined by the contractual relationship, which will
be the purpose for which it is disclosed and which will
be detailed expressly in the contract itself where the
confidentiality clause is inserted or, in your case, in the
separate confidentiality agreement.
 That the confidentiality obligations are expressly
submitted to a valid term concrete, occasionally being
able to agree an indefinite term depending on the nature
especially sensitive and reserved of the information
subject to disclosure.
