CONTRACT OF LEASE

This CONTRACT, entered into by and between CONRADA M. MURING, of


legal age, Filipino, widow a resident of Miputak, Dipolog City, hereinafter called the
LESSOR, and MITSUKOSHI MOTORS PHILIPPINES INCORPORATED, A
DOMISTIC CORPORATION, duly organized and existing under and virtue of the
laws of Republic of the Philippines, represented by its president, RICHMOND Q.
NGAN, likewise of legal age, Filipino, with postal address at 22 E. Rodriguez Sr.
Ave. Quezon City, hereinafter called the LESSEE,

WITNESSETH: That

Whereas, the LESSOR is the registered and actual owner of a three-door


commercial building situated at Poblacion, Jose Dalman, Zamboanga del Norte
covered under tax declaration No. 206-A and Certificate of Title No. T. 471.90;

Whereas, the LESSEE desires to lease two (2) units of the three-door
commercial building and the LESSOR hereby agrees to let and lease unto the
LESSEE, Door One (1) and Door Two (2) of said building under the following terms
and conditions, to wit:

1. The lease shall be for a period of three(3) year beginning May 25,
2020 and shall expire on May 25, 2023 unless otherwise extended or
renewed upon terms and conditions as may be agreed upon by the
parties;

2. The LESSEE shall pay a 1 month deposit upon occupying the space
and a monthly rental of Seven Thousand pesos (P7000.00), Philippine
currency, payable on or before every 25th of each month;

3. The electric and water bills shall be at the expense of the LESSEE,
the exact amount of which shall be based on the electric and water
reading for each month;

4. All improvements to be made or introduced on the leased premises


shall be at the sole expense of the LESSEE and shall require prior
consent of the LESSOR before introducing the same. All
improvements introduce on the leased premises shall remain therein
upon the termination of the contract and shall become the property of
the LESSOR;

5. In case any repair, makeover or renovation which alters, modifies, or


changes the original condition or design of the lease premises to suit
or fit the business or commercial undertaking of the LESSEE during
the duration of the lease, shall be upon the prior approval of the
LESSOR but the expenses thereof shall be borne by the LESSEE;

6. Any alteration, modification or changes in any part of the leased


premises as provided under the next preceding paragraph shall be
returned to, or reverted to its original condition or design at the
expense of the LESSEE at the expiration or termination of this
contract. The LESSEE however, is given the option to pay the
LESSOR the reasonable cost or amount for the reversion such as
cost of materials and labor;

7. That the LESSEE shall not directly or indirectly sublease, assign, or
transfer his rights under this contract to third party or parties, without
the approval and written consent of the LESSOR;

8. The LESSEE hereby acknowledges that the leased premises are in


good condition and agrees to keep the same in such condition,
complying with all laws, ordinances and regulations of the Municipal
or National Government as regards the use, occupation and sanitation
of the leased premises, and failure to comply shall be at the risk or
expense of the LESSEE;

9. Any expenses for repair arising from damage willfully and knowingly
caused by the LESSEE on the premises shall be shouldered by the
LESSEE;

10. In case the LESSEE shall have arrears in rental payments and unable
to pay said arrears before vacating the premises, the LESSOR shall
have the option to take possession of any tangible and valuable
property to offset the amount of rental arrears without the need of
judicial action;

11. Any violation of the terms, conditions and stipulation set forth herein
shall be a cause for the termination of the contract without any need
of prior demand;

12. Any and all violations of the conditions of this contract shall
subject the guilty party to the payment of damages, aside from
costs of suit and attorney's fees;

13. The failure of the LESSOR to insist strict performance upon any or all
of the terms, conditions, and covenants hereof shall not be deemed a
waiver on her part of the terms and conditions of the contract;

14. The LESSEE hereby warrants that he read and understood all the
foregoing provisions of this contract and shall abide by the same,
otherwise, any violation will subject the LESSEE to ejectment and
other legal sanctions.

appeared Mrs. Condara M. Muring and RICHMOND Q. NGAN with Community
Certificate No. shown above, known to me to be the same persons who executed
the foregoing instrument and they acknowledged before me that the same is their
free and voluntary act and deed.

This instrument refers to a CONTRACT OF LEASE OF COMMERCIAL


BUILDING, consisting of three (3) pages including the page on which this
acknowledgment is written, all signed by the parties and their instrumental witnesses
at the left margin thereof and sealed by my notarial seal.
