CONTRACT BETWEEN BUSINESS PARTNERS

Know All Men By These Presents:

This Agreement/Contract made and executed this __ th day of _______ 2013 in


__________________ by and between:

Mr.______________, BUSINESS PARTNER, and hereinafter


referred to as “FIRST PARTY;”

-AND-

MS. Rowena Tanya S. Reidenbach, AGENT/MODEL/MANAGING


PARTNER and with office address at #2 Bilaan St., La Vista Subdivision,
Quezon City, hereinafter referred to as “SECOND PARTY;”

WITNESSETH THAT:

WHEREAS, the First Party will provide capitalization for the advance payment of
the models for the Globe Caravan Project for 2 months. Estimated Amount is P4,
999,200.00 (P4, 166 tf/day x 50 models x 24 working days per model for 2 months);

WHEREAS, the Second Party is willing to provide the MODEL/S that suits the
specific need/s and requirements of the Client/s (ADS IN MOTION) for the Globe
Caravan Project and manage the inner workings of the business;

WHEREFORE, for and in behalf of the hereunder considerations the parties


agreed the following:

1. The First Party shall refrain from contacting directly the MODEL/S provided
by the Second Party, whether selected or not, without the Second Party’s
knowledge and/or permission, even after the project is over;

2. The amount the First Party will receive from the capitalization that he will be
providing under this agreement will be fifty percent (50%) of the commission
that will be received from the Talent Fee (TF) from each Model that will be
provided the client/s (AD IN MOTION) to be divided equally between the First
Party and the Second Party in the ratio of fifty percent (50%) First Party, fifty
percent (50%) Second Party;

3. The First party is responsible for the capitalization of the project and provide
advance payment of up to two (2) months TF to be given to the Second
Party, who in turn will be responsible to pay the Models;

4. It is understood that the talent fee/s of the MODEL/S for the Globe Caravan
Project at the end of two (2) months will not be given directly to the
MODEL/S by the client/s (AD IN MOTION) or the First Party, but will instead
be given directly to the Second Party, who will be responsible to pay the
Models;
5. The Second Party shall handle the services consisting of:

5.1. Look, find, search and book the MODEL/S that suits the specific
need/s and requirements of the Client/s and/or First Party for the
Globe Caravan Project;

5.2. Regular notification/s to the MODEL/S whenever they are


qualified for the Globe Caravan Project;

5.3. Notify and conduct the screening/go-see for the MODEL/S with
the Client/s and/or First Party for the Globe Caravan Project;

5.4. Notify the MODEL/S whenever they are accepted, passed and
qualified from the screening/go-see made by the Client/s and/or First
Party;

5.5. To arrange the MODEL/S schedule for briefing, contract signing,


and event run dates that will fit for the project;

5.6. Informing the MODEL/S for certain changes in the schedule, run
dates, cancellation, etc.;

5.7. Providing a buffer/reliever in case the first chosen MODEL/S


is/are unavailable;

5.8. Pay the advance payment to the MODEL/S who ran for the Globe
Caravan Project. Making sure the MODEL/S will sign the receipt/s;

5.9. To pay Katherine Apuya as Personal Assistant (PA) the amount


of Twelve thousand pesos (P12,000.00) and cell phone load per
month on a fifty (50%) sharing of the amount payable with the First
Party.

6. The First Party shall cooperate in every aspects of the said Contract with the
Second Party.

7. JUDICIAL INTERVENTION. In case of infringement or breach of any of the


terms and conditions hereinabove set forth, the parties shall meet and
diligently exert efforts to resolve the issue amicably. However, if and for any
valid reason it shall become necessary to institute an action or proceeding in
court for the enforcement of the right of any of the parties hereto, the
aggrieved party shall be entitled to the following:

i. The amount due;


ii. Penalty interest in the amount of three percent (3%) per month of
the amount due;
iii. Liquidated damages in the amount of twenty-five percent (25%) of
the amount due under (i) and (ii);
iv. Costs of litigation; and
v. Attorney’s fees in the amount of twenty percent (20%) of the
amount due.

Any court suit filed by either party by reason of this contract shall be filed in the
courts of Quezon City, Philippines.
