CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:


This CONTRACT TO SELL, made and entered into at _______________
Philippines by and between.

Christine M. Bernardino, of legal age, married,Filipino citizen, with residence and


postal address at 005 Matangtubig, Baliuag, Bulacan, hereinafter called the SELLER; and

__________________,of legal age, Filipino Citizen, with residence and postal address
at __________________________, hereinafter called the BUYER;

WITNESSETH

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the
FOUR MILLION ( 4,000,000 ) PIECES OF FACESHIELD amounting ONE
HUNDRED FOUR MILLION PESOS ONLY (Php 104,000,000). Philippine currency,
under the terms and condition herein below set forth;

1. The total consideration shall be ONE HUNDRED FOUR MILLION PESOS


ONLY (Php 104,000,000). Philippine currency, payable as follows;
2. That upon execution and signing of this Contract, the BUYER shall pay unto the
SELLER the amount of FIFTY TWO MILLION PESOS (Php 52,000,000),
Philippine currency, representing as FIFTY PERCENT (50%) down payment of
total consideration, the retail price of each FACESHIELD is TWENTY SIX PESOS
(Php 26.00), Philippine currency:
3. That the expected delivery and/or arrival of the FACESHIELD shall be after herein
(25-30 ) days plus shipping and delivery 7-10 days upon signing of this contract, in
case of failure or non- delivery items on due time, SELLER shall be given additional
(5) days to deliver the items;
4. That the balance amounting to FIFTY TWO MILLION PESOS (Php 52,000,000),
Philippine currency, shall be pay on the arrival of the FACESHIELD;
5. That failure to give or pay the balance of the buyer, the down payment amounting to
FIFTY TWO MILLION PESOS (Php 52,000,000), Philippine currency, all
payment made by the BUYER shall be forfeited;
6. NO CANCELLATION once Production started.
