RECRUITMENT AGENCY AGREEMENT

------------- Recruitment Agency Agreement (the “Agreement”) has been entered into on (Date).

BETWEEN

Walchandnagar Industries Ltd., having its Corporate Office at __________________________


(hereinafter referred to as the “Company”) represented by HR __________________________
Authorised Signatory.

AND

AlphaMobi, having its office/ registered office at 1 st Floor, Above Michellin Tyres, Nr HP petrol Pump,
Kasarwadi, Pune-411034 represented by its Proprietor, Mr. Sumit Sharma (hereinafter referred to as the
“Consultant”).

WHEREAS

 Company is engaged in various Heavy Manufacturing businesses, etc. having business presence in
India and in overseas countries.

 Consultant is in the business of providing professional/skilled manpower for recruitment purposes.

 Company is desirous in appointing the Consultant for its professional services accordingly the
Consultant is willing and able to provide such services as may be required by the Company in
accordance with the terms and conditions as mentioned in this Agreement.

For an amicable valuable business consideration, which is to be acknowledged by both Parties on the
terms and conditions as hereinafter set forth, the Parties agree as follows:

1. Duration Of Agreement
This agreement shall become effective from the date of this agreement unless earlier terminated in
accordance with Clause 5 herein. This Agreement may be modified as may be mutually agreed by
the Parties.

2. Scope Of Services

 Based on the Companies requirements for various positions, the Consultant will identify appropriate
person and assess them for relevant skills and competencies, conduct reference/ background
checks, and thereafter send resume’ of the short-listed candidates to the Company for their review.

 Depending on the Companies inputs, the Consultant shall act as an interface between Company &
the prospective employee and shall be responsible for arranging meetings, discussions and
interviews of the prospective employee with the Co’s, personnel.

3. Professional Fees

Group shall pay to the Consultant following professional charges :

 All levels : 8.33% of the total annual gross salary excluding (Insurance, Gratuity, PLR & CCR)
 GST / Service Tax would be levied on every Invoice as per applicable rates.
 All payments to be made in terms of this Agreement will be subject to the deduction of tax at
source and/or any other statutory deductions and/or other deductions arising out of any breach
under the terms and conditions of this Agreement.

4. Terms And Conditions

 Upon the selection of the candidate, the Company shall inform the Consultant about the selection
of the candidate, its prospective date of joining and the CTC to enable the Consultant to prepare
the invoice.

 The Professional Fee shall become payable only if a candidate joins the Group and on receipt of
the invoice. Invoice shall be raised at the time of the candidate’s joining with a payment period of
3 (three) months from the date of joining of the candidate.

 In case the candidate placed by the Consultant separates or resigns from the Company or the
Company terminates the services of the candidate before completion of 180 (One Hundred &
Eighty) days of service, the Consultant shall provide appropriate replacement without any
charges/fees (free of cost) within a period of 20 (twenty) days, failing which the Consultant shall
be liable to adjust the total amount in the next bill for another candidate or pay back the amount
for that candidate to the Company, at the discretion of the Companies decision.

 Consultant shall be entitled to their professional fees if the candidate interviewed and initially
rejected by the Group is subsequently appointed within a period of 4 (four) calendar months from
the date of the initial interview

 Consultant will not poach any candidate who has been shortlisted or working with the Company.

 In case were same profiles are received from different sources/ consultants, the source from
which the profile is received first would be considered and the decision of the Company in this
regard shall be considered final. All candidates coming for interview from the Consultant shall
mention its name on the interview form.

 Consultant shall render its services to the Company under this Agreement on a non-exclusive
basis accordingly the Company shall have the right to obtain services of similar kind/nature from
other consultants without any prior intimation to the existing Consultant.

5. Termination

Both the Parties shall have the right to terminate the Agreement without assigning any reason,
whatsoever (whether with or without cause) by giving 30 (thirty) days prior notice in writing.

6. Miscellaneous

 Entire Agreement: This Agreement hereto constitute the entire understanding between the
Parties concerning the subject matter hereof and supersede all prior discussions, agreements
and representations, whether oral or written and whether or not executed by the Parties.

 Amendments/Modifications: This Agreement may be amended or modified, in whole or in


part, only by an instrument in writing signed by all Parties hereto.

 Notice: Any notice concerning this Agreement shall be in writing and be deemed
sufficiently given/delivered when sent by certified or registered mail if sent to the
respective address of each party as set forth at the beginning of this Agreement.

 Waiver: Any waiver by the Company of a breach of any provision of this Agreement shall
not operate or be construed as a waiver of any subsequent breach of the same or any
other provision hereof. All waivers by the Company shall be in writing.
