Introduction

Essel Propack Ltd. hereafter referred to as “Essel Propack” has implemented SAP ECC system. Essel
Propack is looking forward to implement Invoice Verification solution for SAP as per our discussion
had with Essel Propack on 09 November 2015. This document contains a proposal for the same.

The Business Scenarios needs to be deployed on top and integrated with SAP. The suggested
approach in the proposal is based on WebDynpro ABAP, ABAP, Workflow , which are native SAP
Technologies. These technologies are suggested from a user experience perspective as well as
maturity of the technology. Following Business Scenarios needs to be implemented and integrated
with the SAP based on the requirement from Essel Propack.

Development and implementation Timelines

Inowits would follow the SAP recommended ASAP methodology for the above implementation.

Project Timelines
The detail timelines will be proposed for implementation based on next discussions. A detailed
project plan shall be developed during the project preparation phase. Overall elapsed time will be in
the range of 6~10 weeks.

Resources Required

The key support required from Essel Propack will be in area of reviews, requirement definition, test
data creation, user acceptance testing. Following Skill-sets will be assigned from Inowits

Assumption
 Inowits requires a lead time of 10 days to kick start the project from the date of the
acceptance of the engagement from Essel Propack.
 Change Management/ Business Process Change tasks that need to be done in Essel Propack
as a result of this engagement is not in scope. This would be managed by Essel Propack.
 System Testing Plan and the Acceptance Criteria would have to be defined jointly by Essel
Propack and Inowits during the Conference Room Pilot Workshop.
 Essel Propack should provide necessary authorization (VPN) and access to the systems as
required by Inowits during the engagement.
 Essel Propack would ensure correct representation from all groups in the Due Diligence and
the Blue Printing workshops so that all requirements and concerns can be addressed
correctly.
 Any change to the scope agreed at the end of the Blueprinting phase will have to be
addressed by a Change Management process and would result in a revision of estimates,
timelines and cost.
 Essel Propack key users and project team will be available on a timely basis to participate in
completion of the Business Blueprint.
 Essel Propack will endeavour the availability of their staff as per the project plan for this
assignment. In case of any difficulty client will inform about the non-availability of the
particular person in advance. The Steering Committee will evaluate the impact of any core
team replacement on the project schedule and cost.

 Inowits will provide training only to the core team at the implementation site, end user
training will be taken care by the core team members of Essel Propack.
 Essel Propack will use the software, documentation and all the other information for their
own internal purposes and will not market or make any other commercial use of the same.
 Essel Propack and Inowits will not offer employment directly or otherwise to each other’s
staff for a period of one year from the completion of this project.
 The approach is based on the information available to Inowits and its understanding of the
requirement. Any change in the information or the perceived scope will require change to
this approach.
 Inowits shall provide consulting services as per pre-defined project plan.
 Any Software, Hardware or additional licenses that need to be purchased for this
engagement would be Essel Propack responsibility.
 Essel Propack will provide necessary and adequate infrastructure to Inowits Onsite staff
including office space, telephone, telex, photocopying, fax, PC resources, unlimited access to
internet, computer resources, software tools essential to the implementation of the project,
to enable Inowits to fulfil its commitment for the assignment (none of these facilities will be
used for personal work). All milestone deliverables will be deemed acceptable within a
period of one week (5 working days) from submission of deliverable in case of no response.
Any other decision / approval / signoffs will be deemed acceptable within period of 3
working days from submission in case of no response.
 Inowits will have full rights to change the members of their project team. However Inowits
will give prior intimation to Essel Propack and will ensure required continuity and skills
profile.

Operating Principles
Inowits agrees to the spirit of the operating principles defined under scope of work and would like to
make the following observations:

Inowits follows the philosophy of Knowledge Transfer from the consulting team to the user team
that enables the user team to build adequate in-house skills that will enable them to maintain the
solution. Inowits will follow the same principles with Essel Propack on this project.

Resource Deployment
The resource deployment has been done keeping in mind the starting and ending of different
functionality under different phases and other integration points. This is to ensure that optimal
resource is deployed on the project.

Documentation
It is expected that prior to commencement of the project, Essel Propack team shall compile and
document all the business processes based on which the modelling and configuration of the Solution
will be carried out. This shall reduce the time frame for BPD compilation and sign-off, which is critical
to the timelines of the current project.

 Project Charter

Project charter will address Scope, Objectives and Deliverables. This document will
be delivered at end of the business blue print phase of implementation.
 Project Plan
This document will give the Time Lines, Resources, WBS as outcome of the project
preparation phase.
 Change Control
Deviation from scope would be escalated by raising Change Control document.

Team Training
Inowits recommends the suitable training programs for the Essel Propack Customer Project Team
members to maintain the solution post go live. There could be a possibility that member from the
customer can closely work during the realization phase.

Inowits will follow train the trainers approach and provide training only to the core team at the
implementation site, end user training will be taken care by the core team members of Essel
Propack.

Post Go Live Bug Fixes

Inowits’s consulting team will provide bug fixing for the period of One month from the date of go-
live declaration.

Commercial Proposal
Price of the Solution
Inowits proposes a Fixed Price Quote. This is excluding all the applicable taxes.

Fixed Price Cost includes Licenses and Implementation as per Scope mentioned in this document.

Implementation and Deployment Cost (in lakhs) License can be used without any limitation

Note:

o The implementation will cover 1 site implementation.

o Following languages Inowits will cover in translation.
o Russian, Chinese, Polish, Egypt (Essel to provide the required details)
o Additional language integration will be charged separately.
o For every additional site, 1lac will be charged as implementation cost, (If this can be done
by Essel team, Inowits will not charge)

Annual Support for “Invoice Verification Solution for SAP”

18% of the Invoice verification Solution cost - 18% of 17.0 Lacs = 3,06,000

 The product annual support has the following components:

o The warranty support for Bug Fixes
o Free service Pack Enhancements for Current Release (This includes any mandatory
update required for API/UIs based on SAP releases)

Working Condition for Inowits Consultants

 The consultants assigned to this project by Inowits will adhere to the working days and
working hours being observed by Inowits. It is understood that the consultants may have to
work extended hours occasionally.
 If required by Essel Propack, the consultants will submit weekly reports to the Project
Manager of Essel Propack.
 Inowits Onsite Consultants should be treated at Par with Essel Propack; Employees during
the Onsite Assignment and during Inowits consultant stay with Essel Propack, they should be
provided with standard working environment and all Refreshment and Canteen Facility if
they are available within the premises of Essel Propack.
