2. APPLICABLE CODES
The buildings included in this proposal are designed in accordance with the following codes:

3. EXCLUSIONS (From enquiry documents)
- Any product that is not clearly specified in this proposal and Contract.
- Doors, Windows, Glazing, Final painting on structure, Electricals, Plumbing etc. & civil works.
4. APPROVAL DRAWINGS
- Kirby will issue Approval Drawings within 3 weeks from date of signing contract / issue of
Purchase Order and receipt of advance payment.
- BUYER must return the accepted approval drawings preferable within 1 week thereafter,
otherwise, may result in revision to delivery commitment.
5. DELIVERY PERIOD
Kirby will ship the materials in 8-10 weeks from the latest date of receipt and acceptance of
the following at Kirby Head Office:
• Signed supply contract / Purchase order
• Balance payment either by acceptable Letter of Credit or as specified in supply contract
• Kirby’s approval drawings duly signed and approved
• Purchase Order amendment (If applicable)

6. SUPPLY PRICES

- The basic price is inclusive of freight & transit insurance.
B. TAXES & DUTIES

The above Total Value is exclusive of SGST 9% and CGST 9% (in case of interstate supply IGST
18%).
The Kirby shall issue tax invoices for shipment as per the provisions of GST Act 2017 & GST
Invoice Rules 2017.
Before commencement of consignment, Kirby will communicate the invoice details to the BUYER,
which in turn BUYER needs to accept the same immediately, by filling the Part-B of e-waybill on
GSTN common portal.
In case of introduction of any new levy or change in the existing rates of taxes or cess and during
the period of the Contract which results in increase in payment of taxes by Kirby with respect to
this supply contract, the Buyer shall reimburse Kirby for such additional amount payable as per
actual.
Other Levies & Taxes:
- Any Cess or levy viz BOCW Cess (if applicable) needs to be paid by the BUYER directly to
the concerned authorities.
- Any Fees/levy charged at interception of vehicle due to not having statutory details of
BUYER the same needs to be paid by BUYER.
C. TERMS OF PAYMENT: Payment shall be as follows

1. 20% down payment upon signing the Agreement.
2. 80% by confirmed irrevocable Letter of Credit in favor of Kirby Building Systems & Structures
India Pvt Ltd (formerly known as Kirby Building Systems India Pvt Ltd) - Pashamylaram,
Sangareddy District, Telangana, advised through "ICICI Bank Ltd., ICICI Bank Tower, Level I,
1-11-256, Begumpet, Hyderabad – 500 016". The Letter of Credit should be opened from any
of the Nationalized Banks, State Bank of India or their associate banks and shall be available
for negotiation upon presentation of dispatch documents to the Bank.

7. KIRBY STANDARD PRODUCT SPECIFICATIONS
A standard Kirby System is made up of primary members, secondary members, connections, roof sheeting, wall
sheeting, sheeting fasteners, sealer, closures, ridge caps, flashing and trim, gutters and downspouts.
A. PRIMARY MEMBERS:
Primary structural framing shall include the transverse rigid frames, lean-to-rafters and columns, canopy
rafters, interior columns (beam and column frames), bearing frame rafters and corner columns and end wall
wind columns.
B. SECONDARY MEMBERS:
Secondary structural framing shall include the purlins, girts eave struts, wind bracing, flange bracing, base
angles, clips and other miscellaneous structural parts.
C. PAINT OF STRUCTURAL MEMBERS:
All structural members shall be cleaned by wire brushing to remove dirt, grease, oil and loose mill scale and
given one shop coat of red oxide, air drying, phenol modified alkyd resin primer.
Any additional finish painting is not included in Kirby’s scope of supply.
D. CONNECTIONS:
All field connections shall be bolted (Unless otherwise noted).
Primary bolted connections shall be furnished with high strength bolts conforming to the physical
specifications of ASTM A325 (or equivalent).
Secondary bolted connections shall be furnished with machine bolts conform to the physical
specifications of ASTM A307 (or equivalent).
E. PHYSICAL SPECIFICATIONS OF STRUCTURAL MEMBERS:
Members fabricated from plate or bar stock shall have flanges and webs joined on one side of the web by
a continuous welding process and will conform to the physical specifications of ASTM A570 (Grade 50) or
equivalent and having a minimum yield strength of 50,000 P.S.I. (345 MPa).
Members fabricated by cold forming process shall conform to the physical specifications of ASTM A570
(Grade 50) or equivalent and having a minimum yield strength of 50,000 P.S.I (345 MPa).
Members fabricated from hot rolled structural shapes shall conform to the physical specifications of ASTM
A572 (Grade 36) or equivalent and having a minimum yield strength of 36,000 P.S.I. (250 MPa).
Rod and angle bracing shall conform to the physical specifications of ASTM A36 (or equivalent) and having
a minimum yield strength of 36,000 P.S.I. (250 MPa).
Roof and wall cladding shall conform to the physical specifications of ASTM A653 Grade 50 (or equivalent)
and having a minimum yield strength of 50,000 P.S.I. (345 MPa).
All other miscellaneous secondary members shall have minimum yield strength of 36,000 P.S.I. (250 MPa)
F. ROOF SHEETING (KR)/ WALL SHEETING (KW):
Roof and wall panels shall be of 26 gauge thick profiled galvalume or galvalume color coated steel sheeting.
In case of pre-painted galvalume panels, the exterior face is pre-painted with 1 mil. thick factory applied
polyester paint. The interior face is pre-painted with 0.5 mil thick factory applied polyester paint.
Each panel shall provide one meter coverage and can be shipped in any length up to 10 m. Color of exterior
and interior faces shall be white/grey. Other materials, thicknesses and coating are available upon request.
The material shall conform to ASTM A792 and the galvalume coating to ASTM- A792 – AZ150. The yield
strength of material shall be 550 mpa. Incase of KSS type of sheeting the yield strength shall be 345 mpa
(minimum).

G. SHEETING FASTENERS:
Standard fasteners shall be No. 14, Type A, self tapping sheet metal screws with metal and neoprene
washers. All screws shall have hexagonal heads, be color coated to match roof and wall sheeting and made
of zinc plated steel.
H. SEALER / ROPE SEAL:

This is to be applied at all side laps and end laps of roof panels and around self flashing windows. Sealer
shall be 6 mm wide x 5 mm thick, asbestos fibe filled, pressure sensitive Butyl tape. The sealer shall be non
asphalted, non shrinking non drying and non toxic and shall have superior adhesion to metals, plastics and
painted surfaces at temperatures from - 51 deg. `C' to + 104 deg.`C'.
I CLOSURES / FILLER STRIPS:

Solid or closed cell E.T.P. (Ethylene Polypropylene Terpolymer) closures matching the profile of the panel
shall be installed along the eaves, rake and other locations specified on Kirby drawings.
J. RIDGE CAP:
A formed panel matching the material color, slope and profile of adjoining Kirby Rib roof panels.
K. FLASHING AND TRIM:

Flashing and/or trim shall be furnished at the rake, corners, eaves framed openings and wherever
necessary to provide weather tightness and finished appearance. Color shall be white for rake and eave
flashings and color of wall for corner flashings unless otherwise specified by client from one of Kirby
standard range of colors. Material shall be 26 G thick conforming to the physical specifications of ASTM
A446 Grade C or equivalent and having minimum yield strength of 40,000 P.S.I. (275 MPa).
L. EAVE GUTTERS AND DOWNSPOUTS:
Eave gutters shall be box shaped, color coated, and 0.5 mm nominal thickness (26 gauge) galvanized steel.
The outside face of the gutter shall be supported with color coated 0.5 mm nominal thickness (26 gauge)
galvanized straps to the eave member at a maximum spacing of 1.2 m.
Downspouts shall be rectangular shaped, color coated 0.5 mm nominal thickness (26 gauges) galvanized
steel. Downspouts shall have a 45 degree elbow at the bottom and shall be supported by attachment to the
wall covering at 3.0 m maximum spacing.
M. FIBER GLASS INSULATION:

The fiber glass insulation when offered as optional on mutual agreement shall be of 50 mm thickness of
density 10 kg/m3 with one side aluminum facing, other thickness & density are available and will be
provided on prior negotiation.
N. ANCHOR BOLTS:
These are normally supplied prior to the delivery of Pre-Engineered Building.
Delivery will be made after receipt of Kirby's anchor bolts setting plans (marked "FOR CONSTRUCTION")
from our Engineering Department.

8. TERMS & CONDITIONS OF SALE
1. SCOPE OF CONTRACT:
This Contract is the only Agreement between the Kirby Building Systems (hereinafter referred to as
SUPPLIER) & BUYER (who has signed his acceptance on this contract) and the terms which have been
Expressly stated in this Agreement will be binding including any amendments mutually agreed upon in
writing.
2. PROPOSAL VALIDITY:
This proposal is valid for (7) days from the date of this proposal. Any extension of validity must be received in
writing from the SUPPLIER.
3. ERECTION DRAWINGS:
Kirby Building Systems India Limited, the SUPPLIER will furnish the BUYER with all standard erection
drawings required for the erection of the buildings. The SUPPLIER will also furnish the BUYER with Anchor
Bolts setting plans and columns base reactions.
4. SPECIFICATION CHANGES:
SUPPLIER reserve the right to modify the design of his standard buildings and to substitute material equal
to or superior to that originally specified (in order to permit incorporation of changes and improvements, in
the continued development of the SUPPLIER's product).
5. CANCELLATION:
Contract/Agreement and orders CANNOT be cancelled or modified by BUYER under any circumstances
without BUYER first reaching an agreement in writing with SUPPLIER covering all damages. If cancellation
or modification is agreed to by SUPPLIER, BUYER agrees to promptly pay all reasonable engineering and
other expenses incurred by SUPPLIER in connection with this Agreement and in any case not less than 5 %
of the Agreement price in case of cancellation.
6. RELEASE FOR PRODUCTION:

The SUPPLIER will release the building for production only on receipt of the approve drawings duly assigned
by the BUYER or after receipt of acceptable financial arrangement, whichever is later. For want of this
foregoing, that portion of this order which is not released for production within TWO months from the date of
Contract / Purchase Order will be subject to a price increase in accordance with the new current prices
posted at the end of the above noted time period.
7. SHIPMENT:
That shipment will be made only after receipt of acceptable financial arrangement and subject to clause
related to “Delivery” mentioned elsewhere in the contract. For want of the foregoing, that portion of this order
which is not shipped within THREE months from date of Contract / Purchase Order will be subject to a price
increase in accordance with new current prices posted at the end of the above noted time period unless a
longer delivery period is mutually agreed by SUPPLIER and BUYER. Unloading at jobsite is the
responsibility of the BUYER.
8. CHANGE IN SCOPE:
Any change and / or revision to the above stated scope of supply MAY lead to a variation in the price and
the delivery period.

9. FORCE MAJURE:
SUPPLIER shall not be liable for any loss or damage to BUYER for delay in delivery or cancellation of any
Purchaser's Orders by SUPPLIER due to circumstances beyond SUPPLIER's control, such as, but not
limited to, war, riots, civil commotion, revolution, government regulations, orders, or acts of any government
authority directly or indirectly interfering with or rendering more burdensome the production or delivery of the
products, floods, fires, delays due to transporter’s strike and any other circumstance or event beyond
SUPPLIER's control.
10. KIRBY’S LIABILITY:

Kirby’s liability is restricted to the scope of this contract only and it will not be responsible for acts of third
parties. Consequential losses and third party damages, if any, arising out of the delays or claims by the
BUYER will not be SUPPLIER’S responsibility.
11. PERMITS:
SUPPLIER shall not be responsible or liable for the obtaining of permits to erect or install any product.
12. INSPECTION OF PRODUCT:

BUYER agrees to inspect upon arrival of all articles shipped. Claims for shortages or defective material, if not
packaged, must be made in writing to Kirby's local Sales Office within five days after receipt of the shipment,
and if packaged within 30 days after receipt of shipment Kirby shall have a reasonable time to investigate all
claims made by BUYER. Any claims for shortages or defects made after the above periods shall be refused.
When the packaging is damaged or broken the BUYER must insist on open delivery and inform Kirby and
the transporter details of shortages / damages in transit.
13. EXCLUSIONS:
SUPPLIER supply does not include any material or labor in connection with foundations, concrete, setting
of anchor bolts, grouting under columns or in recess around bottom of wall sheets, electrical installations,
plumbing, finished painting, heating, masonry, interior finishing, partitions, glass and glazing or any item not
shown in Kirby Approval Drawings, unless specifically mentioned in this Agreement.
14. WARRANTY:
Kirby’s products are warranted against failure due to defective material or workmanship for a period of one
year after shipment. In case of any claim against the above, the BUYER will inform the SUPPLIER within 30
days of occurrences of such defects and the SUPPLIER will decided the appropriate course of action. In
case of replacements, SUPPLIER is obliged to replace only such defective materials as has been supplied
under this Contract.
15. GOVERNING LAWS:

This agreement shall be construed and enforced in accordance with and under the Indian law. Both parties
agree that in case of any difference or dispute arising between the SUPPLIER and the BUYER will be
resolved by mutual discussions and agreement. However, unresolved issues, if any, will be settled by
arbitration as per the Indian Arbitration and Conciliation Act, and the venue / seat of the arbitration will be
Hyderabad, Telangana.
16. OWNERSHIP OF UN APPROVED MATERIAL AT SITE :

All material supplied to site by Kirby, which are unapproved and in excess of building requirements shall be
the property of Kirby and Kirby reserves the right to ship the same back to its place.
17. INTEREST:
The BUYER shall pay Interest for the delayed payment @ 16.5% pa for the delayed period which shall be
paid along with the amount due.
