    DEED OF DONATION

    KNOW ALL MEN BY THESE PRESENTS:

    That this DEED OF DONATION, made and entered into by and between:

    AZUCENA T. GARCIA of legal age, Filipino, single, with residence and


    postal address at 102 Road 18 Extension Project 8 Quezon City Metro
    Manila and hereinafter called the DONOR;

    and

    JORGE T. GARCIA, SR. (deceased, as represented by his son, JOSEPH


    GARCIA) in this of legal age, Filipino, single, with residence and postal
    address at 15-Q Diamond St. Cypress Village Apolonio Samson Quezon
    City Metro Manila and hereinafter called the DONEE;

    -- WITNESSETH –

    That the DONOR is the owner of a memorial plan with the following
    details:
    Plan Type : Memorial Traditional (APEC Plans)
    Policy Number : 420652-5
    Plan Name : Royalty – APEC Plans

    That for and in consideration of the love and care which the DONOR, has
    for her immediate family and relatives particularly her brother, the DONEE, the
    said DONOR hereby TRANSFERS, GIVES and CONVEYS unto the DONEE, their
    heirs, successors and assigns, the personal property above-described, free from
    all liens and encumbrances and charges of whatsoever nature;

    That the DONOR hereby states, for the purpose of giving full effect and
    validity to this donation, that she has reserved for herself sufficient property, in
    full ownership or in usufruct, which is necessary and adequate for her support
    in consonance with her standing in society;

    That the DONOR further states, for the purpose as expressed in the next
    preceding paragraph, that this donation is not made with the object of
    defrauding her creditors, having reserved to herself sufficient property to
    answer for her debts contracted prior to this date;

    That the DONEE hereby accepts this donation and hereby expresses his
    gratitude for the kindness and liberality of the DONOR, his beloved SISTER;

    IN WITNESS WHEREOF, the DONOR and the DONEE have hereunto set
    their hands on this ________________________ at ______________________, Philippines.
