ACKNOWLEDGMENT LETTER

Prai Specialist Hospital is pleased to offer you employment with the following terms and
condition:

1. Position. Your initial title will be Med-Tech and you will initially report to the Hospital on 4th
November 2019. This is a full-time position. While you render services to the Hospital, you
will not engage in any other employment, consulting or other business activity (whether
fulltime or part-time) that would create a conflict of interest with the Hospital. By signing this
letter of agreement, you confirm to the Hospital that you have no contractual commitments
or other legal obligations that would prohibit you from performing your duties for the
Hospital. Your official working time frame is 6 hours Monday to Sunday, shift depending on
your agreement with colleague, we have Morning, Afternoon and Night Shift.

Responsibilities
Your exact duties may vary depending on the industry, but in general you'll need to:
Job Description:

 Collect and prepare blood, urine and tissue samples for analysis.
 Examine collected samples and identify any cell abnormalities.
 Maintain laboratory inventory levels and if necessary, place orders for new supplies.
 Prepare detailed reports about your test results and findings.
 Document and review tested data.
 Ensure all tissue samples are prepped for examination.
 Collaborate with pathologist and other medical specialists to determine correct diagnosis
if cell abnormalities are discovered.
 Maintain a safe and clean working environment by adhering to safety procedures and
regulations.
 Present test results to physicians, researchers or patients.
2. Cash Compensation. The Hospital will pay you a starting salary at the rate of RM10,500.00
which is approximately ₱130, 000.00 (One Hundred and Thirty Thousand Philippines Peso)
Only payable in accordance with the Hospital’s monthly standard payroll schedule and 6% GST
Government Tax will be deducted. This salary will be subject to adjustment pursuant to
the Hospital’s employee compensation policies in effect from time to time. All payment
of salary after assumption of duty in Malaysia shall be 50% paid into an offshore account if
you wish to send money back home, which will be provided by employee with the remaining
50% paid locally to your local account here in Malaysia. This is in line with the Malaysia
Expatriate Financial Statutory Laws.

3. Employee Benefits. As a regular employee of the Hospital, you will be eligible to participate
in a number of Hospital-sponsored benefits. In addition, you will be entitled to paid vacation
in accordance with the Hospital’s vacation policy, as in effect from time to time.
4. Stock Options. Subject to the approval of the Hospital’s Board of Directors or its
Compensation Committee, you will be granted an option to purchase Number of Shares.
The exercise price per share of the Option will be determined by the Board of Directors or the
Compensation Committee when the Option is granted. The Option will be subject to the
terms and conditions applicable to options granted under the Hospital’s Year Stock Plan (the
“Plan”), as described in the Plan and the applicable Stock Option Agreement. You will vest in
25% of the Option shares after 12 months of continuous service, and the balance will vest in
equal monthly installments over the next 36 months of continuous service, as described in the
applicable Stock Option Agreement.
5. Employment Relationship. Employment with the Hospital is for no specific period of time.
Your employment with the Hospital will be “at will,” meaning that either you or the Hospital
may terminate your employment at any time and for any reason, with or without cause. Any
contrary representations that may have been made to you are superseded by this letter
agreement. This is the full and complete agreement between you and the Hospital on this
term. Although your job duties, title, compensation and benefits, as well as the Hospital’s
personnel policies and procedures, may change from time to time, the “at will” nature of your
employment may only be changed in an express written agreement signed by you and a duly
authorized officer of the Hospital (other than you).
6. Holidays and Vacations: Paid holidays and vacations are a staple of the employee benefits
package. We offer our employers two basic items in a benefits package, and once these two
benefits are set, they rarely change except for the better.
As our employer, it's essential that you understand the importance of providing paid holidays
and vacations. These two benefits allow employees to rest and relax with family and friends, and
come back to work rejuvenated and more productive every 6months for vacations. In terms of
holidays, there are numerous ones through the year,
• New Year's Day
• Easter Day
• Ramadan
• Christmas
7. Tax Matters.
Withholding. All forms of compensation referred to in this letter agreement are subject to
reduction to reflect applicable withholding and payroll taxes and other deductions required by
law.
Tax Advice. You are encouraged to obtain your own tax advice regarding your compensation
from the Hospital. You agree that the Hospital does not have a duty to design its compensation
policies in a manner that minimizes your tax liabilities, and you will not make any claim against
the Hospital or its Board of Directors related to tax liabilities arising from your compensation.
8. Visa/Benefit
(a) Visa: All international applicants should note that Prai Specialist Hospital will secure their visa
free from the home office of the Malaysia Immigration applicant coming from outside
Malaysia.
(b) Work Permit: Prai Specialist Hospital will secure your work permit papers free from the Home
Office here in Malaysia which will enable you to live and work legally here in Malaysia.
(c) Flight Ticket: Your Flight ticket will be sent to you a week before your departure. You are to
provide a working and valid postal address where your ticket, visa approval documents shall
be delivered through a courier service agent after the processing of your traveling papers,
inclusive of the Hardcopy of your offer letter and certificate of employment.
(d) Accommodation: Prai Specialist Hospital will provide accommodation to all foreign
nationals at the Hospital's staff estate here in Malaysia. Employees are entitled to take meals free
of charge at the general staff canteens. Dietary options, customized cooks, Vegetarian food and
dieticians are available options.
(e) Medical and Health Care: Employer will provide the employee with comprehensive health
care for the time of contract, and follow-on care for injuries suffered during the time of contract
for employee and family.
9. Interpretation, Amendment and Enforcement. This letter agreement constitute the complete
agreement between you and Prai Specialist Hospital, contain all of the terms of your employment
with the Hospital and supersede any prior agreements, representations or understandings
(whether written, oral or implied) between you and the Hospital. This letter agreement may not
be amended or modified, except by an express written agreement signed by both you and a duly
authorized officer of the Hospital. The terms of this letter agreement and the resolution of any
disputes as to the meaning, effect, performance or validity of this letter agreement or arising out
of, related to, or in any way connected with, this letter agreement, your employment with the
Hospital or any other relationship between you and the Hospital (the “Disputes”) will be governed
by Malaysian law, excluding laws relating to conflicts or choice of law. You and the Hospital
submit to the exclusive personal jurisdiction of the federal and state courts located in Malaysia in
connection with any Dispute or any claim related to any Dispute.
NOTE: Before signing this acknowledgment letter you need to prepare underline documents:
(i)Scan copy of your International Passport (Data Page bearing your face
(ii)Scan copy of Passport Photograph (colored with blue background
(iii) Scan copy of your Birth Certificate (Optional)

with these terms and accept this offer by signing and dating both the enclosed duplicate original
of this letter agreement and the enclosed Proprietary Information and Inventions Agreement
and returning them to me. This offer, if not accepted, will expire at the close of 27 September
2019. Your employment with the Hospital is contingent upon your providing legal proof of your
identity and authorization to work in Malaysia. Your employment is also contingent upon your
starting work with the Hospital on or before 4th November 2019.
