8. Party A confirms with full corporate and legal responsibility to accept the TRANSFER sent to his
nominated bank account by Party B and confirms further that ability are available to fulfill the
requirements for the requested TRANSFER.
WHEREAS: Party B supports the Chinese government's Belt and Road plan, and willing to transfer the
aforementioned TRANSFER MT103 to Party A. Party B represents and warrants that it has the ability and
resource to arrange through associates, contacts and sources, with full corporate responsibility, financial
TRANSFER in the term of assignments to be provided to Party A. Party B hereby declares under penalty of
perjury that the TRANSFERS will be backed by cash funds that are good, clean, clear, and free of non-
criminal origin, the TRANSFER will be free and clear of all liens, encumbrances and third party interest.

1-Party A and Party B execute, sign and initial this of Agreement which thereby automatically becomes a
full commercial recourse contract.

Banking Days) Party B agrees to transfer the 103 one way CASH BACKED INSTRUMENT confirmation to the
nominated account of Party A

4- Within 24 hours of receipt of their Instrument confirmation in its Bank screen, Party A is expected to
lodge a formal com-plaint on any mistake or error on the SWIFT delivered to the attention of Party B. If
within 24 hours NO formal com-plaint is lodged, the TRANSFER confirmation shall be deemed as good, well
received and accepted by Party A.
5-Within 24 hours of the TRANSFER confirmation accepted by Party A, Within five banking days full
Payment % of the total face value must be paid to the nominated account of Party B.

NON-SOLICITATION

Party A hereby confirms and declares that Party B, its associates or representatives or any person or persons on its
behalf has/have never ever solicited Party A, its shareholders or associates or representatives in any way
whatsoever that can be construed as a solicitation for this transaction or for future transactions.
Any delay in or failure of performance by either party of their respective obligations under this agreement shall
constitute a breach hereunder and will give rise to claims for damages if, and to the extent that such delays or
failures in performance are not caused by events or circumstance beyond the control of such par
The term “Beyond the Control of Such Party “Include Act of War, Rebellion, Fire, Flood, Earthquake or other natural
disasters. Any other cause not within the control of such party or which is by exercise of reasonable diligence, the
party will be unable to foresee or prevent or remedy.

ARBITRATION:

All disputes and questions whatsoever which arises between the parties to this agreement and touching on this
agreement on the construction or application thereof or any account cost, liability to be made hereunder or as to
any act or way relating to this agreement shall be settled by the arbitration in accordance with the arbitration laws
of the ICC.
This agreement contains the entire agreement and understanding concerning the subject matter hereof and
supersedes and replaces all prior negotiations and proposed agreements, written or oral. Neither of the parties
may alter, amend, nor modify this agreement, except by a CASH TRANSFER in writing signed by both parties. This
agreement will be governed by and construed in accordance with the laws of United Kingdom. In the event that
either party shall be required to bring any legal actions against the other in order to enforce any of the terms of this
agreement the prevailing party shall be entitled to recover reasonably attorney fees and costs.

CLAUSE

No Contact: No contact by either party to either bank without expressed written permission. Both parties may
change their banking coordinates with written notice to the other party. This is a private transaction and as such
shall not be interpreted as a securities transaction as interpreted or described in the united states securities act of
1934 as amended or by the laws of any other country.
Any unauthorized calls by any party or its representative lawyers to probes or communication in an improper way
to bank(s) in this transaction shall be prohibited and automatically render this contract invalid.

AGREEMENT EXECUTION
Each party to this agreement represent that is has Full Legal authority to execute this agreement and that each
party agrees to be bound by its Terms and Conditions set forth herein. Each party agrees that this agreement may
be executed simultaneously by and between Parties via email or facsimile transmission which should be deemed as
original. All statements made by either party are under penalty of perjury.
