PROJECT CONTRACT OF EMPLOYMENT

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Employment is made and executed this August 13, 2013 in San
Juan by and between:

SAGESOFT SOLUTIONS, INC., a corporation organized and existing under


Philippine laws, with office address at 8/F Jafer Place Bldg., 19 Eisenhower St.,
Greenhills, San Juan, Metro Manila, represented in this act by its President, Mr.
Anson T. Uy (hereinafter referred to as the “EMPLOYER”);

- and –

Full Name, of legal age, Filipino, and with residential address at Address
(hereinafter referred to as EMPLOYEE);

WITNESSETH: That –

WHEREAS, the EMPLOYER was engaged by COMPANY(THIRD PARTY) (hereinafter


referred to as the “Project”) for the purpose of rendering the services provided under the
agreement executed by and between the EMPLOYER and the Project;

WHEREAS, the EMPLOYER offers this Contract of Employment to the EMPLOYEE


with job position of POSITION TITLE for the abovementioned Project, whose services are
provided under the “JOB DESCRIPTION” which is herewith attached and made an integral
part hereof, which are necessary for the employment, or any position thereof.

NOW THEREOF, for and in consideration of the foregoing premises and the mutual
Division covenants herein set forth, the parties agree to the following terms of agreement;

1. HIRE DATE
The EMPLOYEE’s first day of employment is on START DATE.

2. STATUS OF EMPLOYMENT
The EMPLOYEE’s services for the Project shall be for a fixed term based on
the contract with the client starting on Start Date until End Date. Notwithstanding the
foregoing, the EMPLOYEE shall be placed on probation for one (1) month to
determine the EMPLOYEE’s competence for the Project and will be evaluated after
the said probationary period. Continuation of the EMPLOYEE’s services shall be
dependent on the performance on the Project and shall be evaluated regularly
afterwards.
The company is not obligated to extend the period of this Contract of
Employment or otherwise retain the EMPLOYEE as a regular employee after the
completion or termination of the Project.

3. COMPENSATION
Effective first day of employment, the EMPLOYEE’s Salary is Php 15000.00
basic pay. Pay-out schedule is every 10th and 25th day of the month.

4. PLACE OF EMPLOYMENT
The EMPLOYEE’s appointment is transferable and the EMPLOYER at its
discretion may transfer the EMPLOYEE to any other division or to any place in the
country or outside. As such the EMPLOYEE may, at any time, be transferred to any
of the offices of the EMPLOYER, its associates, organizations with whom
EMPLOYER has transactions, whether the office, subsidiary, associate or
organization is in existence today or to be set-up hereafter. On the EMPLOYEE’s
transfer to any other place as stipulated above, the EMPLOYEE will observe the
working timings and holidays as applicable to the location and place of work where
the EMPLOYEE has been transferred without any change in remuneration.

5. DISCLOSURE OF PERSONAL INFORMATION


The EMPLOYEE must ensure the completion of all document requirements
within 2 weeks from hire date. The EMPLOYEE is responsible for keeping the
EMPLOYER informed of any change in personal details while employed with the
EMPLOYER. The EMPLOYER reserves the right to rescind this offer or terminate
the EMPLOYEE in the event of the EMPLOYEE providing EMPLOYER with any false
or incorrect information.

6. CONFIDENTIALITY AND INTELLECTUAL PROPERTY


Information regarding EMPLOYER’S practices, businesses, products and
services shall be held in strict confidence while the EMPLOYEE is in the appointment
of the EMPLOYER and that even after the EMPLOYEE has ceased to be in the
services of the EMPLOYER, the EMPLOYEE shall not disclose them to anyone. The
EMPLOYEE will not take any drawing, blue-print or other reproduction or other data,
tables, source codes, calculation, letter or other documents or any other writing or
copy of writing of any nature whatsoever pertaining to the business of the
EMPLOYER or any of its subsidiaries. Ideas, patents and processes developed by
the EMPLOYEE while with the EMPLOYER will be its sole property, even upon
termination of services.

7. TERMINATION OF EMPLOYMENT
The EMPLOYEE may be terminated for any of the following reasons:
a. Completion / Termination of the Project without need of any further notice
to the EMPLOYEE
b. Inability to meet the performance standards based on the EMPLOYEE’s
job description
c. Violation of the Code of Conduct and/or company rules and policies
d. Other just and/or authorized causes as provided by law.
8. CONDUCT AND BEHAVIOR
The EMPLOYEE is expected to perform his/her duties in accordance to the
EMPLOYER’S policies and Code of Conduct. The EMPLOYEE will be provided with
a copy of the Employee Handbook and the Code of Conduct and is required to
submit an agreement to the two documents. Any violation on the documents will
warrant a disciplinary action which may lead to termination.

9. NOTICE PERIOD
The EMPLOYEE may terminate this Contract by serving the EMPLOYER a
written notice thereof thirty (30) days prior to intended date of termination.
