Contractor. No deductions are withheld as the contractor is considered self employed and responsible for 
their own taxes. 
 
Corp to Corp is when a company pays another company for the services of individuals who do work for them. 
In this case, the individual is usually considered an employee of the company providing the workers.

ERP (Enterprises Resource Planning) 
ERP integrates all departments and functions across a company onto a single computer system that can serve all those 
different departments' particular needs. That is a tall order, building a single software program that serves the needs of 
people in finance as well as it does the people in human resources and in the warehouse. Each of those departments 
typically  has  its  own  computer  system  optimized  for  the  particular  ways  that  the  department  does  its  work.  But  ERP 
combines them all together into a single, integrated software program that runs off a single database so that the various 
departments can more easily share information and communicate with each other. That integrated approach can have a 
tremendous payback if companies install the software correctly. Take a customer order, for example. Typically, when a 
customer  places  an  order,  that  order  begins  a  mostly  paper‐based  journey  from  in‐basket  to  in‐basket  around  the 
company, often being keyed and rekeyed into different departments' computer systems along the way. All that lounging 
around  in  in‐baskets  causes  delays  and  lost  orders,  and  all  the  keying  into  different  computer  systems  invites  errors. 
Meanwhile, no one in the company truly knows what the status of the order is at any given point because there is no 
way  for  the  finance  department.  Now  the  software  is  linked  together  so  that  someone  in  finance  can  look  into  the 
warehouse software to see if an order has been shipped. Most vendors' ERP software is flexible enough that you can 
install some modules without buying the whole package. Many companies, for example, will just install an ERP finance

introduced by the subcontractor without the written consent of the Sub‐Contractor for a period of twelve months from 
the date of signing of this agreement. 
 
3 The Sub‐Contractor shall not use or disclose to anyone any  confidential information regarding the client(s) introduced 
by Contractor, acquired during discussions prior to and/or during the performance of services, without written 
permission from Contractor, or, until such information becomes a matter of general knowledge. 
 
4. When the client of the Contractor wishes to conduct an interview for the candidate of the sub‐contractor   “Moiz 
Mohammad”   ” whose H1 visa the Sub‐Contractor holds, the Sub‐Contractor agrees to make the candidate(s) available 
for the interview at the cost of the sub‐contractor; if the Client and also the sub‐contractor will make available his 
candidate/s named herein above available for the services of the client of the contractor for two business days after the 
end client interview. In the event Sub‐Contractor’s candidate(s) become temporarily or physically impaired, Sub‐
Contractor may postpone the start date. If illness extends beyond a three‐day grace period, a written medical 
explanation is required. At his own expense, Sub‐Contractor shall use all reasonable efforts to provide a substitute 
candidate(s) who have the appropriate skills, training and experience and acceptable to client of Contractor 
 
5. Sub‐Contractor agrees to be paid at a rate of USD $62 on hour (all inclusive) billable hour while on project, if selected 
by the client of the contractor. The Sub‐Contractor also confirms that his consultant “Moiz Mohammad”   is  not 
submitted for client “UST Global “ at “Maumee, OH “ for the position entitled “SAP Basis Administrator” 
 added would deliver your consultant to the client once we get the project confirmed for him/her. 
 
6. Sub‐Contractor is solely responsible to submit the invoices on a monthly basis with the Client approved timesheets, 
and Contractor shall pay correct invoices within (i) 45Days of Receipt of the submitted invoice. 
 
7. This agreement shall be governed by the laws of the State of New Jersey.  Any lawsuits pertaining to this agreement, 
or to services provided, shall be exclusively brought in the federal or state courts in the State of New Jersey.  Sub‐
Contractor consents to the exercise of personal jurisdiction over it by such courts and expressly waives any objection 
based on improper venue or forum non convenience.  The Sub‐Contractor agrees to pay the Contractor all costs 
incurred, including reasonable attorney’s fees, as a result of the breach of this agreement. 

8. Sub‐Contractor agrees that “Moiz Mohammad” would be representing VEDICSOFT while scheduling and attending
