CONTRACT AGREEMENT, CHARTERED ACCOUNTANT-2011

The Agreement made on ………………day of …….Month of Two Thousand and ………….. between
ADDED SOLUTIONS PRIVATE LIMITED ​A Company incorporated under the Companies Act, 2013, having
its registered office at Arjya Patty, Ex- Police Line,Tezpur,Sonitpur,Assam-784001, hereinafter called the
''Company'' (Which term shall unless repugnant to the context mean and include its successors - in-
interest and permitted assignees) of the ONE PARTY.

hereinafter called the ''Contract Appointee'' (Which term shall unless repugnant to the context mean
and include its successor- in- interest and permitted assignees) of the SECOND PARTY.

WHEREAS the contract appointee has been selected by the Company as a Contract Appointee, 2010 vide
order of appointment No……….dated…………with a view to utilize his/her service with the company.
Whose offer has been unequivocally accepted by the contract appointee.

NOW THIS AGREEMENT WITNESSES AS FOLLOWS:

1. The second party has been appointed by the first party.

2. The Company can terminate his/her contract at any time with or without notice and without assigning
any reason.

3. The Contract Appointee shall be paid a fixed commission as per annexure per month.

4. The Company can transfer or assign to the Contract Appointee any work in his subject of associated
fields either in any of its own establishment or in an establishment of any group of Company/ sister
concerns/subsidiaries whether existing or that may be set up in future.
5. That the second party has been contracted by the first party to perform all duties relating to all or any
work which the first party performs/provides and the second party shall not take up/acquire any other
functions or duties from any other party other than the First party.

6. That the second party shall pay an initial joining fees of 15000/- (​Rs. Fifteen Thousand only) ​which
shall be paid by the second party either wholly at one time or the second party shall pay an initial joining
fees of 250/- (​Rupees Two Hundred and Fifty only) ​and the remaining amount can be paid by the
second party in ​monthly installments of ​250/- (​Rupees Two Hundred and Fifty only) ​until the amount
is cleared to the name of the Account of Aded Solutions Private Limited and the Account No is
________________________________. The payment shall be made either through ECS (Electronic
Clearing System) or SI (Standard Instruction).

7. If the second party fails to pay the joining fees either wholly or in part after the agreement
commences than legal action can be brought against the second party by the party in this regard.
Moreover the first party can also initiate legal proceedings against the second party for any breach of
any of the terms of the agreement.

8. That the services provided by the first party are merely mediatory in nature and the first party shall
not be liable for any loss/fail in service to the second party nor can the second party initiate any legal
action against the first party in this regard. The first party merely performs the work of mediator
between the second party and the Service source providing company.

9. The Contract Appointee agrees to diligently, faithfully and to the best of his/her ability conduct and
behave himself/herself honestly and obediently towards his/her superiors and management of the
Company and will devote his/her whole time to the duties assigned to him/her by the Company and will
not engage directly or indirectly in any trade, business or occupation till the end of the period for which
he/she is bound to serve the Company.

6. The Contract Appointee shall observe secrecy and/in no way divulge or disclose to any person or
persons what-so-ever, the secrets entrusted to him/her or coming to his/her knowledge in the course of
his/her training and service with the Company either in relation to its work, business or its customers.
Any breach of confidentiality will result in initiation of legal proceedings against the second party.

7. The Contract Appointee shall not commit or cause to be committed any waste damage or other injury
to the property and/or goods of the Company nor shall he/she lend any such property or goods to any
persons without the permission of the management of the Company.
8. For matter, not provided in this Contract Agreement, the Contract Appointee shall be governed as per
the terms and conditions in order or appointment and the Rules and Regulations of the Company in
force from time to time.

9. In case the Contract Appointee does not comply with the terms and conditions contained in the order
or appointment or the Rules and Regulations of the Company or the covenants contained in this
contract agreement, the Company will be at liberty to initiate appropriate legal action under Order 37 of
the Code of Civil Procedure.

10. The jurisdiction for all the legal matters with regard to contract agreement or the order of
appointment shall be dealt by the appropriate court at Tezpur.
