the mandatory part. <for all plants in the xx business division, with the goal of ensuring uniform
quality of all deliveries to xx plants.> If the present document contains more wide-reaching agree-

1 The Supplier's Quality Management System
The SUPPLIER shall maintain a certified QM system in accordance with ISO 9001:2000.

Text module: new supplier


SUPPLIER agrees to set up a certified quality management system in accordance with < ISO/TS
16949:2002>.

Text module: existing supplier


SUPPLIER agrees to further develop his QM system and to furnish evidence of having done so in
the form of an <ISO 9001:200, ISO/TS 16949:2002> certificate by <DD.MM.YY>.

The SUPPLIER shall furnish evidence of his QM system in the form of a copy of the valid certifi-
cate which he shall send to <every RB division purchasing unit>. If he fails to do so, he shall be
downgraded in the BOSCH supplier evaluation.

2 Delivery
Products shall be delivered in accordance with the <Bosch packaging regulation, no. xyz and the
valid barcode agreement, no. ..... dated xx.xx.xx>.

3 Incoming goods inspection


BOSCH shall limit the incoming goods inspection to checking for externally visible shipping dam-
age and to confirming the quantity and part number of the ordered products, at least according to
the shipping papers. Any deviations detected at this stage shall be reported immediately.

The SUPPLIER agrees to adapt his quality management system and his quality assurance activities
to this limited incoming goods inspection as regulated in greater detail in the present individual
agreement.

4 Audit, Costs
BOSCH recognizes that SUPPLIER, as a competent supplier, maintains an effective quality man-
agement system using state-of-the-art technology and is therefore in a position to perform problem
analyses, the necessary quality assurance activities and audits on his own.

For this reason, the costs of audits and process analyses by BOSCH at the supplier´s production
sites will be beared by the SUPPLIER in the following cases:

- A serious defect caused by the SUPPLIER is discovered in the production run after delivery
of the products to BOSCH,
- SUPPLIER was not able to furnish evidence that the cause of the defect had been found and
effective steps had been taken to remedy the defect by a deadline specified on a case-by-
case basis,

- Improvement programs which both parties to the agreement had agreed on were not imple-
mented.

Audits shall always be announced in advanced. The SUPPLIER shall even facilitate requests to
perform audits at short notice.

SUPPLIER shall cover the costs for process audits and problem analyses.

5 Performing the Quality Assurance Activities

5.1 Quality Meetings


Quality meetings focusing on issues such as preventive quality assurance, evaluation of the quality
data exchanged between the parties, defects, current issues etc. shall be held at the request of one of
the parties to the agreement.

5.2 Sampling and Approving Products (testing initial samples)


The product sampling must be performed in accordance with <VDA Volume 2 / PPAP>.

The results of the sampling must be documented in a comprehensible manner in accordance with
<VDA Volume 2 / QS-9000 / Bosch-specific forms adapted to VDA>.

If the SUPPLIER realizes that the agreements which have been reached cannot be complied with,
he shall inform the relevant BOSCH purchasing department immediately. In the event of deviations
from specifications, BOSCH shall decide what further course of action must be taken.

5.3 Requalification test


All products must undergo a complete size and function inspection in accordance with the produc-
tion control plans (e.g. Product quality assurance plan) and the BOSCH specifications for material
and function to be applied. BOSCH must be granted access to the results of these tests.

5.4 Quality problems


If a quality problem arises, access to batch and production data must be granted within <one> cal-
endar day.

If the problems arise from the quality of the products, the parties to the agreement agree to develop
preliminary solutions within one working day. The SUPPLIER must ensure that access to fault in-
vestigation and analysis resources at short notice is available at all times.

The procedure for handling complaints within <GB/Plant> has been standardized and specified as
follows:

- No later than 1 calendar day following receipt of the <information/parts> (or photo, fault sam-
ple), notice of receipt must be sent to BOSCH.

- No later than 2 calendar days after the <information/parts have been sent (if required for initial
reply), an initial reply must be sent to BOSCH. Contents of the initial reply: 8D report up to,
and including the point "Immediate measures".
- No later than 14 calendar days after BOSCH has issued the complaint, a complete 8D report
must be submitted to BOSCH. If the SUPPLIER is not able to submit a complete 8D report
within this time, he must inform BOSCH of this and submit a comprehensive interim report.
This interim report must also give the date by which the complete 8D report (or the next interim
report) will be submitted. No more than 14 calendar days may pass between 2 interim reports.

The 14-day deadline for submitting the complete 8D report can only be extended if comprehensive
interim reports are submitted.

Final reports of fault analyses must be informative, conclusive and complete. The 8D report is to be
used as the report format.

If the <SUPPLIER> does not return to the agreed quality level within a mutually agreed time frame,
RB can require the supplier to obtain support from other external suppliers, at the expense of the
<SUPPLIER>.

6 Term of the Agreement, Termination


The present Quality Assurance Agreement shall be valid indefinitely but can be terminated by giv-
ing six months notice in writing to the end of the year. This shall be without prejudice to the effec-
tiveness of agreements under this Quality Assurance Agreement, i.e. the regulations in the Quality
Assurance Agreement shall apply for such agreements until such agreements expire.

7 Final Terms
Modifications and additions to the present Agreement must be made in writing.

If terms of this agreement should prove partially or fully invalid, this shall not affect the validity of
the remaining terms. In this case, the partners to the agreement shall agree on a valid term which is
as close as possible to the economic purpose of the invalid term. This shall also apply to any loop-
holes.

This Agreement shall be subject to German law excluding the rules on conflicts of laws. Place of
jurisdiction shall be Stuttgart.
