LAND USE AGREEMENT
BETWEEN:
RAGA GOLINA, of Goroha, Korobosea Village, Magi Highway, National Capital District,
Papua New Guinea, (the “Landowner”)
AND:
SUNSHINE TIMBER CO. LTD. Of PO Box 331, Vision City, Waigani, National Capital
District, Papua New Guinea, (hereinafter referred to as the “Occupant”);
RECITALS:
A. The Landowner is the owner of the customary land describe in item 1 of the Schedule
(the”Land”) located at Goroha, Korobosea Village, Magi Highway, Port Moresby, Papua New
Guinea.
B. The Landowner agrees to allow the Occupant to use the Land for the purposes described in
item 2 of the Schedule and has allowed to Occupant and User to enter upon the Land for those
purposes.
C. The Landowner and the Occupant have therefore agreed to enter into this Land Use
Agreement subject to the terms and condtions hereinafter contained.
OPERATICE PROVISIONS:
1.1 The Landowner acknowledges and confirms that he has the power and authority to deal with
the Land and all other matters involving the Land.
1.2 The Landowner to set aside 2.5 hectares of the Land for the purpose described in Item 2 of
______________ the Schedule.
2.1 The Occupant agrees to pay K5000.00 per month during the term of this Agreement
2.2 To ensure that the Land is used only for purposes described in Item 2 of the agreement.
2.3 The payment of the monies payable under clauses 2.1 shall commerce on the date of this
Agreement.
2.4 The Occupant hereby agrees to make an Initial down payment of K15,000 upon the signing
of this Agreement. Thereafter, a monthly rental fee of K5,000 per month payable on the first
week of every month thereafter.
3. LICENSE
For the purposes of carrying out the activities referred to in clause 2.2 above, the Landowner
hereby grants to the occupant a license to enter upon the Land to carry out such as activities
together with the right to egress there from. The Occupant may permit other persons to enter
upon the Land and may bring or permit to be brought on the Land any materials, equipment
and other necessary things as may be required to complete the activities.
4. COMMENCEMENT DATE
This Land Use Agreement shall commerce on the date specified in Item 3 of the Schedule.
5. TERM
This Land Usage Agreement shall be for a term specified in Item 4 of the Schedule and shall
be reviewed after the expiry of the initial of this Agreement, inclusive of the option period of
Ninety Nine (99) years.
6. CONDITION OF USE
The conditions for the use of the Land shall be as specified in Item 5 of the Schedule.
7. FURTHER ASSURANCES
The parties shall do all such other things and execute such other documents as are necessary to
give effect to the provisions and intention of this Agreement.
This agreement shall be governed by the laws of the independence State of Papua New
Guinea. Each Party submits to the non-exclusive jurisdiction of the National Court of Papua
New Guinea.
9. COUNTERPARTS
This Agreement may be executed in any number of counterparts. All Counterparts together.
Will constitute one instrument.

A WOOD WORKING FACTORY BUILDING.
Item 4:
TERM OF LAND USE: NINETY NINE (99) YEARS WITH OPTION TO RENEW
OR EXTEND.
Item 5:
HEREIN. AS SIPULATED UNDER CLAUSES 2.1 AND ITEM 2.
